2023年度バフェットからの手紙(3)さようなら、チャーリー・マンガー

今回の「株主への手紙」では最初のページに、ウォーレン・バフェットからチャーリー・マンガーに向けた弔辞が掲げられています。以下、その全文です。(日本語は拙訳)

チャーリー・マンガーは100歳の誕生日まであと33日の、11月28日に亡くなりました。


彼は[ウォーレン・バフェットと同じネブラスカ州の]オマハで生まれ育ったものの、存命中の8割は別の場所で暮らしていました。そのため、わたしが彼とはじめて対面したのは1959年になってからで、そのとき彼は35歳でした。その彼が資産管理の道を歩むべきだと決意したのは、1962年のことでした。


その3年後に、彼はわたしをこう諭しました。「バークシャーの経営権を買った判断はお粗末だったね」と。しかし、彼は次のように請け合ってくれたのです。「済んだことは良しとして、まちがいを正す方法を説明しよう」


話を進めるうえで留意していただきたいのは、わたしが当時運営していた小規模の投資パートナーシップに、チャーリーや彼の親族は一銭も投資していなかった点です。そこの資金を使って、わたしはバークシャー株を買っていました。そのうえチャーリーがバークシャー株を保有することになるとは、わたしたちのだれもが予想してしませんでした。


それにもかかわらず、チャーリーは速やかに助言してくれました。1965年のことです。「いいかいウォーレン、バークシャーのような企業の株を買おうなんて考えないこと。もはやバークシャーを経営できるのだから、今後はすばらしい事業をそこそこの値段で買い加えていこう。そこそこの企業をすばらしい値段で買うのは、おしまいだよ。つまり、君の英雄たるベン・グレアムから教わったことは全部放り出してほしい。あのやりかたが通用するのは、規模が小さいときだけだから」と。その後、後退することはたびたびありながらも、わたしは彼の導きに従いました。


何年も経ってから、チャーリーはわたしのパートナーとしてバークシャーの経営に加わってくれました。そしてわたしの古い習慣が顔を出すたびに、正気へと引き戻してくれました。彼は亡くなるまで、その役割をつづけてくれました。初期のころからわたしたちと投資し続けてくれた人たち共々、チャーリーとわたしは当時想像していた以上の成功をおさめることができました。


実際のところ、現在のバークシャーを「設計監理した建築家」はチャーリーでした。そしてわたしは、彼の構想を実現するために日々の作業を遂行する「元請け業者」でした。


チャーリーは「自分が創始者である」と謳うことはありませんでした。そうではなく、賞賛を受ける場でお礼をかえす役割は、わたしに任せてくれたのです。わたしにとって彼は兄であり、はたまた愛すべき父親でもありました。自分のほうが正しいとわかっているときでも、わたしに手綱さばきを任せてくれました。わたしがポカをしでかしたときにも、その過ちを思い出させるような素振りは一切みせませんでした。


実体をきずく世界において、偉大なる建築物はそれを設計監理した人物を思い起こさせるものです。一方、そこでコンクリートを流し込んだり、窓を取り付けた人物のことはたちまち忘れられます。巨大な企業となったバークシャーにおいて、わたしは建設要員としての責務を担ってきましたが、チャーリーは建築家として携わったと末永く評価されるべきでしょう。


Charlie Munger – The Architect of Berkshire Hathaway


Charlie Munger died on November 28, just 33 days before his 100th birthday.


Though born and raised in Omaha, he spent 80% of his life domiciled elsewhere. Consequently, it was not until 1959 when he was 35 that I first met him.  In 1962, he decided that he should take up money management.


Three years later he told me – correctly! – that I had made a dumb decision in buying control of Berkshire. But, he assured me, since I had already made the move, he would tell me how to correct my mistake.


In what I next relate, bear in mind that Charlie and his family did not have a dime invested in the small investing partnership that I was then managing and whose money I had used for the Berkshire purchase. Moreover, neither of us expected that Charlie would ever own a share of Berkshire stock.


Nevertheless, Charlie, in 1965, promptly advised me: “Warren, forget about ever buying another company like Berkshire. But now that you control Berkshire, add to it wonderful businesses purchased at fair prices and give up buying fair businesses at wonderful prices. In other words, abandon everything you learned from your hero, Ben Graham. It works but only when practiced at small scale.” With much back-sliding I subsequently followed his instructions.


Many years later, Charlie became my partner in running Berkshire and, repeatedly, jerked me back to sanity when my old habits surfaced. Until his death, he continued in this role and together we, along with those who early on invested with us, ended up far better off than Charlie and I had ever dreamed possible.


In reality, Charlie was the “architect” of the present Berkshire, and I acted as the “general contractor” to carry out the day-by-day construction of his vision.


Charlie never sought to take credit for his role as creator but instead let me take the bows and receive the accolades. In a way his relationship with me was part older brother, part loving father. Even when he knew he was right, he gave me the reins, and when I blundered he never – never –reminded me of my mistake.


In the physical world, great buildings are linked to their architect while those who had poured the concrete or installed the windows are soon forgotten. Berkshire has become a great company. Though I have long been in charge of the construction crew; Charlie should forever be credited with being the architect.

2023年度バフェットからの手紙(2)例によって、やらかしました

2023年度「バフェットからの手紙」より、今回の文章ではウォーレン・バフェットが自身のおかした失敗を告白しています。失敗と断定するには少し早いようにも思えますが、主力子会社に関する話題なので、バークシャーの株主諸氏のみなさんはそれなりに調査研究なさったほうがいいかもしれません。なおウォーレンは自分の失敗を明らかにする人で(過去記事の例)、この点は他の大多数の経営者と一線を画していると思います。(日本語は拙訳)


昨年残念な業績におわった部門の二つめはBHE社[エネルギー事業の子会社; Berkshire Hathaway Energy]で、こちらはさらに厳しい損益でした。同社が営む大規模な電力事業のほとんどは、広域にわたるガスパイプラインと同様に、期待通りの成果をあげました。しかし、いくつかの州における規制の雲行きゆえに、利益ゼロあるいは破綻にさえ至る恐れを抱くようになりました(実際カリフォルニア州の最大手会社がそうなり、ハワイ州では現在その危機に面しています)。そのような規制をとる地域では、米国でもっとも安定した産業として以前には考えられていた収益や資産価値を見込むのは困難です。


電力業界は1世紀以上にわたって、成長を果たす原資とするために多額の資金を調達してきました。それは定められた資本利益率が得られるとする、州ごとの協約に基づくものです(優秀な運営には、若干のボーナスを出す場合もあり)。このやりかたによって莫大な投資が実行され、何年か先を見通した際に要求される能力が構築されました。そのような将来を見据えた法規制は現実を反映していました。つまり公共企業が供する発送電用の資産を建設するには、往々にして長い年月を要する現実をです。BHE社が米国西部で展開している複数州にわたる広大な送電プロジェクトは2006年に着工され、完工まで幾年かを残しています。そしてこの操業範囲は、米国本土の30%を占める10州にわたるものとなります。


私企業および公企業いずれの電力会社でも採用されてきたこの方式によって、たとえ人口成長や産業部門による需要が予想を上回ったときにおいても、電灯は灯されてきました。「安全余裕」を見込んだアプローチは、規制当局や投資家や公衆にとって妥当なものと考えられていました。しかし現在はいくつかの州において、「固定ながらも十分な利益率を定めた制度」は崩壊しました。そして投資家は、そのような破局が広まるのではないかと危惧するようになりました。さらには気候変動問題が心配に輪をかけています。地中送電が必要なのかもしれませんが、「そのように造るために、多額の費用をかけるべきだ」と考えた人が数十年前の時点で存在したでしょうか。


わたしどもはバークシャーにおいて、発生した損失の大きさを最良に見積もるよう努めています。そういった費用は山火事から生じましたが、その頻度や影響度はこれまでに増加してきただけではなく、対流性嵐の発生頻度が高まるのであれば、今後も増加しつづけると思われます。


BHE社が被った山火事による損失の勘定を締めたり、脆弱な西部諸州における将来にむけた投資の必要性を賢明に判断できるようになるには、かなりの年月がかかることでしょう。そして規制環境がどのように変わるのか、今はまだ様子見の段階です。


他の電力会社においても、パシフィック・ガス・アンド・エレクトリック社[2019年に破綻]やハワイ電力社[2023年の山火事]と似たような、存亡のかかった問題に直面するかもしれません。わたしたちが現在直面している問題に対して没収的な形で手を打つやりかたは、当然ながらBHE社にとって望ましくないものです。しかしながら同社およびバークシャーはどちらであっても、悲観的な想定外の事象を乗り越えられるように構築されています。わたしたちは保険事業において、日常的にそういったことに直面しています。同事業において当社が扱う基本的な製品ではリスクを考慮に入れておりますし、想定外とはどこかで生じるものです。金融的な想定外が生じてもバークシャーは耐えることができます。しかし、それとわかりながら追銭を払うことはしません。


バークシャーでどうなるかは別として、この行く末は電力業界全体でみると不吉なものとなるかもしれません。会社によっては、もはや米国市民の貯蓄をあてにしていないかもしれず、その場合には電力会社の公企業化が必至となるでしょう。ネブラスカ州は1930年代にその道を選びましたし、国全体でみれば多くの公共電力会社があります。つまるところ、どの方式を選びたいかは、有権者や納税者や利用者が決めることとなります。


騒動が落ち着くころには、米国における電力需要やそれに応じた資本投資は膨大になるでしょう。規制が復活して不利な展開になることを、わたしは想像していなかっただけでなく、考慮すらしませんでした。バークシャーとともにBHE社に投資している2人のパートナーも含めて、わたしどもはそうしなかったことで費用のかさむ失敗を犯してしまいました。


Our second and even more severe earnings disappointment last year occurred at BHE. Most of its large electric-utility businesses, as well as its extensive gas pipelines, performed about as expected. But the regulatory climate in a few states has raised the specter of zero profitability or even bankruptcy (an actual outcome at California’s largest utility and a current threat in Hawaii).  In such jurisdictions, it is difficult to project both earnings and asset values in what was once regarded as among the most stable industries in America.


For more than a century, electric utilities raised huge sums to finance their growth through a state-by-state promise of a fixed return on equity (sometimes with a small bonus for superior performance). With this approach, massive investments were made for capacity that would likely be required a few years down the road. That forward-looking regulation reflected the reality that utilities build generating and transmission assets that often take many years to construct. BHE’s extensive multi-state transmission project in the West was initiated in 2006 and remains some years from completion. Eventually, it will serve 10 states comprising 30% of the acreage in the continental United States.


With this model employed by both private and public-power systems, the lights stayed on, even if population growth or industrial demand exceeded expectations. The “margin of safety” approach seemed sensible to regulators, investors and the public. Now, the fixed-but-satisfactory-return pact has been broken in a few states, and investors are becoming apprehensive that such ruptures may spread. Climate change adds to their worries. Underground transmission may be required but who, a few decades ago, wanted to pay the staggering costs for such construction?


At Berkshire, we have made a best estimate for the amount of losses that have occurred.  These costs arose from forest fires, whose frequency and intensity have increased – and will likely continue to increase – if convective storms become more frequent.


It will be many years until we know the final tally from BHE’s forest-fire losses and can intelligently make decisions about the desirability of future investments in vulnerable western states. It remains to be seen whether the regulatory environment will change elsewhere.


Other electric utilities may face survival problems resembling those of Pacific Gas and Electric and Hawaiian Electric. A confiscatory resolution of our present problems would obviously be a negative for BHE, but both that company and Berkshire itself are structured to survive negative surprises. We regularly get these in our insurance business, where our basic product is risk assumption, and they will occur elsewhere. Berkshire can sustain financial surprises but we will not knowingly throw good money after bad.


Whatever the case at Berkshire, the final result for the utility industry may be ominous: Certain utilities might no longer attract the savings of American citizens and will be forced to adopt the public-power model. Nebraska made this choice in the 1930s and there are many public-power operations throughout the country. Eventually, voters, taxpayers and users will decide which model they prefer.


When the dust settles, America’s power needs and the consequent capital expenditure will be staggering. I did not anticipate or even consider the adverse developments in regulatory returns and, along with Berkshire’s two partners at BHE, I made a costly mistake in not doing so.

2023年度バフェットからの手紙(1)日本の総合商社について

 バークシャー・ハサウェイのウォーレン・バフェットが、2/24(土)付けで2023年度の「バフェットからの手紙」を公開しました。昨年末に亡くなったチャーリー・マンガーへの弔辞で始まる点が特筆される文章ですが、日本の総合商社について触れている点も目につきました。今回はその部分の文章をご紹介します。(日本語は拙訳)

末永く保有し続けたいと考えている投資先として、 今年は別の2件をご紹介したいと思います。[昨年話題に取り上げた]コカ・コーラ社やアメックス社のように、当社の有する資源全体からみれば莫大な取り組みというものではありません。しかしながらそれらには保有する価値がありますし、2023年にも買い増しすることができました。

[1社目として紹介したオキシデンタル・ペトロリアム社に]加えて、バークシャーは日本の大企業5社の株式を、受動的かつ長期的な観点に基づくかたちで保有しつづけています。各社は非常に多岐にわたった事業を手がけており、その意味でバークシャー自体の経営といくぶん似ています。わたしはグレッグ・アベル[=バフェット後の次期CEO]とともに東京へ赴いて5社の経営陣と対話をしました。その後、5社すべての株式を昨年中に買い増ししました。

バークシャーの持分比率は、5社いずれも9%程度となっています(若干の留意点として、日本企業は米国における慣習とは異なる方法で発行済株式数を計算しています)。そして、買い増しの限度として保有株式の割合が9.9%を越えない旨、バークシャーは各社に対して約束しました。5社に投じた資金の合計は1兆6千億円で、年末時点における持分の市場価値は2兆9千億円でした。しかし近年は円安になっているため、ドルベースでみた年末時点での含み益は80億ドル(61%増)でした。

わたしもグレッグも、主要通貨の価格を予想できるなどとは毛頭考えておりません。またそのような能力を持った人物を雇えるとも思っていません。それゆえ日本株を買う資金のほとんどは、1兆3千億円分のバークシャーの社債を発行することでまかないました。この社債は日本で非常に好意的に受けとめられました。そのため、バークシャーが他の米国企業以上に多額の円建て債を発行していくことになるのはまちがいないと考えています。円安によってバークシャーが得た年末時点での利益は19億ドルでした。これはGAAP[米国会計基準]によれば、2020年から2023年のあいだに順次発生した利益の合計です。

それら5社(伊藤忠、丸紅、三菱商事、三井物産、住友商事)はいずれも、ある重要なやりかたの面で株主を重視した政策をすすめています。これは米国で一般的に実践されているものよりもずっと優れています。当社がそれらの日本企業株を買った後、5社はいずれも魅力的な価格で自社株を買い戻し、発行株式数を減らしています。

一方で5社いずれの経営陣も、自分たちの報酬に関しては典型的な米国の例とくらべるとずっと穏やかに処遇しています。同様に触れておくと、5社は配当性向を3分の1程度にとどめています。5社の留保した多額な資金は各社が抱える多々の事業へ投下され、いくばくかが自社株買いへ使われています。そしてバークシャーと同様に5社も、追加の株式発行には消極的です。

バークシャーにとってさらに好都合なのは、それらの投資がきっかけとなって、好経営かつ高い評判を得ている大企業5社と世界中で協業する機会ができた点です。5社は当社以上に幅広く事業を展開しています。他方で日本企業5社のCEOのみなさんは、バークシャーがつねに大量の流動資産を保有しつづけている事実に満足しておられます。規模がどうであれ、そのような協業をすすめるうえで即座に利用できる資源が見込めるからです。

それら日本企業の株を当社がはじめて買ったのは、2019年7月4日でした。現在のバークシャーの規模を考えると、公開市場を通じてそのような持分を築きあげるのは辛抱の連続であり、「うれしい」価格で買うにはかなりの時間がかかりました。その過程は、まるで戦艦を反転させるような大仕事でした。これは初期のころには直面しなかった、バークシャーの重大なる不利な一面といえます。


This year, I would like to describe two other investments that we expect to maintain indefinitely. Like Coke and AMEX, these commitments are not huge relative to our resources.  They are worthwhile, however, and we were able to increase both positions during 2023.

Additionally, Berkshire continues to hold its passive and long-term interest in five very large Japanese companies, each of which operates in a highly-diversified manner somewhat similar to the way Berkshire itself is run. We increased our holdings in all five last year after Greg Abel and I made a trip to Tokyo to talk with their managements.

Berkshire now owns about 9% of each of the five. (A minor point: Japanese companies calculate outstanding shares in a manner different from the practice in the U.S.) Berkshire has also pledged to each company that it will not purchase shares that will take our holdings beyond 9.9%.  Our cost for the five totals ¥1.6 trillion, and the yearend market value of the five was ¥2.9 trillion.  However, the yen has weakened in recent years and our yearend unrealized gain in dollars was 61% or $8 billion.

Neither Greg nor I believe we can forecast market prices of major currencies. We also don’t believe we can hire anyone with this ability. Therefore, Berkshire has financed most of its Japanese position with the proceeds from ¥1.3 trillion of bonds. This debt has been very well-received in Japan, and I believe Berkshire has more yen-denominated debt outstanding than any other American company. The weakened yen has produced a yearend gain for Berkshire of $1.9 billion, a sum that, pursuant to GAAP rules, has periodically been recognized in income over the 2020-23 period.

In certain important ways, all five companies – Itochu, Marubeni, Mitsubishi, Mitsui and Sumitomo – follow shareholder-friendly policies that are much superior to those customarily practiced in the U.S. Since we began our Japanese purchases, each of the five has reduced the number of its outstanding shares at attractive prices.

Meanwhile, the managements of all five companies have been far less aggressive about their own compensation than is typical in the United States. Note as well that each of the five is applying only about 1⁄3 of its earnings to dividends. The large sums the five retain are used both to build their many businesses and, to a lesser degree, to repurchase shares. Like Berkshire, the five companies are reluctant to issue shares.

An additional benefit for Berkshire is the possibility that our investment may lead to opportunities for us to partner around the world with five large, well-managed and well-respected companies. Their interests are far more broad than ours. And, on their side, the Japanese CEOs have the comfort of knowing that Berkshire will always possess huge liquid resources that can be instantly available for such partnerships, whatever their size may be.

Our Japanese purchases began on July 4, 2019. Given Berkshire’s present size, building positions through open-market purchases takes a lot of patience and an extended period of “friendly” prices. The process is like turning a battleship. That is an important disadvantage which we did not face in our early days at Berkshire.

2021年度バフェットからの手紙(1)保有現金について

バークシャー・ハサウェイのウォーレン・バフェットが、2/26(土)付けで2021年度の「バフェットからの手紙」を公開しました。本文の文章量は10ページ分と、今年もさらに薄くなっています。その内容はあくまでも当社の株主に向けたものですが、そうでない一般投資家の方にも参考になるところがあると思います。

今回からの投稿では、いくつかの文章を拙訳付きでご紹介します。今回はバークシャーの資産における現金比率についてです。

米国財務省証券

バークシャーの貸借対照表をみると、現金及びその等価物が1,440億ドル(約15兆円)となっています(ただしBNSF[鉄道子会社]とBHE[エネルギー子会社]が保有する分を除く)。このうち、1,200億ドルは米国財務省証券として保有しています。それらの満期はいずれも1年以内で、民間が保有する米国債のうちの約0.5%をバークシャーが受け持っていることになります。

チャーリーそしてわたしは、「バークシャー(とBNSFおよびBHEを除く子会社で)は、常に300億ドル以上の現金及び現金等価物を保有していくつもりだ」と公言してきました。みなさんの保有する当社が金銭的に堅固な会社であり、決して他者(やその友人)の好意にすがることがないよう、わたしどもは望んでおります。二人とも夜はぐっすり眠りたいですし、当社の債権者や被保険者や株主であるみなさんにも同じであってほしいと考えています。

しかし1,440億ドルとは、どうしたものでしょうか。

はっきり申し上げておきますが、この目をつく金額は血迷ったゆえに抱いた愛国心のあらわれなどではありません。またビジネスを保有したいという強い望みを、チャーリーやわたしが失ったわけでもありません。実際のところ、わたしがはじめてその情熱ぶりをあらわにしたのは80年前のことでした。1942年3月11日にシティーズ・サービス社の優先株を3株購入したときです(参考記事)。購入金額は114.75ドルで、貯金をすべて注ぎこみました。(その日のダウ工業平均終値が99ドルだったのは驚嘆すべき事実ですね。米国に逆らう賭けをしてはなりません)

初期に低下したものの、わたしは常に純資産の80%以上を株式に投じてきました。その状態を100%にしたいとずっと考えてきましたし、今でもそう思っています。現在のバークシャーがビジネスに資金を投じている割合が80%程度なのは、長期保有をする上でわたしどもが定めた条件を満たすような買収対象の企業やその一部分(つまり流通株式)を、わたしが見つけ出せていないからです。

現金保有率の高い同様な時期は過去にもあり、チャーリーとわたしはその状況を忍んできました。そういった時期は居心地のいいものではないですが、永続するわけでもありません。そして幸運にも2020年から2021年には資金を投じる若干魅力的な別の投資先を見つけることができました。つづきをお読みください。

U.S. Treasury Bills

Berkshire's balance sheet includes $144 billion of cash and cash equivalents (excluding the holdings of BNSF and BHE). Of this sum, $120 billion is held in U.S. Treasury bills, all maturing in less than a year. That stake leaves Berkshire financing about 1/2 of 1% of the publicly-held national debt.

Charlie and I have pledged that Berkshire (along with our subsidiaries other than BNSF and BHE) will always hold more than $30 billion of cash and equivalents. We want your company to be financially impregnable and never dependent on the kindness of strangers (or even that of friends). Both of us like to sleep soundly, and we want our creditors, insurance claimants and you to do so as well.

But $144 billion?

That imposing sum, I assure you, is not some deranged expression of patriotism. Nor have Charlie and I lost our overwhelming preference for business ownership. Indeed, I first manifested my enthusiasm for that 80 years ago, on March 11, 1942, when I purchased three shares of Cities Services preferred stock. Their cost was $114.75 and required all of my savings. (The Dow Jones Industrial Average that day closed at 99, a fact that should scream to you: Never bet against America.)

After my initial plunge, I always kept at least 80% of my net worth in equities. My favored status throughout that period was 100% - and still is. Berkshire's current 80%-or-so position in businesses is a consequence of my failure to find entire companies or small portions thereof (that is, marketable stocks) which meet our criteria for longterm holding.

Charlie and I have endured similar cash-heavy positions from time to time in the past. These periods are never pleasant; they are also never permanent. And, fortunately, we have had a mildly attractive alternative during 2020 and 2021 for deploying capital. Read on.

2020年度バフェットからの手紙(7)ハンバーガーとコカ・コーラ

2020年度「バフェットからの手紙」より、前回の投稿と同じように5番目のバケツに区分されるバークシャー株主の話題です。(日本語は拙訳)

バークシャー株を保有する独特かつ貴重な個人投資家の集団をみれば、わたしどもがウォール街のアナリストや機関投資家の関心をひきたがらない理由が、いっそう理解しやすくなるかもしれません。わたしどもは望むべき投資家をすでに得ております。そしてあらゆる点を考慮すれば、彼らが別の人たちに置き換わってしまうとは考えていません。

バークシャーの株主数には「発行済株式数」という制限があります。わたしどもは、すでにその席を占めているみなさんをとても好ましく思っております。

もちろんですが、その「パートナー全体」でみれば出入りはあるでしょう。しかしそれが最小限にとどまることを、わたしもチャーリーも望んでいます。つまるところ、「友だちやご近所の知り合いや配偶者が、頻繁に変わってほしい」と考える人がいるものでしょうか。

バークシャーでは56年間にわたって、ハンバーガーとコーラを出してきました。その料理に惹かれるみなさんを、わたしどもは大事にしていきます。

Berkshire's unusual and valued family of individual shareholders may add to your understanding of our reluctance to court Wall Street analysts and institutional investors. We already have the investors we want and don't think that they, on balance, would be upgraded by replacements.

There are only so many seats - that is, shares outstanding - available for Berkshire ownership. And we very much like the people already occupying them.

Of course, some turnover in "partners" will occur. Charlie and I hope, however, that it will be minimal. Who, after all, seeks rapid turnover in friends, neighbors or marriage?

In 1958, Phil Fisher wrote a superb book on investing. In it, he analogized running a public company to managing a restaurant. If you are seeking diners, he said, you can attract a clientele and prosper featuring either hamburgers served with a Coke or a French cuisine accompanied by exotic wines. But you must not, Fisher warned, capriciously switch from one to the other: Your message to potential customers must be consistent with what they will find upon entering your premises.

At Berkshire, we have been serving hamburgers and Coke for 56 years. We cherish the clientele this fare has attracted.

2020年度バフェットからの手紙(6)もしかして長生きの秘訣だろうか

そこまでお話ししたあとに、5番目のバケツに対してわたしとチャーリーが特別な親近感を抱かないとしたら、わたしどもは人間としてどうかしていると思います。100万人を超える個人投資家のみなさんがもっぱら信頼して、未来に何が起ころうと自分たちの持分の扱いをわたしどもに任せているのですから。当社の仲間に加わった彼らは、株主をやめるつもりはありませんでした。そして、わたしどもが共にしていた当初のパートナーと同様の心持ちを抱いていました。実際のところ、パートナーシップ時代からの多数の投資家や、さらにはその後裔のみなさんは、かなりのバークシャー株を保有しつづけています。

そのような古株の典型としてスタン・トルーセン氏があげられます。彼は快活な気前のよいオマハの眼科医で、わたしの友人でもあります。2020年11月13日には100歳になりました。スタンは1959年にまだ若きオマハの医師10名とともに、わたしを加えたパートナーシップを設立しました。彼らは新たな組織にEmdee(エムディー)と独創的な名前を付けました。わたしと妻はわが家に彼らを招き、お祝いの夕食会を毎年催しました。

1969年にわたしたちのパートナーシップがバークシャー株を分配したときに、医師たちの全員が受けとった株をそのまま保有しました。投資や会計の細かなことがわからなかったのかもしれません。しかし彼らは、バークシャーにおいてもパートナーの一人として扱われることは理解していました。

Emdee時代からのスタンの親友2名は、今では90代後半の年齢になりましたが、なおもバークシャー株を保有しています。チャーリーが97歳、わたしが90歳である事実とあわせると、この集団における仰天の永続力からは興味ぶかい疑問がわいてきます。もしかして、バークシャー株を保有すると寿命が延びるのではないかと。

All of that said, Charlie and I would be less than human if we did not feel a special kinship with our fifth bucket: the million-plus individual investors who simply trust us to represent their interests, whatever the future may bring. They have joined us with no intent to leave, adopting a mindset similar to that held by our original partners. Indeed, many investors from our partnership years, and/or their descendants, remain substantial owners of Berkshire.

A prototype of those veterans is Stan Truhlsen, a cheerful and generous Omaha ophthalmologist as well as personal friend, who turned 100 on November 13, 2020. In 1959, Stan, along with 10 other young Omaha doctors, formed a partnership with me. The docs creatively labeled their venture Emdee, Ltd. Annually, they joined my wife and me for a celebratory dinner at our home.

When our partnership distributed its Berkshire shares in 1969, all of the doctors kept the stock they received. They may not have known the ins and outs of investing or accounting, but they did know that at Berkshire they would be treated as partners.

Two of Stan’s comrades from Emdee are now in their high-90s and continue to hold Berkshire shares. This group’s startling durability - along with the fact that Charlie and I are 97 and 90, respectively - serves up an interesting question: Could it be that Berkshire ownership fosters longevity?

2020年度バフェットからの手紙(5)大きな5つのバケツ

現在バークシャーの株を保有する人たちは、大きな5つの「バケツ」に分けて考えることができます。その一つは「創業者」的なバケツで、わたしがそこを占めています。わたしの保有する株式はさまざまな慈善団体へ毎年寄贈されているので、やがてそのバケツはカラになります。

残る4つのバケツのうち、2つは機関投資家によって占められています。彼らはどちらも他人の資金を扱っています。しかし両者のバケツの類似点はそこでおわりです。彼らの投資手順がもっと異なることはありえませんでした。

機関投資家バケツのひとつには、インデックス・ファンドが入っています。これは、投資の世界において巨大かつ急速に拡大している領域です。それらのファンドは、単に追跡対象としている指数の値動きを模倣しています。インデックス投資家のお気に入りはS&P500で、その指数にはバークシャーも含まれています。ここで強調しておきますが、インデックス・ファンドがバークシャー株を保有するのは、単にそうしなければならないからです。「組み入れ率」に従うがために、自動運転によって売買を執行しています。

もう一方の機関投資家バケツに含まれるのが、顧客の資金を運用管理するプロフェッショナルです。それらのファンドは、裕福な個人や大学や年金基金などに関わっています。それらプロ運用者は、価値評価や将来予測の面でくだした判断に基づき、ある投資対象から別の対象へと資金を移すように委託されています。これは敬意を払うべき職業ですが、難しい仕事でもあります。

わたしどもは、そういった「アクティブな」集団のために喜んで働きます。ただしその間にも、彼らは顧客の資金を投下すべき優れた対象を探し求めています。長期的な視点に立って非常にまれにしか売買しない運用者がいることは、たしかです。コンピューター上でアルゴリズムを走らせて、ナノ秒単位で株式の売買を指示できる人もいます。マクロ経済上の観点で判断し、それによって出入りを決めるプロ投資家もいるでしょう。

4番目のバケツには、先に記したアクティブな機関投資家と同じようなやり方で運用している個人投資家が含まれます。そのような株主は、みずからの保有するバークシャー株を、他に魅力的な投資先が見つかったときに利用できる資金源とみなします。これは理解できることで、そのような姿勢に異議を唱えるつもりはありません。当社で保有している株式にはそのように考えているものもあるからです。

Ownership of Berkshire now resides in five large "buckets," one occupied by me as a "founder" of sorts. That bucket is certain to empty as the shares I own are annually distributed to various philanthropies.

Two of the remaining four buckets are filled by institutional investors, each handling other people's money. That, however, is where the similarity between those buckets ends: Their investing procedures could not be more different.

In one institutional bucket are index funds, a large and mushrooming segment of the investment world. These funds simply mimic the index that they track. The favorite of index investors is the S&P 500, of which Berkshire is a component. Index funds, it should be emphasized, own Berkshire shares simply because they are required to do so. They are on automatic pilot, buying and selling only for "weighting" purposes.

In the other institutional bucket are professionals who manage their clients' money, whether those funds belong to wealthy individuals, universities, pensioners or whomever. These professional managers have a mandate to move funds from one investment to another based on their judgment as to valuation and prospects. That is an honorable, though difficult, occupation.

We are happy to work for this "active" group, while they meanwhile search for a better place to deploy the funds of their clientele. Some managers, to be sure, have a long-term focus and trade very infrequently. Others use computers employing algorithms that may direct the purchase or sale of shares in a nano-second. Some professional investors will come and go based upon their macro-economic judgments.

Our fourth bucket consists of individual shareholders who operate in a manner similar to the active institutional managers I've just described. These owners, understandably, think of their Berkshire shares as a possible source of funds when they see another investment that excites them. We have no quarrel with that attitude, which is similar to the way we look at some of the equities we own at Berkshire.

チャーリー[・マンガー]は1962年に自身のパートナーシップを設立し、わたしと同じように良好に運営していました。わたしも彼も機関投資家を抱えたことはありませんでした。そのため、わたしどものパートナー[=有限責任組合員]のなかに、金融面で洗練された人はほとんどいませんでした。わたしどもの企てに参画してくれた人たちは、わたしどもがおのれの資金と同じように彼ら自身の資金も扱ってくれるものだと、単純に信頼してくれました。直感的に、あるいは友人からの助言に従ったことで、その人たちは次の点を正しくも判断しました。わたしやチャーリーが資本を恒久的に欠損させる事態を著しく忌避する上に、十分にうまい成果をあげられると期待できなければ、彼らの資金をあずからないだろうと。

1965年にバフェット・パートーナーシップ(BPL)がバークシャーの経営権を獲得したことで、わたしは企業経営に足を踏み入れることになりました。BPLを解散しようと決めたのは1969年になってからでした。BPLはその年末に、持分の割合に応じた分配を実行することとなりました。現金と3社の株式をです。そのうち価額がもっとも大きかったのは、BPLで70.5%分を保有していたバークシャー株でした。

1983年にバークシャーとブルーチップ社は合併し、バークシャーに記載登録されている株主数は1,900名から2,900名に増加しました。わたしもチャーリーもすべての株主が、つまり継続株主・新規株主・見込み株主のいずれもが、理解を同じにしてほしいと考えました。

それゆえ1983年度の年次報告書では、バークシャーにおける「事業上の主要な原則」を冒頭のページに掲載しました。第一の原則は次のように始まっています。「わたしたちは会社法人の形態をとっているものの、わたしたちの心持ちはパートナーシップにあります」と。わたしたちの関係は1983年にそのように定められましたが、その定めは今も同じです。私もチャーリーもそして取締役諸氏も同様に、これから何十年にもわたってその宣言が、バークシャーにとってうまく働くにちがいないと考えております。

Charlie formed his partnership in 1962 and operated much as I did. Neither of us had any institutional investors, and very few of our partners were financially sophisticated. The people who joined our ventures simply trusted us to treat their money as we treated our own. These individuals - either intuitively or by relying on the advice of friends - correctly concluded that Charlie and I had an extreme aversion to permanent loss of capital and that we would not have accepted their money unless we expected to do reasonably well with it.

I stumbled into business management after BPL acquired control of Berkshire in 1965. Later still, in 1969, we decided to dissolve BPL. After yearend, the partnership distributed, pro-rata, all of its cash along with three stocks, the largest by value being BPL's 70.5% interest in Berkshire.

Charlie, meanwhile, wound up his operation in 1977. Among the assets he distributed to partners was a major interest in Blue Chip Stamps, a company his partnership, Berkshire and I jointly controlled. Blue Chip was also among the three stocks my partnership had distributed upon its dissolution.

In 1983, Berkshire and Blue Chip merged, thereby expanding Berkshire's base of registered shareholders from 1,900 to 2,900. Charlie and I wanted everyone - old, new and prospective shareholders - to be on the same page.

Therefore, the 1983 annual report - up front - laid out Berkshire's "major business principles." The first principle began: "Although our form is corporate, our attitude is partnership." That defined our relationship in 1983; it defines it today. Charlie and I - and our directors as well - believe this dictum will serve Berkshire well for many decades to come.

2020年度バフェットからの手紙(3)バフェット・パートナーシップ

バークシャー・パートナーシップ

バークシャーはデラウェア州に設立された会社です。そのため、当社の取締役は同州の法律に従わなければなりません。そのひとつとして、取締役会に所属する者は会社及び株主にとっての最善の利益のために行動する義務を負っています。当社の取締役はその原則を受け入れています。

もちろんですがそれに加えて、バークシャーの取締役は当社に対して次の点を望んでいます。顧客を満足させること。36万名になる従業員の技量を高め、それに対して報いること。資金の貸し手には敬意をもって接すること。事業を営むさまざまな都市や州においては良き市民とみなされること。当社ではそれらの4者を重要な支持者として大切に考えています。

しかしながら、それらのどの集団も次の各件について票決する権利は有していません、配当金の支払い、会社の戦略的方向、CEOの選出、そして企業買収や部門売却の是非についてです。それらの要件を果たす責任は、バークシャーの取締役のもとに帰着します。そして彼ら取締役は、会社やその所有者の長期的な利益を忠実に代表しなければなりません。

わたしやチャーリーは法的な責任だけでなく、バークシャーの株を保有する数多くの個人投資家に対して特別な義務を感じています。ここでちょっとした身の上話をすることで、わたしどもが常ならぬこだわりを抱いているわけや、そのことがわたしどもの行動をどのように御しているのか、わかりやすくなるかと思います。

The Berkshire Partnership

Berkshire is a Delaware corporation, and our directors must follow the state's laws. Among them is a requirement that board members must act in the best interest of the corporation and its stockholders. Our directors embrace that doctrine.

In addition, of course, Berkshire directors want the company to delight its customers, to develop and reward the talents of its 360,000 associates, to behave honorably with lenders and to be regarded as a good citizen of the many cities and states in which we operate. We value these four important constituencies.

None of these groups, however, have a vote in determining such matters as dividends, strategic direction, CEO selection, or acquisitions and divestitures. Responsibilities like those fall solely on Berkshire's directors, who must faithfully represent the long-term interests of the corporation and its owners.

Beyond legal requirements, Charlie and I feel a special obligation to the many individual shareholders of Berkshire. A bit of personal history may help you to understand our unusual attachment and how it shapes our behavior.

Before my Berkshire years, I managed money for many individuals through a series of partnerships, the first three of those formed in 1956. As time passed, the use of multiple entities became unwieldy and, in 1962, we amalgamated 12 partnerships into a single unit, Buffett Partnership Ltd. ("BPL").

By that year, virtually all of my own money, and that of my wife as well, had become invested alongside the funds of my many limited partners. I received no salary or fees. Instead, as the general partner, I was compensated by my limited partners only after they secured returns above an annual threshold of 6%. If returns failed to meet that level, the shortfall was to be carried forward against my share of future profits. (Fortunately, that never happened: Partnership returns always exceeded the 6% "bogey.") As the years went by, a large part of the resources of my parents, siblings, aunts, uncles, cousins and in-laws became invested in the partnership.

ウォーレンがみずからに課した報酬基準は、自信に裏付けられていたとは思いますが、実直で好感が持てるものです。彼やチャーリーの魅力は、能力や実績が秀でている点だけでなく、こういった行動規範をすこしずつ積み上げることで、職業倫理を高めたり人格を陶冶してきた点にもあると感じています。

2020年度バフェットからの手紙(2)楽に稼げるほうがいい

2020年度「バフェットからの手紙」より、前回分に続いてコングロマリットの話題です。今回の文章では、バークシャーの経営陣がコングロマリットとしての同社にどうあってほしいのか簡潔に記しています。(日本語は拙訳)

わたしとチャーリーがコングロマリットたる当社に望んでいることは次のとおりです。「すぐれた経済的特性を有し、さらにはすぐれた経営者に率いられたさまざまな分野にわたる諸企業の、全部あるいは一部を保有してほしい」と。しかし、それらの企業を経営支配できるかどうかは、わたしどもにとって重要ではありません。

わたしがそのように悟るまでには、しばらく時間がかかりました。しかしチャーリーのおかげで、さらにはわたし自身がバークシャーを引き継いだあとに繊維事業で20年間にわたって悪戦苦闘した末に、ようやくわたしにもよく理解できました。すばらしい企業の言わば非支配株主持分を保有するほうが、ずっと儲かる上にずっと愉快であり、さらには伸び悩む企業を100%まるごと保有して苦心するよりも、はるかに労力がかからないことを。

そういった理由からコングロマリットたる当社はこれからも、経営面で支配下におさめた企業とそうでない企業を併せて保有していく方針です。わたしとチャーリーは、候補企業の永続的競争力や経営陣の手腕・性格そして価格を踏まえた上で、もっとも妥当だと確信できるのであればどこであれ、株主のみなさんからあずかっている資本をいちずに投下していきます。

そのような戦略をとる際に、わたしどもの労力がほとんどあるいはまったく必要ないとすれば、なおさらありがたいことです。飛込競技で採用されている採点規則とは対照的に、ビジネスの取り組みに対して「高難度」だからと加点されることはありません。さらには、ロナルド・レーガン[元大統領]も次の警句を残しています。「精励尽力して命を落とす人はいないと言うが、そもそもどうしてそうするのだろうね」と。

Charlie and I want our conglomerate to own all or part of a diverse group of businesses with good economic characteristics and good managers.Whether Berkshire controls these businesses, however, is unimportant to us.

It took me a while to wise up. But Charlie - and also my 20-year struggle with the textile operation I inherited at Berkshire - finally convinced me that owning a non-controlling portion of a wonderful business is more profitable, more enjoyable and far less work than struggling with 100% of a marginal enterprise.

For those reasons, our conglomerate will remain a collection of controlled and non-controlled businesses. Charlie and I will simply deploy your capital into whatever we believe makes the most sense, based on a company's durable competitive strengths, the capabilities and character of its management, and price.

If that strategy requires little or no effort on our part, so much the better. In contrast to the scoring system utilized in diving competitions, you are awarded no points in business endeavors for "degree of difficulty." Furthermore, as Ronald Reagan cautioned: "It's said that hard work never killed anyone, but I say why take the chance?"

2020年度バフェットからの手紙(1)2匹でお支払いしましょう

バークシャー・ハサウェイのウォーレン・バフェットが、2/27(土)付けで2020年度の「バフェットからの手紙」を公開しています。今回とりあげている内容は同社株主向けの話題が中心になっており、一般投資家からすれば興味を持てない文章かもしれません。しかし個人的には同社の株主を長く続けており、昨年には持ち株を買い増しする機会を久しぶりに得て、さらには今後も買い増ししたいと願っています。今回の文章もそのような株主を唱導してくれる内容であり、ひきつづき株主でありたいと思わせてくれるものでした。


今回からの投稿では、同レターの中からいくつかの文節を拙訳付きでご紹介します。まずはコングロマリットに関する話題をとりあげます。

当社の方針は二段構え


バークシャーは「コングロマリット企業」と呼ばれることがよくあります。これは「たがいに無関係である各種事業を闇雲に保有している持株会社」を示すために使われる否定的な言葉です。もちろんこの言葉はバークシャーを描写してはいます。しかし、それはごく一部に限られます。それでは当社が、コングロマリットの原型とはなぜどのように異なっているのかを理解するために、コングロマリットの歴史を若干振り返ってみたいと思います。


概してコングロマリット企業は、「事業を買う際には丸ごとで」という制約を長期間にわたってみずからに課してきました。しかしながら、その戦略には2つの大きな問題がつきまといました。第一の問題点は「真に傑出した企業は、他社に買収されたいとはまず考えなかった」ことです。しかもこれは対処不可能な問題です。その結果、買収案件を渇望するコングロマリットの経営者たちは、重要かつ永続的な競争力を有していない、そこそこの企業に狙いを定めるしかありませんでした。「釣りをするにはもってこいの池」ではなかったのです。


そのうえコングロマリット屋たちは「散々な事業の世界」へと入り込んだ際に、獲物を捕らえるためには驚くほどの「経営権としての」割増金を支払う羽目になると気づいたものでした。意欲的なコングロマリット屋たちは、この「支払いすぎる」問題を解決する方法を知っていました。値の張る買収に使える「通貨」として、大幅に割高な自社の株式を生み出せればよいと考えたのです(そちらの犬の値段は1万ドルですか。では、うちの猫は5,000ドルなので、2匹でお支払いしましょう)。


コングロマリット企業の株式を割高な株価へと育む道具としては、喧伝するための各種技術や、「想像力ゆたかな」会計操作がよく使われました。後者は欺瞞的と呼べればいいほうで、ときには詐欺の領域へ踏みこんでいました。そのような仕掛けが「成功」したときには、被買収候補企業に対してたとえば企業価値の2倍で買収したいと条件提示できるように、そのコングロマリット企業の株価は企業価値の3倍へと押し上げられました。


投資という名の幻想が、おどろくほど長期間にわたって続くこともあります。ウォール街の金融家はその手の取引がもたらす手数料にすり寄り、報道機関は華やかな仕掛け人らが繰り出す話題に惹かれるものです。そしてまた、吹聴されている株式の値段が高騰しているという事実が、幻想ならず現実である「証拠」とみなされる時期があるものです。


もちろんですが結局のところ、祭りは終わりをむかえて、「皇帝」とみなされていた事業家たちの多くが衣服をまとっていなかったとわかります。金融の歴史には、有名なコングロマリット経営者の名前が満ちあふれています。当初の彼らは、ジャーナリストやアナリストや投資銀行家から「ビジネスの天才」と崇められていました。しかし彼らの創造した産物は、やがては廃品集積所と成り果てたのです。

Two Strings to Our Bow


Berkshire is often labeled a conglomerate, a negative term applied to holding companies that own a hodge-podge of unrelated businesses. And, yes, that describes Berkshire - but only in part. To understand how and why we differ from the prototype conglomerate, let's review a little history.


Over time, conglomerates have generally limited themselves to buying businesses in their entirety. That strategy, however, came with two major problems. One was unsolvable: Most of the truly great businesses had no interest in having anyone take them over. Consequently, deal-hungry conglomerateurs had to focus on so-so companies that lacked important and durable competitive strengths. That was not a great pond in which to fish.


Beyond that, as conglomerateurs dipped into this universe of mediocre businesses, they often found themselves required to pay staggering "control" premiums to snare their quarry. Aspiring conglomerateurs knew the answer to this "overpayment" problem: They simply needed to manufacture a vastly overvalued stock of their own that could be used as a "currency" for pricey acquisitions. ("I'll pay you $10,000 for your dog by giving you two of my $5,000 cats.")


Often, the tools for fostering the overvaluation of a conglomerate's stock involved promotional techniques and "imaginative" accounting maneuvers that were, at best, deceptive and that sometimes crossed the line into fraud.  When these tricks were "successful," the conglomerate pushed its own stock to, say, 3x its business value in order to offer the target 2x its value.


Investing illusions can continue for a surprisingly long time. Wall Street loves the fees that deal-making generates, and the press loves the stories that colorful promoters provide. At a point, also, the soaring price of a promoted stock can itself become the "proof" that an illusion is reality.


Eventually, of course, the party ends, and many business "emperors" are found to have no clothes. Financial history is replete with the names of famous conglomerateurs who were initially lionized as business geniuses by journalists, analysts and investment bankers, but whose creations ended up as business junkyards.


Conglomerates earned their terrible reputation.

2020年バークシャー株主総会(42)株式市場予測に基づいた売却ではない

<ウォーレン・バフェット> 飛行機が多すぎるのです。数か月前に発注が下されて合意がなされたときには、そのような状況ではありませんでした。しかし航空会社にとって世界は変化してしまいました。彼らにはうまくいってほしいと思いますが、しかし航空会社は当社が保有する事業のひとつでした。当社が直接保有している企業のなかには、これから大きな傷を負うことになる会社もあります。例のウィルスはバークシャーの資金を奪っていきます。「株式だから資金が減る」という意味ではありません。それは事業によってさまざまです。たとえばXYZという会社の株を保有していて、つまり一事業として保有しており、その会社を気に入っているとします。しかしXYZ社の株価が20%あるいは40%下落しても、その状況で損をしたとは感じません。一方で、今回実際に航空会社に起こったという意味では、まるで100%保有している会社であるかのように、痛手を受けたと感じました。

So you've got too many planes, but it didn't look that way when the orders were placed a few months ago, when arrangements were made. But the world changed for airlines and I wish them well, but it's one of the businesses we have. We have businesses we own directly that are going to be hurt significantly. The virus will cost Berkshire money. It doesn't cost money because of our stock. And various other businesses moves around. I mean, if XYZ, which say is one of our holdings and we own it as a business and we liked the business. The stock was down 20 or 30 or 40%. We don't feel we're poor in that situation. We felt we were poor in terms of what actually happened to those airline businesses just as if we don't a hundred percent of them. [as if we'd owned?]

So that explains those sales, which are relatively minor, but I want to make sure that nobody thinks that involves a market prediction. And that pretty well wraps it up for Berkshire. 2020年バークシャー株主総会(41)航空業界に残る問題

本当のところ、航空会社のCEOという仕事は楽しいものではありません。しかし当社が買ったどの会社もよく経営されていました。たくさんのことを適切に遂行していました。なんといっても難しい事業です。毎日何百万人もの人が関わっており、そのうちの1%の人にまずいことがあれば、ずいぶんと残念な気持ちになってしまいます。ですから、航空会社のCEOの座に就いている人をうらやましいと思ったことはありません。特に今回のような時期においては、なおさらです。基本的には「飛ぶな」と言われている業界です。わたしも「しばらくは飛行機禁止」と言われました。飛行が再開されるのを期待しております。ただし定期便ではないかもしれませんが、それは別の話題になりますね。わたしの思いこみかもしれませんし、そうであってほしいとは思いますが、航空業界は非常に大きく変化したと思います。4社のそれぞれが平均100億から120億ドル以上の借入れをすると予想されることを考えると、明らかに実状が変わってしまいました。

その借金は、一定の期間にわたって利益から返済しなければなりません。つまりそのようなことになれば、100億から120億ドルの損失になります。新株を売るか、新株予約権を売らざるを得ない事態も考えられます。それでは逆に悪くなってしまいます。飛行機を使う人が増えることで、2,3年後には旅客マイルが昨年の水準に戻るのかどうか、わたしには判断できません。そうなるかもしれないし、ならないかもしれません。航空会社自体にはまったく問題がないことがわかったとしても、わたしにとって業界の未来はずいぶんと曖昧なものになってしまいました。つまり今回は確率の低い事象が起こったわけです。そのことで特に旅行業界やホテル業界、クルーズ業界、テーマパーク業界が傷を負いましたが、特にひどいのが航空業界でした。しかし商売が7割から8割回復したとしても、航空業界には依然として問題が残ります。航空機が消えずに残っている点です。

I mean, believe me, no joy being a CEO of an airline, but the companies we bought are well managed. They did a lot of things right. It's a very, very, very difficult business because you're dealing with millions of people every day, and if something goes wrong for 1% of them, they are very unhappy. So I don't envy anybody the job of being CEO of an airline, but I particularly don't enjoy being it in a period like this, where essentially nobody... People have been told basically not to fly. I've been told not to fly for a while. I'm looking forward to flying them. May not fly commercial, but that's another question. The airline business, and I may be wrong and I hope I'm wrong, but I think it changed in a very major way, and it's obviously changed in the fact that there're four companies are each going to borrow perhaps an average of at least 10 or 12 billion each.

You have to pay that back out of earnings over some period of time. I mean, you're 10 or $12 billion worse off if that happens. And of course in some cases they're having to sell stock or sell the right to buy a stock at these prices. And that takes away from the upside down. And I don't know whether it's two or three years from now that as many people will fly as many passenger miles as they did last year. They may and they may not, but the future is much less clear to me, [inaudible 00:02:52], how the business will turn out through absolutely no fault of the airlines themselves. That's something that was a low probability event happened, and it happened to hurt particularly the travel business, the hotel business, cruise business, the theme park business, but the airline business in particular. And of course the airline business has the problem that if the business comes back 70% or 80%, the aircraft don't disappear.

2020年バークシャー株主総会(40)わたしの間違いでした

<ウォーレン・バフェット> そうしたのは基本的に、だれかが目標価格を変更したり、今期の利益予想を変更したことで、「株式市場は下落するか、今の状態で進むだろう」と考えるようになったからではありません。「企業の価値を評価する際に自分がまちがっていた」と判断したからです。それは原因が究明できる失敗でした。株式を買ったときには、確率で重みづけした上で決定をくだしました。そして航空業界にわたって投資していた時には、十分な見返りを得ていました。

最大手の航空会社4社を合算したとして、その10%ほどを購入しました。4月に実行[売却]したのは100%ではないですが、大手4社の10%を購入するために70億から80億ドルを支払いました。

当社としては、10億ドルほどの利益を得ていると考えていました。10億ドルの配当金を受け取ったわけではないですが、持分に相当する利益の額はおよそ10億ドルだとみなしていました。そしてある程度の期間でみれば、その金額を上回る年のほうが下回る年よりも多いだろうと予想していました。当然ながら周期的な変動はあるでしょうが、会社全体を買ったと想定して利益のことを考えていました。しかし当社はニューヨーク証券取引所で株式を買ったので、実際には4社全体の10%程度しか買えませんでした。わたしどもの心のなかでは、その事業を本当に保有しているかのように考えてきました。そして今回、わたし自身が事業のことをまちがってとらえていたという結果になりました。優秀なる4名のCEO諸氏が失敗をおかしたわけではありません。

And that's basically, that isn't because we thought the stock market was going to go down or anything of this order because somebody changes their target price or they change this year's earnings forecast. I just decided that I'd made a mistake in evaluating. That was an understandable mistake. It was a probability-weighted decision when we bought that, we were getting an attractive amount for our money when investing across the airlines business.

So we bought roughly 10% of the four largest airlines, and we probably... This is not 100% of what we did in April, but we probably paid $7 or $8 billion and then somewhere between $7 and $8 billion to own 10-

And somewhere between seven and eight billion to own 10% of the four large companies in the airline business, and we felt for that, we were getting a billion dollars roughly of earnings. Now we weren't getting a billion dollars of dividends, but we felt our share of the underlying earnings was a billion dollars and we felt that that number was more likely to go up than down over a period of time. It would be cyclical obviously, but it was as if we bought the whole company. But we bought it through the New York Stock Exchange, and we can only effectively buy 10% roughly of the four. And we treat it mentally exactly as if we were buying a business. And it turned out I was wrong about that business because of something that was not in any way the fault of four excellent CEOs.

2020年バークシャー株主総会(39)4月はずいぶん売りました

<ウォーレン・バフェット> しかし、わたしどもはバークシャーで準備をしていました。あれほどまでに行動できる議長がFEDにいない場合を想定して、つねに備えてきました。わたしどもはあらゆることに備えたいと考えています。そのことが、現金や債券で1,240億ドル分を保有している説明の一部になっていると思います。ですから当社には、そのすべてが必要なわけではありません。

しかし当社は他人のやさしさのみならず、友人のやさしさにも頼りたくないと考えています。次のスライドは株式に関する行動についてですが、年初における資産の市場評価額は5,000億ドルに近かったので、その規模から考えてみれば小さな金額でした。購入した自社株は17億ドルでした。また株式の購入は売却を20億ドルほど上回りました。


先ほどのスライドでみたように、営業利益は60億に近い50億ドル台でした。ですから第1四半期にはほとんど何もしていません。そしてスライドをもうひとつ加えましたが、これは通常公表していないものです。しかし、投資や株式についていつもよりお話しするのは、バークシャーが実際に行っていることを知ってほしいからです。それで4月はどうだったかと言いますと、正味60億ドルほどの証券を売却しました。

But we're prepared at Berkshire. We always prepare on the [ad 01:39:20], on the basis that maybe the Fed will not have a chairman that acts like that. And we really want to be prepared for anything. So that explains some of the $124 billion in cash and bills. We don't need it all.

But we never want to be dependent on not only the kindness of strangers but the kindness of friends. Now, in the next slide, we have the what we did in equities, and these numbers are tiny when you get right down to it. I mean, for having $500 billion or so in net worth and... I mean, not net worth, but in market value at the start of the year or something close to that. We bought in $1.7 billion of stock, and our purchases were a couple of billion more than our sales of equities.

But as you saw in the previous slide, we had operating earnings of $5, almost $6 billion. So we did very little in the first quarter. And then I've added in another figure, which I wouldn't normally present to you. But I want to be sure that if I'm talking to you about investments and stocks more than I usually have, I want you to know what Berkshire's actually doing. Now, you'll see in the month of April that we net sold $6 billion or so of securities.

2020年バークシャー株主総会(38)3月23日、FEDが決断した日

<ウォーレン・バフェット> そして3月に市場が基本的に凍りついたときに、中旬過ぎには若干閉場されましたが、FEDが3月23日に各種の行動を起こしたことで、わたしの記憶では社債発行額が史上最大となった月間になりました。そして4月にはさらに増加しました。あらゆる種類の企業が市場に現れ、金利スプレッドが狭まるなかで闇雲につかんでいきました。3月後半や4月に社債を発行したあらゆる者たちの一員として、わたしはFEDへ感謝の手紙を送りました。もしもFEDが実際に破格の速度と決断をもって実行していなければ、そうはならなかったからです。

今後はFEDの膨張したバランス・シートが何をもたらすのか、その成り行きをみていくことになります。そのバランス・シートは毎週木曜日に更新されますので、わたしと同じようなちょっと変わった人には楽しく読めると思います(笑)。毎週木曜日にインターネット上で更新されていますが[H.4.1, トレンド図]、この6,7週間で劇的に変化したことがみてとれます。

先ほど申し上げたように、この行く末がどうなるのかは、だれにも正確にはわかりません。また彼らが是が非でもやるべきことの次第についても、だれにもわかりません。しかし何もしないことが何をもたらすのか、わたしたちは知っています。それがために過去のFEDは、何もしないでいるかわりに、何か不適切なことをすることが多かったのかもしれません。しかし[音声不明瞭。ユーロ下落?]の進行がヨーロッパやFEDに何をもたらそうと、彼らが3月にとりあえず手を打ってケリをつけたことに対して、わたしたちは深く感謝するばかりです。

And then March, when the market had essentially frozen, closed a little after mid-month, ended up, because the Fed took these actions on March 23rd, it ended up being the largest month for corporate debt issuance I believe in history. And then April followed through with even a larger month. And you saw all kinds of companies grabbing everything, coming to market and spreads actually narrow then. And every one of those people that issued bonds in late March and April, I sent a thank you letter to the Fed because it would not have happened if they hadn't operated with really unprecedented speed and determination.

And we'll know the consequences of swelling the Fed's balance sheet. You can look at the Fed's balance sheet. They put it out every Thursday. It's kind of interesting reading if you're sort of a nut like me. But it's up there on the Internet every Thursday. And you'll see some extraordinary changes there in the last six or seven weeks.

And like I say, we don't know what the consequences of that, and nobody does exactly. And we don't know what the consequences of what they undoubtedly will have to do. But we do know the consequences of doing nothing. And that would've been the tendency of the Fed in many years past, not doing nothing, but doing something inadequate. But more [inaudible 01:39:00] brought the whatever it takes to Europe and the Fed, then with March, sort of did whatever it takes, squared, and we owe them a huge thank you.

2020年バークシャー株主総会(37)ポール・ボルカーとジェイ・パウエル

バークシャー・ハサウェイの株主総会より、ひきつづき金融市場で起こっていた麻痺寸前の状況についてです。1時間半以上にわたったウォーレン・バフェットのスピーチですが、そろそろ終わりがみえてきました。前回分の投稿はこちらです。(日本語は拙訳)

そして米国債市場が、つまりもっとも深みのある市場が混乱しはじめました。この国のすべての銀行や企業のCFOがそれを知り、恐れおののきながら反応しました。「恐れ」ほど伝染しやすい病気が想像できるでしょうか。まるで、例のウィルスが怠け者に見えるほどです。

そしてとうとう、信用を当てにしていた世界中の大企業各社に対する貸付が、全面的に凍結される寸前まで至りました。そのときジェイ・パウエルがすばらしい行動を起こしてくれたのです。わたしは常々ポール・ボルカーを特別な地位、つまりFRBの議長を長年にわたって務めたという点で、彼を特別な台座に据え奉ってきました。FEDの議長にはすばらしい人が数多くいましたが、わたしはポール・ボルカーを最上位に位置づけてきました。ここで今回、もう一人を推挙したいと思います。なお、きちんとは覚えていませんが、ポール・ボルカーが亡くなったのは、まだ1年経っていない頃か、あるいはもう少し最近のことでした。

しかし亡くなった時期からそれほど離れていない頃に、彼は"Keeping at it"(邦訳『ボルカー回顧録』)という題名の本を著していました。[先述した]ブックワーム書店でわたしの友人に聞いてみればその本が手に入りますので、ぜひ楽しんでください。ポール・ボルカーは数多くの点で巨人でしたし、魅力的な人物でもありました。彼とジェイ・パウエルは過敏さなどに対してそれほど注意を払いませんでしたが、それでもわたしとしては、ジェイ・パウエルはボルカーと共に台座に据え奉るべき人物だと考えています。なぜなら彼は3月中旬に行動を起こしたからです。おそらくは2008年と2009年に目撃した出来事によって、いくぶん導かれたのでしょう。彼らは甚大な策を講じました。そして、その後に起きたことについてはその歩みに任せることを、基本的に許可したのです。

We got to the point where the U.S. Treasury market, the deepest of all markets, got somewhat disorganized. And when that happens, believe me, every bank and CFO in the country knows is, and they react with fear. And fear is the most contagious disease you can imagine; it makes the virus look like a piker.

And we came very close to having a total freeze of credit to the largest companies in the world who were depending on it. And to the great credit of Jay Powell, I've always had Paul Volcker up on a special place, special pedestal in terms of Federal Reserve chairman over the years. We've had a lot of very good Fed chairmen, but Paul Volcker, I had him at the top of the list. And I'll recommend another, but Paul Volcker died about, I don't know, less than maybe a year ago or a little less.

But not much before he died, he wrote a book called Keeping at it. And if you call my friends at the Bookworm, I think you'll enjoy reading that book. Paul Volcker was a giant in many ways. He was a big guy too. He and Jay Powell, couldn't see more in temperament or anything, but Jay Powell, in my view, in the Fed board belong up there on that pedestal with him because they acted in the middle of March, probably somewhat instructed by what they'd seen in 2008 and '09. They reacted in a huge way and essentially allowed what's happened since that time to play out the way it has.

企業の成長性と価値評価の関係(中)(マイケル・モーブッシン)

マイケル・モーブッシンのエッセイをもう少し取り上げます。今回の文章では、前回分の投稿で取り上げた割引キャッシュフロー・モデルを使い、事業の予想成長率が低下したときの価値評価をみています。(日本語は拙訳)

それではここで、予想成長率を10%から7%へと低下させてみよう。なお、基準年の利益を100ドルとしている。

注目すべき点は、利益成長率が2.7%しか低下していないのに、そこから保証されるPER倍率は激しく急落して、22.9%も減少している点だ。投資家というものはPER倍率を算出する際に、現在の株価と来年[つまり今期末]の利益を使うことが多い。その結果、「次の利益はわずかな変化にとどまるようだが、それと比較すると市場は過剰に反応している」と思いこむことがある。しかし、PER倍率が大きく下落したように見えても、成長の足取りに対する期待がしぼんでしまえば、それは完全に正当化される。

上述した計算は、バフェットが指摘した次のことを裏付けている。「価値(バリュー)を求める計算には、成長(グロース)という変数を必ず含んでいる。その変数は計算結果に対して、『軽微』以上『甚大』以下の影響を及ぼす」。資本コスト程度のリターンしか得られない事業では、価値を求める上で成長性はほとんど違いをもたらさない。しかし、投下資本に対して高いリターンをあげる事業では、成長性は価値を大きく増大させる。

Note that the change in growth reduces next year’s earnings by only 2.7 percent, but that the warranted P/E multiple drops a more precipitous 22.9 percent. Investors often calculate the P/E multiple using the current price and next year’s earnings. As a result, they sometimes believe that the market overreacts to what appear to be modest changes in the near-term earnings. But if expectations for the trajectory of growth really do shift down, the large apparent drop in the P/E multiple is completely justified.

This calculation substantiates Buffett’s point that, “Growth is always a component in the calculation of value, constituting a variable whose importance can range from negligible to enormous.” Growth makes little difference for businesses that earn a return close to the cost of capital but is a huge amplifier of value for high-return businesses.

2020年バークシャー株主総会(36)欲望という名の電車

<ウォーレン・バフェット> ですから、わたしどもがバークシャーに望んでいる位置とは..、『欲望という名の電車』に登場するブランチ・デュボアを覚えておられますか。多くの方が生まれるよりもずっと前の作品ですね。しかし彼女は「あの人たちを望んではいない」と言いました。ブランチの場合、「私はいつも他人のやさしさを頼りにしてきた」と言っていましたが、当社は友人の好意に頼りたいとは考えていません。なぜならば、資金がほとんど止まってしまう時期というものがあるからです。おもしろいことに、そういった例がひとつありました。もちろん2008年から2009年のことです。

しかし今年の3月23日の前日あるいは前々日には、それと非常に近い状況になりました。投資適格の諸企業が市場から実質的に締め出されようとしていたのです。ところが幸運なことに、その状況を連銀が把握していました。

米国じゅうの企業のCFOは株主資本の最大化をある種問われつづけてきたので、ある程度の資金は社債によって調達していました。なぜなら非常に安上がりな上に、銀行からの融資枠などが用意されていたからです。そのため多くの企業において、債務が相当な水準まで漸増していました。

当然ながら彼らは市場で起こったこと、特に株式市場の様子を知って縮みあがりました。そして、融資枠から引き出そうと殺到したのです。融資枠の期間を延長しようとしていた者たちはそのことに驚き、非常に神経質になりました。そして3月中旬に資金貸出要求が殺到したことで、それを受け入れるウォール街の余力は限界まで収縮しました。そしてついには各種市場を監視していた連銀が、非常に大きな行動をとるべきだと決断したのです。

So we want to be in a position at Berkshire where... Well, you remember Blanche DuBois in A Streetcar Named Desire - That goes back before many of you. But she said she didn't want them. In Blanche's case, she said that she depended on the kindness of strangers. And we don't want to be dependent on the kindness of friends even because there are times when money almost stops. And we had one of those, interestingly enough. We had it, of course, in 2008 and '09.

But right around in the day or two leading up to March 23rd, we came very close but fortunately we had a Federal Reserve that knew what to do, but money was... investment-grade companies were essentially going to be frozen out of the market.

CFOs all over the country had been taught to sort of maximize returns on equity capital, so they financed themselves to some extent through commercial paper because that was very cheap and it was backed up by bank lines and all of that. And they let the debt creep up quite a bit in many companies.

And then of course they had the hell scared out of them by what was happening in markets, particularly the equity markets. And so they rushed to draw down lines of credit. And that surprised the people who had extended those lines of credit; they got very nervous. And the capacity of Wall Street to absorb a rush to liquidity that was taking place in mid-March was strained to the limit to the point where the Federal Reserve, observing these markets, decided they had to move in a very big way.

2020年バークシャー株主総会(35)クレイトン大学対ビラノバ大学

<ウォーレン・バフェット> それではこのスライドを..、いいえ、前のものに戻りましょう。ここに3月31日現在の当社が保有する現金及び米国債の正味保有残高を示しています。これをみて「現金と米国債を合わせて1,250億ドル、そしてさらに..」と思われるかもしれません。保有する株式は、少なくともその時点では1,800億ドルほどになっていました。


「1,800億ドルの株式に対して、ずいぶんと大量の米国債を保有しているものだ」と思われたかもしれません。しかし当社では実のところ、はるかに多額の株式を保有しています。多数の事業を保有しているからです。つまり非常に多くの子会社が発行した株式、その100%を保有しているわけです。わたしどもにしてみれば、それらは当社が保有する市場流通株ととてもよく似ています。当社はすべてを保有しているわけではなく、それらには呼び値が付いていません。

しかし、当社が保有する完全子会社の株式は何千億ドルにも達します。ですから、1,240億ドルになる現金の比率は40%ほどではなく、それよりもはるかに低い割合にとどまっています。さらにわたしどもは、常に大量の現金を手元に残すようにしています。これは、あらゆる事態に備えるためです。たとえば911が再来したり、第一次世界大戦のときのように株式市場が閉場されたり、といった事態です。その戦争は起こらないと思いますが、しかし今年の1月にクレイトン対ビラノバの[バスケットボールの]試合を観ていた時点では、このようなパンデミックも起こらないだろうと思っていました。[クレイトン大学の所在地はオマハ]

Now, I show on the slide that's up, I show our... Well, let's go back one. Yeah. I show our net, our cash and Treasury bill position on March 31st. And you might look at that and say, "Well, you've got $125 billion or so in cash and Treasury bills. And you've got..." At least at that point, we had about, I don't know, $180 billion or so in equities.

And you can say, "Well, that's a huge position to have in Treasury bills versus just $180 billion in equities." But we really have far more than that in equities because we own a lot of businesses. We own 100% of the stock of a great many businesses, which to us are very similar to the marketable stocks we own. We just don't own them all. They don't have a quote on them.

But we have hundreds of billions of wholly owned businesses. So our $124 billion is not some 40% or so cash positions, it's far less than that. And we will always keep plenty of cash on hand, and for any circumstances, with a 9/11 comes along, if the stock market is closed, as it was in World War I - it's not going to be, but I didn't think we were going to be having a pandemic when I watched that Creighton-Villanova game in January either.
