ウォーレン・バフェットが望む人物の条件(セス・クラーマン)

2009年3月のOID誌に掲載されたセス・クラーマンの講演記事から、ウォーレン・バフェットの言葉を引用した部分です。どこかで読んだ記憶のある発言ですが、こうして触れられていることにいっそう意義を感じます。前回分はこちらです。(日本語は拙訳)

<クラーマン> いつの日か自分の後継者となる人物の職務責任をウォーレン・バフェットが書きくだした際に、その人物に望む条件のひとつとして彼はこう述べています。「かつて起きたことのない事態に対処でき、さらにはその事態さえも予期できること」と。これは予言的な言葉でしたし、投資家にとっては実に重要なことだと思います。(p.5)

Klarman: When Warren Buffett put out his job description for who would replace him some day, he said that one of the criteria he was looking for was somebody who could deal with and even anticipate things that had never happened before. Well, that was prophetic - and incredibly important for investors.

<クラーマン> みずからの投資プロセスをコントロールすることにおいて、そういった点は絶対的に重要です。ソシエテ・ジェネラル社のストラテジストであるジェームズ・モンティエ[現在はGMOに所属]は、少し前に書いた文章で次のように指摘していました。「北京オリンピックで競技が始まる直前に、どんなことを心に抱いていたか」、運動選手たちに対してそう質問したところ、返事はどれも同じように、選手がひたすら考えていたのは結果ではなくプロセスのほうだったとのことでした。プロセスに集中することが、最善の結果を達成する術だったのです。

さらにモンティエは、昔から心理学者が「結果バイアス」として知られる現象を知っていたことに触れています。これは、結果の如何によって異なった評定をくだす傾向のことです。たとえばある医者が手術を行って、患者が命を取りとめたとします。この場合、同じ手術をしながらも失敗して患者が死亡した場合と比較して、はるかに優れていた判断だったと評定されます。モンティエ曰く、成果が振るわない期間にはプロセスを変更するようにとの圧力が高まります。しかしそのプロセスが適切である以上、プロセスを変更することこそ間違いなのです。(p.3)

Klarman: This point about controlling your process is absolutely crucial. James Montier, SocGen's market strategist, pointed out in a recent piece that when athletes were asked what went through their minds just before competing in the Beijing Olympics, the response again and again was that the competitor was focused on the process, not on the outcome. The way to maximize outcome is to concentrate on the process.

Montier points out that psychologists have long been aware of a phenomenon known as "outcome bias". This is the tendency to judge a decision differently based on its outcome. For example, if a doctor performs an operation and a patient survives, the decision is rated as significantly better than if the same operation fails and the patient dies. According to Montier, during periods of poor performance, the pressure builds to change your process. But so long as the process is sound, this would be exactly the wrong thing to do.

<クラーマン> 経験とはたいていは良きものですが、時には経験という罠にいざなわれて、早すぎる行動を起こしたり、間違いを犯してしまうこともあります。それを承知で私の経験を申し上げれば、世の人たちが本意ではなしに止むを得ずめちゃくちゃな値段で手放し始めたら、そのときが買いに出る好機だと言えます。(p.4)

Klarman: So my experience - and experience is usually a good thing, but occasionally it can lure you into being too early or doing the wrong things - is that when people start to give something away at a ridiculous price because they have to, not because they want to, that's a good time to buy.

<クラーマン> 短期的な成績を追求する投資ビジネスに固有の圧力に抵抗でき、狙いを定め続けられるバリュー投資家は、むずかしい時期でさえも利益を上げることのできる多面的で柔軟な各種の道具を備えています。第一に、バリュー投資家はおのれの原則を守って良い時も悪い時も辛抱し続けられるので、割安な銘柄を保有できます。これは根底にある価値よりも割安に買った証券なので、安全余裕を授けられています。ただし保有銘柄の株価が下落しないとか下落などありえない、という意味ではありません。株価が下落すれば買い増しを検討したくなるような、より好ましいバーゲン銘柄になるという意味です。高い割合で借り入れをしている企業の株式や問題を抱えた金融会社、いつまで経っても大きくなれない事業やリスクの大きいジャンク債、そのような証券には手を出さないとする規律を厳格に守ってきたバリュー投資家は、むずかしい時期にはまちがいなく恩恵を受けます。それらの投機的な銘柄を保有している人は、市場が下落するとみずからの選択を早々に後悔することになるでしょう。(p. 2)

Klarman: Value investors who are able to maintain their focus and resist the pressures inherent in the investment business to pursue short-term results have a multifaceted and adaptable tool kit that should allow them to prosper even in difficult times. First, by maintaining their discipline and by remaining patient in good times and bad, value investors own bargains - securities trading at a discount to underlying value which confer a margin of safety. This doesn't mean those holdings can't or won't drop in price; it means that when they decline, they'll be an even better bargain to which you are likely to seek to add. In difficult times, value investors certainly benefit from their relentlessly-kept discipline by having avoided highly-leveraged stocks, troubled financials, perpetually marginal businesses, and risky junk bonds. When the market drops, holders of such speculations quickly regret their choices.

<クラーマン>バリュー投資家が自分以外の何かになりたいと望むのであれば、グレアムとドッドがみせてくれた知恵を思い返すのが一番です。この75年間で最高の成功をおさめた投資には、彼らが示した見事なロードマップに従うことで達成されたものがあったからです。難解かつ未知なこともある領域を通過する者を導き、成功をおさめさせてくれる地図です。

現在継続している市場環境において、ほとんどの投資家は舵を失っています。無能力となったことで、極端な混乱や企業業績の悪化、苦悶する経済や積み上がる損失がつづく最中に舵を取れないでいます。現金を手放そうとはせず、資金償還や損失増加を恐れています。しかし市場から身を引き、ある種の「絶対明白な」徴候が現われるまで再参入するのを待ちたいと思案する投資家にとって、有益なことがあります。1934年にグレアムとドッドが書いた忠告を思い返すことです。「我々は本書を書き記す間、世間に広まった『金融崩壊は永続必然』とする信念と戦わなければならなかった」。彼らが当時そう言えたのであれば、今私から同じように申し上げねばならないでしょう。

Klarman: When a value investor is tempted to become something other than what he or she is, I find it best to recall the wisdom of Graham and Dodd. Graham and Dodd have provided us with a remarkable road map that has been carried on some of the world's most successful investment journeys for 75 years - a road map that allows us to navigate through difficult, even uncharted, territory and come out ahead.

In a market like we've been experiencing, most investors lose their rudders. They become incapacitated, unable to navigate amidst extreme turmoil, declining corporate results, and a litany of economic woes and mounting losses. They become unwilling to part with their cash - afraid of possible redemptions, and afraid of adding to their losses. Investors today, who are tempted to pull out of the market and wait for some kind of "all clear" signal before recommitting, would be well advised to remember the counsel of Graham and Dodd who wrote in 1934: "While we were writing, we had to combat a widespread conviction that financial debacle was to be the permanent order." If they could say that then, I must restate it now.

<クラーマン> ですから、個別銘柄の株価が本当に割安な水準に達したときにそれを買わないとしたら、バリュー投資家がすべきこととは何でしょうか。それはマーケット・タイミングです。投資家は即時的な時間軸で暮らしています。数カ月や数日、数時間、はたまた数分間の人もいるでしょうが、数年間隔ではありません。将来を知ることはできません。またサイクルの途中においていつ終わりが来るのかわかりませんし、その始まりでさえ必ずしもはっきりしてはいません。ですから市場が下落する間に、それらしき機会に誘われてやられてしまうわけです。魅力なバーゲン銘柄あるいはバリューを装う銘柄だったり、騙し上げあるいは正当なる回復だったり、巧みな底値買いあるいは軽率な下落買いだったりと、そういった諸々を目の当たりにするでしょう。しかし実際に事実が起きてからでないと、どこまで下がるのかを知ることはできません。マクロ的な予測をすることはできます。その場合、今後生じる2回の景気後退のうち10回を予言するわけです。あるいはマクロ経済を無視する道もあります。その場合、経済が悪化して信用が収縮し、あらゆる証券から波が引いていった後に、もはや割安にみえなくなったバーゲン銘柄を買うわけです。

Klarman: So when individual stocks reach levels where they are truly undervalued, what are value investors supposed to do other than to buy them? Anything else is market timing. Investors live in real time - not in several year intervals, but in months, days, hours and even minutes. Because we cannot know the future - and cannot see in the middle of the cycle its end, and not even necessarily its beginning - we will be bombarded by apparent opportunity as the market descends. We will see tempting bargains and value imposters, false rallies and legitimate recoveries, smart bottom fishers and mindless buy-the-dippers - and we will never know until after the fact how low things might go. We can become macro forecasters, predicting 10 of the next two recessions, or we can ignore the macro economy, buying bargains that cease to look cheap as the economy deteriorates and credit contracts and the tide goes out on all marketable securities.

<質問> 30%下落した後に、次はどれだけどうなるのか、わかる人がいるのでしょうか。

<クラーマン> 市場が下落している最中に参入する時期が早すぎると、当然ですがどんな投資家にも大きなリスクとなります。それはバリュー投資家も同じです。上昇相場が継続中の間であっても、割安な証券がみつかればバリューに飢えた投資家は前進して買いに出るのはまちがいないでしょう。しかしほどなくして、その多くはまるでバーゲンでなかったことが明らかになります。世界全体が悪化するにつれて、それゆえに強気筋が拒絶していた欠陥がますます明白となるからです。株式市場が30%下落した時点で、今後どうなるのかを言い当てる術はありません。「あらゆる下落相場は大恐慌につながる」と予想するのは愚かしいことですが、「割高な水準から下落してずっと妥当な水準に達すれば、そこからはひどく激しい下落が起こるなどありえない」と期待するのも、同じようにまちがったことだと思います。(p. 2)

After a 30% drop, who knows how much further it might go?

Klarman: Of course, getting in too soon as the market falls involves great risk for all investors, including value investors. Certainly, when a few securities start to get cheap even as the bull market continues, a valuestarved investor will step up and buy them. Soon enough, many of these prove to be no bargain at all, as the flaws that caused them to be rejected by the bulls become more glaringly apparent when the world gets worse. After a stock market has dropped 30%, there's no way to tell how much further it might have to go. It'd be silly to expect every bear market to turn into the Great Depression. But it would be equally wrong to expect that a fall from overvalued to more fairly valued couldn't badly overshoot on the downside.

金融危機の影響で株式市場が底をつけた2009年3月に、OID誌(Outstanding Investor Digest)がセス・クラーマンの記事を掲載した号を発行していました。インターネット上を検索したところ、同記事のPDFファイルがアップロードされていたため、一部を引用してご紹介します。なお同誌はバリュー投資家に人気のある投資雑誌で、インタビューや講演をとりあげた記事が秀逸です。(日本語は拙訳)

はじめは、2008年初めの頃にセス・クラーマンが抱いていた市場全般に対する見方です。
彼は[2008年の早い時期に書かれたアニュアル・レポートの]最後でこう触れていた。「いわゆる『2008年1月のバーゲン』が本当に割安だったのか、それともバリューに飢える投資家を誘う単なる危険な誘惑だったのだろうか。それが明らかとなるには、かなりの時間がかかると思います」。そして彼が記した判断は、言うまでもなく正しかったのである。

and finally, that, “We will not be certain until much later whether the so-called bargains of January, 2008 were truly undervalued or merely dangerous temptations to value-starved investors.” Well, needless to say, that verdict is in.

次は、2008年10月にセス・クラーマンが講演した際の発言からです。
<クラーマン> 何年も前からですが、「自分のポートフォリオを運用する投資家として、いちばん恐れることは何か」との質問を受けることがありました。それに対して、「よくある非常に割高な水準から下落する際に、早すぎる時点で買いに踏み切っていること」と答えました。市場が崩壊する可能性はわかっていました。しかし「市場が頂点を付けた1年後、つまり30%下落した1930年に私がいたらどうなっただろうか」と何度か想像してみました。その当時、魅力的なバーゲンがあったのはまちがいないでしょう。しかしそれからの3年間に市場が大きく下落したことで粉々にされたのも確実だと思います。1929年を100%とすると、20%を下回る水準まで下落したからです。70が20に下落する場合と100が20に下落する場合をくらべても、20に落ちたときにはほぼまったく同じように感じられるでしょう。早すぎることと誤っていることは、ときとして区別できなくなるわけです。(p. 2)

For years, when someone asked me what my biggest fear was as an investor in managing my portfolio, my answer was that it was buying too soon on the way down from often very overvalued levels. I knew a market collapse was possible. And sometimes, I imagined that I was back in 1930 after the market had peaked the year before, and then dropped 30%. Surely, there would've been some tempting bargains then. And just as surely, you'd have been crushed by the market's subsequent plunge over the next three years - down to below 20% of 1929 levels. A fall from 70 to 20, and from 100 to 20, would feel almost exactly the same by the time you hit 20. Sometimes being too early becomes indistinguishable from being wrong.

失われた技芸(セス・クラーマン)

セス・クラーマンが1999年2月に発表したバリュー投資家に関するエッセイのその7最終回です。ITバブルが頂点をつける2000年3月よりも1年以上前の発表だったものの、文末で引用された言葉の重みを確かめるには、ほどよい期間だったように思います。前回分はこちらです。(日本語は拙訳)

逆張り思考という廃れた技術

バフの世界において、逆張り思考とは廃れてしまった技芸である。群衆の狂気(安全余裕の重要性については言うまでもなく) に関する書籍が無視されて絶版となっている事実は、「長期的に見ると多数派が正しいことはありえない」ことを示唆している 。「非常に早い時期から動くこと」と「間違っていること」は、過ぎ行く時間の99%において、まったく同じようにみえる。バフが就いている職業では、「早く動くこと」は「クビ」を意味する。ともかく、資金全額を投資するのがバフの仕事なのだ。うまくいっていた銘柄から逸脱するのはむずかしい。また小型で流動性の乏しい銘柄を買っても、毎週集まる現金の山をろくに捌けないだろう。たぶんバフは胸中で、自分こそが本物の逆張り屋だと半分信じているのかもしれない。そして株価上昇の余地は大いに残っているだろう、とも。

今日の投資の世界は上下が逆転している。リスキーと思えるもののほうが、手堅く見えるものよりもはるかにずっと安全なのだ。それに加えて、ウォーレン・バフェットとバフ・T・ウォーレン両氏のポートフォリオがかなり似ていることは、極めつけの皮肉と言える。バークシャーが保有する最大銘柄には、国際的な消費財企業であるジレットやコカ・コーラ社の株が含まれる。それらのなかにはPERが40倍を超えるものもあり、バフのように成長株を志向するマネージャーのお気に入り銘柄に含まれている。

『証券分析』でベンジャミン・グレアムが書いた序文には、ホラティウスの書簡詩『詩について』から次の一文が引用されている。「棄てられたものがやがてよみがえり、誉れ高きものがやがて落ちぶれる」。ただし、いつそうなるかは触れていない。

Lost Art of Contrary Thinking

Lost in Buff's world is the art of contrary thinking. Ignored, out-of-print titles about the madness of crowds (not to mention the importance of a margin of safety) suggest that the majority cannot be right in the long run. Being very early and being wrong look exactly the same 99% of the time, and early in Buff's line of work means unemployed. Anyway, it is Buff's job to be fully invested. It's hard to deviate from what has been working; and buying smaller, less liquid names really wouldn't make a dent in the mountain of cash that comes in every week. Maybe Buff even halfheartedly believes it is he who is the real contrarian, and that the rally has a lot farther to go.

The investment world today is turned upside down; what is seen as risky is almost certainly much safer than what is viewed as rock solid. Not only that, but in the ultimate irony, Warren Buffett's and Buff T. Warren's portfolios look a fair bit alike. Some of Berkshire Hathaway's largest holdings, including international consumer stocks like Gillette and Coca-Cola, now trade at over 40 times earnings and are among the favorite stocks of growth managers like Buff.

The preface to Benjamin Graham's Security Analysis contains the quote from Horace's Ars Poetica : "Many shall be restored that now are fallen and many shall fall that are now in honor." It does not say when.

「さらなる上昇を期待する愚者たちの殿堂」の一番奥にあるのは鏡だった。その建物に入ったことを知らずにいたバフは、みずからを慎重なる投資家とみなしていた。彼が保有していたのはクズ企業ではなく、結局は偉大な企業の株式だけだったからだ。市場は一貫して彼の判断を正当化したので、バフは確信と自分のイメージを強めるばかりだった。最高の成果をあげている銘柄をやめて別のものに手を出すことは、ひどく投機的だと考えていたのは明らかだった。彼はリスク回避志向の投資家を自認しており、さらには「バリュー」投資家ともみなしていた。流入する資金で株を買い、増えた持ち分をそのまま保有する。それが彼のモットーだった。

At the end of the Hall of Greater Fools is a mirror. Buff, unaware of entering the building, actually thinks of himself as a prudent investor. After all, he owns no junk, only the shares of great businesses. And the market's constant vindication of his judgment only reinforces his conviction and self-image. Obviously, selling his best performers to dabble in anything else would be wildly speculative and he has convinced himself that he is a risk-averse investor, even a "value" investor. Buying and holding, using inflows to add to positions, is his watchword.

Occasionally, one of Buff's shooting stars falls to earth; fortunately, his compatriots at other mutual funds probably owned it in about the same proportion. Then he does what you should always do when a stock disappoints and plunges in price: He blows it out. You can't, after all, trust a company that is incapable of massaging earnings into a steady growth pattern; why, the same thing might happen again. And he knows all his compadres are thinking the same thing and blowing it out, too.

Buff has a lot of company. His stocks are going up, not necessarily because they should but because they do. That no one can think of why they wouldn't is taken as evidence that they will rise further.

不可欠なる傲慢

バリュー投資の根本には「市場は投票機だが、秤量機ではない」とする信念がある。そのことをはじめて掲げたのが、ベンジャミン・グレアムだった。だから投資家は他のすべての意見を足し合わせた重みよりも、自分の意見に対して強い自信を持つ必要がある。これは傲慢にみえるかもしれないが、投資において意思決定する際には必要な傲慢だ。ただし、他人の意見を尊重して徹底した注意を払うことで加減しなければならない。彼らの中には非常に賢く、懸命に取り組んでいる人がたくさんいる。自分からすれば割安に思える株を彼らが売却するのは、彼らの無知や感情やさまざまな組織上の制約によるかもしれない。だが割安と思えたものが実際はちがっており、実は適切な価格だったり、それどころか割高かもしれないこともある。売り手のほうが自分よりもよくわかっている場合には、そうなり得る。これは重大なリスクである。しかしそれを緩和できる可能性はある。そのためには、まず徹底したファンダメンタルズ分析を行うこと。次に割安な投資候補を見つけるだけでなく、なぜ割安なのか可能なかぎり把握することが必要になる(売り手が撤退する真意を知ることはできないが、その論理をかなりのところまで推量できるかもしれない)。このような状態こそ、投資家が繰り返し身を置きたいと考えるべきものである(非常に多くの投資家が今日悩んでいる判断とくらべると、驚くほど異なった種類の考えだ)。

ではここからは、成長株に投資する巨大ファンドのマネージャーであるバフ・T・ウォーレン氏の例で考えてみよう。株価は高いが堅実に成長する企業の株を買って継続保有することで、彼は毎年大きな成果をあげてきた。バフは一貫して強気でありつづけ、今もなおそうである。現在の彼があるのはそのおかげだ。バフが心配するのをやめてからも、高い株価が継続している。柔軟にやっていなかったら、彼は今頃何者でもなかっただろう。ところで、彼が選んだ選択肢とは実のところ何だろうか。見たかぎり、ファンダメンタルズはすばらしい。だから株価は上がるべきだと。ポートフォリオ中の企業は米国における最高の企業ばかりで、時代の流れに合い、四半期毎の業績はアナリストの利益予想を上回っている。人口動態が示す大きな動きからすれば、株式市場へと着実に現金が流入する状況をとどめるものはないようだ。人気の高いそれらの大企業が投資家の要求する非常に大きな部分を受けとめ続けられない理由を、ほとんどの人は想像すらできないだろう。

Necessary Arrogance

At the root of value investing is the belief, first espoused by Benjamin Graham, that the market is a voting machine and not a weighing machine. Thus an investor must have more confidence in his or her own opinion than in the combined weight of all other opinions. This borders on arrogance, the necessary arrogance that is required to make investment decisions. This arrogance must be tempered with extreme caution, giving due respect to the opinions of others, many of whom are very intelligent and hard working. Their sale of shares to you at a seeming bargain price may be the result of ignorance, emotion or various institutional constraints, or it may be that the apparent bargain is in fact flawed, that it is actually fairly priced or even overvalued and that the sellers know more than you do. This is a serious risk, but one that can be mitigated first by extensive fundamental analysis and second by knowing not only that something is bargain-priced but, as best you can, also why it is so. (You never know for certain why sellers are getting out but you may be able to reasonably surmise a rationale.) This is the position in which investors should, over and over, want to put themselves (and an astonishingly different type of consideration than the great majority of today's investors are bothering to make).

Now consider mega-growth-fund manager Buff T. Warren, who has been racking up year after year of great performance buying and holding the shares of expensive but steadily rising growth companies. Buff has consistently been and remains bullish, since that is what got him where he is today. High stock prices have long since ceased to worry Buff, who is nothing if not flexible. And what choice does he really have, anyway? The fundamentals are excellent as far as the eye can see, so share prices should be high. His portfolio companies are among America's greatest, they are in sync with the times and they beat analysts' earnings expectations every quarter. There is apparently nothing in the great demographic roller coaster to interrupt the steady cash inflows into the stock market. Almost no one, in fact, can even imagine a reason why these large, well-liked companies won't continue to command the greatest share of investor demand.

歴史はまったく同じようには繰り返さない

過去とまったく同じように歴史が繰り返すことはない。1998年にあわてて流動性を追い求めた投資家が売却したのは小型株や新興市場株であって、ワシントン・ポスト社ではなかった。成績不振に飽きた投資家はデル・コンピューター株を売却しない(だれもデルを売却していないようだが)。どれだけ株価が高くなろうとも、彼らからすればかつてもそうだったという理由で同社を愛しているのだ。一方、このところ期待を裏切ったものはなんであろうと、どれだけ安価であっても容易に売却できた。投資信託の運用業者は現金を働かせるのに必死だったので、安い銘柄を買うのではなく、成果を出している銘柄を買った。「安価」という言葉は、「成果を出してこなかった」ことを意味していたからだ。

機関投資家の手中に資金が流入する限り、四半期ごとの報告利益が安定的に成長しており、ほぼ一貫して株価が上昇している数十の銘柄ばかりを注視した投資が行われるのはまちがいないだろう。しかし実際には、すべりやすくて非常に危険な坂道であるのもたしかだと思われる。以前の株価上昇時に優る理由がないのに株価が上昇するときには、いずれ高く売れるからと考えて買う連中がいる。インターネット株にみられる熱狂を考えてみてほしい。株式分割の単なるうわさがあがると、まったくもって価値とは無関係なのに株価が飛翔しただけでなく、そのグループ全体の株が同調して上昇した。 このような投資のやりかたは、投資候補のファンダメンタルズをみるのではなく、市場が将来どうとらえるかに基づいた購入そのものと言える。価値に基づいてはじめから購入する投資家は、すでに割安な株価がさらに下落すれば購入するし、株価が価値の満額に達すれば売却する。しかしインターネット株を買ったり、非常に優れた会社ながらも非常に割高な株価で買った投資家は、価格が上昇あるいは下落した時にどうすればいいのか判断できない。これは大多数の投資家にはジレンマとなる。しかし、わずかな人にとっては真の機会となるのだ。

History Doesn't Quite Repeat

History never repeats itself exactly. So in 1998 investors urgently seeking liquidity are selling not Washington Post but small-cap and emerging-market equities. Investors tired of underperforming don't sell Dell Computer (no one, it seems, sells Dell), which they love for what it has done for them no matter how expensive it has become. It is so much easier for them to sell whatever has recently disappointed investor expectations, no matter how inexpensive it has become. Mutual-fund managers, desperate to put cash to work, don't buy what is cheap but what is working, since what is cheap by definition hasn't been working.

It seems obvious that so long as there are inflows into the hands of institutional investors, there will be a telescoping of investment into the several dozen names that have reliably reported quarter-by-quarter earnings growth and almost constant share-price appreciation. It seems obvious, but is actually a slippery and very dangerous slope. When stocks are rising for no better reason than that they have risen, the greater fool is at work. Consider the Internet-stock mania, where the mere rumor of a stock split, as irrelevant to value as a rumor could be, sends not only that stock flying but a whole group of stocks rising in sympathy. This is no different from the purchase of any investment based on how the market might possibly regard it in the future rather than on investment fundamentals. An investor who initially purchases based on value knows to buy more when an already undervalued stock falls and to sell when it becomes fully valued. An investor in an Internet stock or in the extraordinarily expensive shares of a very good company has no idea what to do when the price moves up or down. This creates a serious dilemma for the great majority of investors and a real opportunity for a few.

バフェットが割安に購入した証券から利益が早々に生じることはなかった。彼は市場外で購入しなかったし、それなりの利益が手早く得られる少数売却や相対による売却もしなかった。市場で大量に買い付けたのだ。彼は、市場がまちがっていると単純明快に決めていた。売り手は明瞭に考えていないか、おそらくは明瞭に考えるだけの地位にいない者と見ていた。売り手が売却していた理由は、ワシントン・ポスト社の事業価値とくらべて株価が満額あるいは割高だったからではないのは、ほぼ確かだ。意外に思うだろうが、 この件で彼らとバフェットは同じ意見だったようだ。見解の相違は仮にひとつだけだとすれば、株価が事業価値からどれだけ割り引かれていたか、その差が適切な水準かどうかだった。バフェットはそれを広いものと見ていた。

And profiting from his bargain purchases was not an immediate occurrence. Buffett was making no off-market purchase, odd lot or private sale he could immediately flip for sizable gain. He in fact bought very much on the market; he had simply decided that the market was wrong. His view was that the sellers were not thinking clearly, perhaps were not in a position to think clearly. In all probability, they were selling not because they believed the shares were fully priced or overpriced compared with the value of Washington Post as a business. On this they and Buffett may, perhaps surprisingly, have agreed. Their disagreement, if there was one, concerned the level of appropriate discount between share price and business value, a gap that Buffett saw as widening.

It is helpful to note that Buffett did not consider whether Washington Post was a component of a stock-market index, or about to be added to one (ironically, in a sense, since the possible inclusion of Buffett's Berkshire Hathaway in the S&P 500 Index is one of the speculative forces lifting that stock today). He did not weigh the market capitalization of the company or its daily trading volume in his purchase decision. He didn't worry about whether the stock was about to split or pay or omit a dividend. He most certainly did not evaluate the stock's beta or use the capital-asset pricing model or consider whether its purchase would move his portfolio to the efficient frontier. He simply valued the business and bought a piece of it at a sizable discount.

Was Buffett not concerned about risk? Of course he was, but not those risks that were most pertinent to the shorter-term-oriented, more rigidly constrained investors who were unwittingly making him wealthier every time they sold him another share. Those investors, quite like today's big mutual-fund complexes, were disproportionately worried about their short-term investment results and their clients' perception of same. In such a world, relative underperformance is a disaster and the longer term is measured by the frequency with which investment results are evaluated. Risk for them is not being stupid but looking stupid. Risk is not overpaying, but failing to overpay for something everyone else holds. Risk is more about standing apart from the crowd than about getting clobbered, as long as you have a lot of company.

弱気相場を経験した記憶

この逸話を振り返るのは重要だ。というのは弱気相場で起こったこと、つまり「けっこう割安なものでさえも、それよりずっと割安になった」事態を強力に思い起こさせるからだ。 またそれは、その知恵を悟った証しでもあり、力を残しておく必要性を示すものでもある。バフェットがワシントン・ポスト社の株式を早い時期にずっと高い値段で買ったせいで、1974年や75年に一時的な損失が出たことを気に病んでいたら、どうなっていただろうか。同社の株を買い増しできなかっただけでなく、ことによればパニックに陥るか、あるいは株価が順調に転落する間に持ち分を処分してしまったかもしれないのだ。しかし彼がそうしなかったことには、ひとりのバリュー投資家が持ち得る正当な信念が反映されている。それは、安値で買うことによって手にできる安全余裕に対する自信である。

Bear Market Memory

Recalling this episode is important because it powerfully evokes the memory of what happens in bear markets: Good bargains become even better bargains. It is also inspirational testimony to the wisdom and necessity of staying power: Had Buffett worried about the interim losses in 1974 or 1975 from his earlier and more expensive purchases of Washington Post shares, he might have not only failed to add to his holdings but, conceivably, might also have panicked or been forced out of his steadily dropping position. That he didn't reflects the well-founded conviction a value investor is able to have, confident in the margin of safety that a bargain purchase is able to confer.

Back in 1974 and 1975, when the shares of Washington Post were declining so sweetly for Buffett, what might his daily experience have been like? As confident as Buffett was back then, projecting out his future wealth from currently depressed point A to future point B, there were almost certainly times that a bit of fear rose in his throat, too. He wouldn't be human or risk-averse if the near-daily markdowns of his bargain purchase didn't create room for reflection.

The most dramatic and valuable lesson from the fabulous (and still counting) 50-plus-year investment career of Warren Buffett is the legendary account of his steadfast conviction amidst the 1973-75 bear market. He had correctly identified by 1973 that the shares of companies such as the Washington Post were selling for but a fraction of the underlying business value represented by those shares. He observed that numerous buyers would readily pay several times the prevailing market price of Washington Post stock to acquire the entire company, but it was controlled by the founding family and not for sale. Buffett could acquire a minority interest in the business at a bargain price, but he could not force the valuation gap to close. For that, he was dependent on the passage of time to result in improved market conditions and/or on the behavior of management to successfully run the business and to act in the best interest of shareholders.

Fortunately for Buffett, the shares of Washington Post and other attractively priced companies failed to rise from 1973 bargain levels and in fact proceeded to relentlessly decline over the next two years, enhancing the opportunity by orders of magnitude. Roger Lowenstein, in his biography Buffett, describes the "impression of Buffett sweeping down the aisles of a giant store [buying stock]... . As the market fell, he raced down the aisles all the faster."

価値評価の実例:エスコ・エレクトロニクス社(3)(セス・クラーマン)

エスコ社に投資している者が、将来の業績について別のシナリオも検討したいと考えるのは、まずまちがいないだろう。たとえば、連邦政府との契約で係争となった案件のうち少なくとも1件が敗訴する可能性は明らかにあった。また広く予想されていた国防予算の削減が実現することで、同社にとって利益のあがる契約を失ったり新規に受注できなかったりする可能性も考えられた。新たに独立した同社はほとんどの競合他社よりも小規模だったために、エマーソン社を離れて事業を進める上で困難に直面する可能性もあった。

それとは別の見方として、連邦政府との契約に関する訴訟でエスコが完勝するか、あるいは容認できる条件で和解する見込みも考えられた。実のところ新たな経営陣は、過去の難題はさっさと忘れて心機一転したいと考えていたようだ(実際にその係争は、スピンオフした何ヶ月後かにエスコ社にとって好ましい条件で暫定的な合意に達した)。さらにその新経営陣は「自分たちのねらいが売上よりもキャッシュフローを最大化することにある」との意向を示した。新規の契約が承認される際には、名声を得たかったり売り上げ増を達成したいとの願いではなく、収益性の面でリスクが小さいことが判断基準となるのだ。そのため、「不採算の契約が完了して採算のとれる契約が加わることで、利益が次第に増加していく」とする見方はそれなりに妥当な考えだった。

また正味現在価値分析だけでなく、他の評価手段も考慮したいと考えるかもしれない。しかしこのエスコ社の事例では相対取引価値分析は適用できなかった。というのも、それなりの規模となる国防関連企業の買収案件が近年はほとんどなかったからだ。仮にあったとしても、エスコ社を丸ごと買収しようと望む者はだれであろうと、破格の安値であればともかく、同社が抱えていた係争中の案件によって意欲を削がれただろう。実際のところ、スピンオフに先立ってエスコ社の売却話が打診されたが、エマーソン社が許容できる価格で名乗り出た買い手は皆無だった。

その反対に、エマーソン社がハゼルティン社をわずか4年前に買収した際には1億9千万ドルを支払ったが、ハゼルティンはスピンオフ時点のエスコ社が営む事業のわずかな部分を占めるにすぎなかった。ハゼルティン案件に近い倍率で買収金額を考えたとしても、エスコ社全体の価値はその時点の株価の何倍にもなっただろう。ハゼルティン社分だけでもエスコ社1株あたり15ドルの価値があったのだ。

Investors in Esco would certainly want to consider alternative scenarios for future operating results. Obviously there was some chance that the company would lose one or more of its contract disputes with the U.S. government. There was some possibility that a widely anticipated reduction in national defense spending would cause the company to lose profitable contracts or fail to receive new ones. There was a chance that the newly independent company, smaller than most of its competitors, would face difficulties in trying to operate apart from Emerson.

Alternatively, there was some prospect that Esco would either win both of its contract disputes outright or settle with the government on acceptable terms. Indeed, the new top management would likely wish to start afresh, putting past difficulties behind them. (The disputes were, in fact, tentatively settled within months of the spinoff on terms favorable to Esco.) Further, new management expressed its intention to maximize cash flow rather than sales; new contracts would be accepted on the basis of low-risk profitability rather than prestige or the desire to achieve revenue growth. Thus it was not unreasonable to think that earnings would grow over time as unprofitable contracts were concluded and profitable contracts added.

Investors would want to consider other valuation methods in addition to NPV. The private-market value method, however, was not applicable in the case of Esco because there had been few recent business transactions involving sizable defense companies. Even if there had been, Esco's pending contract disputes would put a damper on anyone's enthusiasm to buy all of Esco except at an extreme bargain price. Indeed Esco had been put up for sale prior to spinoff, and no buyers emerged at prices acceptable to Emerson.

Conversely Emerson had only four years earlier paid $190 million for Hazeltine, which comprised only a fraction of Esco's business at the time of spinoff. At a takeover multiple even close to that of the Hazeltine transaction, all of Esco would be worth many times its prevailing stock market price, with Hazeltine alone worth $15 per Esco share.

1990年10月時点でのエスコ社の価値を評価するためには、業績を理解することからはじめた。つまり利益とキャッシュフローである。エスコ社があげる将来の利益を予測するのは殊にむずかしい作業だった。特に直前2年間の各年度において、多額の非継続性損失を計上したからだ。ベアー・スターンズ社のアナリストは、1991年の会計年度における利益を収支トントンと予測していた。その数字には、新しく設定された740万ドルの費用が含まれていた。これは1991年から1995年に毎年発生するエマーソン社向けの債務で、継続中だった国防関連の契約を保証するものだった。この支出によって当該5年間の報告利益が減少することになるが、これは特殊なもので、真の事業の姿を示す費用ではなかった。

利益を抑制しつづけた他の要因として、ハゼルティン社買収によって損金不算入分ののれん償却費が年額500万ドルほど発生していた件があった。のれんの償却費用は現金の支出を伴わないので、これに由来するだけでも500万ドルすなわち1株当たり45セントのフリー・キャッシュフローが生じた。

正味現在価値分析によってエスコ社の価値をはかるには、同社が将来実現できそうなキャッシュフローを予測する必要がある。今ふれたように1株当たり45セントになるのれん償却費はフリーキャッシュだった。また740万ドルの保証費用がなくなる1996年からは、税引き後利益に45セントが追加される。さらに将来の利益を考える上では、いくつかの点を仮定する必要があった。

妥当な仮定のひとつとしておそらくもっとも可能性が高いものが、現在はゼロである利益の額が少しずつ増加する見方だ。不採算の案件はいずれ終結するし、キャッシュフローの留保分からは利子が得られる。もうひとつ別の見方としては、当時の停滞した業績水準が無期限に継続する可能性が考えられた。

キャッシュフローを評価するためには、将来の利益を予測することに加えて、今後行うと考えられる事業での支出を伴う投資や投資引き揚げを見積もる必要がある。例えば近年の減価償却費はおおよそ設備投資額に相当していたので、それが将来も続くと想定するのは保守的な見方だと思われた。また継続中の不採算案件に拘束されている運転資本は、時期は不定ながらもいずれは解放されて他の用途に回すことができる。売上高とくらべた運転資本の比率はその時点では過大だったものの、国防に関連する電子業界での同様な他社と比較できる水準になれば、利用可能な現金におよそ8,000万ドルが加わるだろう。ただし保守的な見方のほうでは、ここから生じる分のフリー・キャッシュフローは見込まないこととした。

低迷する業績水準から脱却できないままだとしたら、エスコ社の価値はどう考えられただろうか。キャッシュフローの面で5年間は1株当たり45セント、その後はエマーソン社に対する保証費用が終了するので90セントになる。割引率を12%あるいは15%とすると、それらの現在価値は1株当たり5.87ドルあるいは4.7ドルとなった。各々の割引率には想定される不確実性を反映している。もしキャッシュフローが増加するとなれば、当然ながら価値も増大する。

一方、横ばいだったエスコのキャッシュフローを、10年間にわたって毎年約220万ドルつまり1株当たり20セント増加させることができたらどうなるだろうか。それらを含めた金額を12%あるいは15%で割り引いた際の現在価値は、14.76ドルあるいは10.83ドルになる。つまり上述した諸々の仮定にしたがうと、エスコ社の現在価値は保守的な見方では1株当たり4.7ドル、悲観しない見方では14.76ドルと算出された。たしかに広い幅ではあるが、どちらの場合でも3ドルの株価は十分に上回っており、またひどく楽観的な仮定もしていなかった。(p.138)

The first step in valuing Esco in October 1990 was to try to understand its business results: earnings and cash flow. Esco's future earnings were particularly difficult to forecast, especially because in each of the preceding two years the company had taken significant nonrecurring charges. An analyst at Bear Steams estimated break-even earnings for fiscal year 1991. This estimate was after the deduction of a newly instituted charge of $7.4 million, payable by Esco to Emerson each year from 1991 to 1995, for guaranteeing outstanding defense contracts. Although this charge would have the effect of reducing reported earnings for five years, it was not a true business expense but rather more of an extraordinary item.

Another ongoing depressant to earnings was Esco's approximately $5 million per year charge for nondeductible goodwill amortization resulting from the Hazeltine acquisition. Since goodwill is a noncash expense, free cash flow from this source alone was $5 million, or forty-five cents per share.

In order to value Esco using NPV analysis, investors would need to forecast Esco's likely future cash flows. Goodwill amortization of forty-five cents a year, as stated, was free cash. Beginning in 1996 there would be an additional forty-five cents of after-tax earnings per year as the $7.4 million guaranty fee ended. Investors would have to make some assumptions regarding future earnings.

One reasonable assumption, perhaps the most likely case, was that earnings, currently zero, would gradually increase over time. Unprofitable contracts would eventually be completed, and interest would be earned on accumulated cash flow. An alternative possibility was that results would remain at current depressed levels indefinitely.

In addition to predicting future earnings, investors would also need to estimate Esco's future cash investment or disinvestment in its business in order to assess its cash flow. Depreciation in recent years had approximated capital spending, for example, and assuming it would do so in the future seemed a conservative assumption. Also, working capital tied up in currently unprofitable contracts would eventually be freed for other corporate uses, but the timing of this was uncertain. Were Esco's working capital-to-sales ratio, currently bloated, to move into line with that of comparable defense electronics firms, roughly $80 million in additional cash would become available. To ensure conservatism, however, I chose to project no free cash flow from this source.

What was Esco worth if it never did better than its current depressed level of results? Cash flow would equal forty-five cents per share for five years and ninety cents thereafter when the guaranty payments to Emerson had ceased. The present value of these cash flows is $5.87 and $4.70 per share, calculated at 12 percent and 15 percent discount rates, respectively, which themselves reflect considerable uncertainty. If cash flow proved to be higher, the value would, of course, be greater.

What if Esco managed to increase its free cash flow by just $2.2 million a year, or twenty cents per share, for the next ten years, after which it leveled off? The present value of these flows at 12 percent and 15 percent discount rates is $14.76 and $10.83, respectively. Depending on the assumptions, then, the net present value per share of Esco is conservatively calculated at $4.70 and less pessimistically at $14.76 per share, clearly a wide range but in either case well above the $3 stock price and in no case making highly optimistic assumptions.

エスコ・エレクトロニクス社を題材にした、証券の価値評価の実演

ここで証券の価値を評価するプロセスの具体的な例をあげてみたい。その対象は、軍需企業のエスコ・エレクトロニクス社である。同社は1990年10月にエマーソン・エレクトリック社から分離された。その際にエスコ社の株式は、エマーソン社の株主に対して無償で交付された。エスコが競っている領域はさまざまな国防関連の領域にわたり、電子機器、兵器、測定機器、無線戦術システムを含んでいた。エマーソン株の保有者は、エスコ株を20対1の割合で受け取った。つまりエマーソン株を1,000株保有していれば、エスコ株を50株受け取ることになった。エスコ株は当初5ドル前後で取引されていたが、速やかに3ドルまで下落した。企業分割によって生じた価値に対して市場の付けた値段は、エマーソン1株につき15セントにしかならなかったのだ(本体自体は約40ドルで取引されていた)。言うまでもないが、エマーソン株を保有する者の多くはエスコ社のささやかな持ち株を早々に売却した。

分割当時のエスコ社にはどれだけの価値があったのだろうか。市場で過小評価されていたとしたら、なぜだったのか。バリュー投資先として魅力ある候補だったのか。そういった疑問に答えるには、バリュー投資家が採用する各種の方法を使ってエスコ社を評価すればよい。

はじめに言えるのが、エスコ社がかなりの規模の企業だったことである。年間の売上高はおよそ5億ドルで、従業員は6,000名だった。職場総面積は約30万平米で、そのうち16万平米弱を自社で所有していた。近年においてエスコ社が果たした成長は、1986年末にハゼルティン社を1億9千万ドルで買収したことだけだった(エスコ社1株につき15ドル超に相当した)。そして企業分割に至った主な検討理由は、エスコの税引き後(報告)利益が1985年に3,630万ドルだったところから、1989年には非継続的損失820万ドルを計上後の数字で670万ドルへと減少し(これは試算上の値で、企業分割に関連する調整済)、さらに1990年には非継続的損失が1,380万ドル発生した上で520万ドルの損失(試算値)となったことにある。企業分割に当たっては保守的な資本構成がとられた。自己資本5億ドルに対して、負債は4,500万ドルだった。有形資産の簿価は1株当たり25ドルを超えていた。そしてネット・ネット運転資本、つまり流動資産から負債全額を減じた金額は、1株当たり15ドル以上あった。

投資家が不安視したのは、エスコ社の将来に関する2つの点で疑問があったからだ。ひとつめは、近年になって収益性が急激に低下している状況が反転するかという点である。これは、同社が請けていた軍需関連の契約で赤字を出していたことと関連した。もうひとつの不安点は、エスコ社と米連邦政府との間で係争中の契約2件がどのような結末となるかである。まずい結果となれば、エスコ社は何十億ドルもの費用を負担する可能性があり、巨額の損失を計上することを意味した。そのような不確実さゆえに、エマーソン社が分離したのは普通株ではなく、第三者に預託した普通株の担保保管証だった。そのねらいは、特定の顧客に関する契約保証についてエマーソン社に対する保証義務をエスコ社が確実に果たせるようにするためだった。(p.137)

Esco Electronics: An Exercise in Securities Valuation

Let me offer a specific example of the security valuation process. Esco Electronics Corporation is a defense company that was spun off from Emerson Electric Company in October 1990; the shares were distributed free to shareholders of Emerson. Esco competes in a variety of defense-related businesses, including electronics, armaments, test equipment, and mobile tactical systems. Holders of Emerson received Esco shares on a one-for-twenty basis; that is, a holder of one thousand Emerson shares received fifty shares of Esco. Esco first traded at around $5 per share and quickly declined to $3; the spinoff valued at market prices was worth only fifteen cents per Emerson share (which itself traded around $40). Needless to say, many holders of Emerson quickly sold their trivial Esco holdings.

What was Esco worth at the time of spinoff? Was it undervalued in the marketplace, and if so, why? Was it an attractive value-investment opportunity? The way to answer these questions is to evaluate Esco using each of the methods that value investors employ.

To begin with, Esco is a substantial company, having approximately $500 million in annual sales and six thousand employees, who occupy 3.2 million square feet of space, 1.7 million of which are owned by the company. Esco's only recent growth has come from its acquisition of Hazeltine Corporation in late 1986 for $190 million (over $15 per Esco share). A major consideration leading to the spinoff was that Esco's after-tax profits had declined from $36.3 million in 1985 (actual) to $6.7 million (pro forma, to reflect adjustments related to the spinoff) in 1989 after $8.2 million of nonrecurring charges and to a loss of $5.2 million (pro forma) in 1990 after $13.8 million of nonrecurring charges. The company was spun off with a conservative capitalization, having only $45 million in debt compared with almost $500 million in equity. Tangible book value exceeded $25 per share, and net-net working capital, current assets less all liabilities, exceeded $15 per share.

Two questions regarding Esco's future worried investors. One was whether the sharp recent drop in profitability, related to money-losing defense contracts the company had taken on, would reverse. The second concerned the outcome of two pending contract disputes between Esco and the U.S. government; an adverse outcome could have cost Esco tens of millions of dollars in cash and forced it to report sizable losses. These uncertainties caused Emerson to spin off, not shares of common stock, but common stock trust receipts held in escrow in order to ensure that Esco would meet its obligation to indemnify Emerson for certain customer-contract guarantees.

it's crucial to remember that a bear market is still a market. Markets are driven by supply and demand, and greed and fear. They constitute, as Benjamin Graham noted, a voting machine, not a weighing machine. Emotion-driven individuals dominate markets, and just as no bull market goes on forever, neither does any bear market…To take advantage of the low prices in a bear market, you have to have been buying on the way down, perhaps all the way down. There is no way to perfectly time the bottom, and no other way to put substantial capital to work.

Seth Klarman: What I've learned from Warren Buffett (CNBC)

1. バリュー投資のやりかたが通用すること。割安なものを買えばよい。

2. 事業や人の資質にこだわること。すぐれた資質の事業であれば、成長して累積的にキャッシュフローをうみだす可能性が高い。質の低い事業は浸食されがちなので、すぐれた経営者、つまり特定したり呼び寄せたり残留させるのが難しい人物がいても、会社を救うには至らないかもしれない。パートナーとしてみつけるべき経営者は有能であることが欠かせず、また彼らの狙いが自分のものと連携できる人物であること。

3. 手広く分散させる必要はないこと。「生涯で使えるパンチカードは1枚かぎり。1件投資すれば穴を1つ開け、その回数は20回まで」のように投資すること。ひろく機会を求めること。それは世界のどこかでみつかるかもしれない。予想外の産業や構成の中にあるかもしれない。

4. 一貫して振る舞うこと、そして辛抱できること。これらは決定的な要素である。ほとんどの投資家にとっての最悪の敵とは、自分自身である。辛抱しつづければ、累積的な効果が得られる。

1. Value investing works. Buy bargains.

2. Quality matters, in businesses and in people. Better quality businesses are more likely to grow and compound cash flow; low quality businesses often erode and even superior managers, who are difficult to identify, attract, and retain, may not be enough to save them. Always partner with highly capable managers whose interests are aligned with yours.

3. There is no need to overly diversify. Invest like you have a single, lifetime "punch card" with only 20 punches, so make each one count. Look broadly for opportunity, which can be found globally and in unexpected industries and structures.

4. Consistency and patience are crucial. Most investors are their own worst enemies. Endurance enables compounding.

5. Risk is not the same as volatility; risk results from overpaying or overestimating a company's prospects. Prices fluctuate more than value; price volatility can drive opportunity. Sacrifice some upside as necessary to protect on the downside.

6. Unprecedented events occur with some regularity, so be prepared.

7. You can make some investment mistakes and still thrive.

8. Holding cash in the absence of opportunity makes sense.

9. Favour substance over form. It doesn't matter if an investment is public or private, fractional or full ownership, or in debt, preferred shares, or common equity.

10. Candour is essential. It's important to acknowledge mistakes, act decisively, and learn from them. Good writing clarifies your own thinking and that of your fellow shareholders.

11. To the extent possible, find and retain like-minded shareholders (and for investment managers, investors) to liberate yourself from short-term performance pressures.

12. Do what you love, and you'll never work a day in your life.
