2023年度バフェットからの手紙(3)さようなら、チャーリー・マンガー

今回の「株主への手紙」では最初のページに、ウォーレン・バフェットからチャーリー・マンガーに向けた弔辞が掲げられています。以下、その全文です。(日本語は拙訳)


バークシャ・ハサウェイを設計監理した男、チャーリー・マンガー


チャーリー・マンガーは100歳の誕生日まであと33日の、11月28日に亡くなりました。


彼は[ウォーレン・バフェットと同じネブラスカ州の]オマハで生まれ育ったものの、存命中の8割は別の場所で暮らしていました。そのため、わたしが彼とはじめて対面したのは1959年になってからで、そのとき彼は35歳でした。その彼が資産管理の道を歩むべきだと決意したのは、1962年のことでした。


その3年後に、彼はわたしをこう諭しました。「バークシャーの経営権を買った判断はお粗末だったね」と。しかし、彼は次のように請け合ってくれたのです。「済んだことは良しとして、まちがいを正す方法を説明しよう」


話を進めるうえで留意していただきたいのは、わたしが当時運営していた小規模の投資パートナーシップに、チャーリーや彼の親族は一銭も投資していなかった点です。そこの資金を使って、わたしはバークシャー株を買っていました。そのうえチャーリーがバークシャー株を保有することになるとは、わたしたちのだれもが予想してしませんでした。


それにもかかわらず、チャーリーは速やかに助言してくれました。1965年のことです。「いいかいウォーレン、バークシャーのような企業の株を買おうなんて考えないこと。もはやバークシャーを経営できるのだから、今後はすばらしい事業をそこそこの値段で買い加えていこう。そこそこの企業をすばらしい値段で買うのは、おしまいだよ。つまり、君の英雄たるベン・グレアムから教わったことは全部放り出してほしい。あのやりかたが通用するのは、規模が小さいときだけだから」と。その後、後退することはたびたびありながらも、わたしは彼の導きに従いました。


何年も経ってから、チャーリーはわたしのパートナーとしてバークシャーの経営に加わってくれました。そしてわたしの古い習慣が顔を出すたびに、正気へと引き戻してくれました。彼は亡くなるまで、その役割をつづけてくれました。初期のころからわたしたちと投資し続けてくれた人たち共々、チャーリーとわたしは当時想像していた以上の成功をおさめることができました。


実際のところ、現在のバークシャーを「設計監理した建築家」はチャーリーでした。そしてわたしは、彼の構想を実現するために日々の作業を遂行する「元請け業者」でした。


チャーリーは「自分が創始者である」と謳うことはありませんでした。そうではなく、賞賛を受ける場でお礼をかえす役割は、わたしに任せてくれたのです。わたしにとって彼は兄であり、はたまた愛すべき父親でもありました。自分のほうが正しいとわかっているときでも、わたしに手綱さばきを任せてくれました。わたしがポカをしでかしたときにも、その過ちを思い出させるような素振りは一切みせませんでした。


実体をきずく世界において、偉大なる建築物はそれを設計監理した人物を思い起こさせるものです。一方、そこでコンクリートを流し込んだり、窓を取り付けた人物のことはたちまち忘れられます。巨大な企業となったバークシャーにおいて、わたしは建設要員としての責務を担ってきましたが、チャーリーは建築家として携わったと末永く評価されるべきでしょう。


Charlie Munger – The Architect of Berkshire Hathaway


Charlie Munger died on November 28, just 33 days before his 100th birthday.


Though born and raised in Omaha, he spent 80% of his life domiciled elsewhere. Consequently, it was not until 1959 when he was 35 that I first met him.  In 1962, he decided that he should take up money management.


Three years later he told me – correctly! – that I had made a dumb decision in buying control of Berkshire. But, he assured me, since I had already made the move, he would tell me how to correct my mistake.


In what I next relate, bear in mind that Charlie and his family did not have a dime invested in the small investing partnership that I was then managing and whose money I had used for the Berkshire purchase. Moreover, neither of us expected that Charlie would ever own a share of Berkshire stock.


Nevertheless, Charlie, in 1965, promptly advised me: “Warren, forget about ever buying another company like Berkshire. But now that you control Berkshire, add to it wonderful businesses purchased at fair prices and give up buying fair businesses at wonderful prices. In other words, abandon everything you learned from your hero, Ben Graham. It works but only when practiced at small scale.” With much back-sliding I subsequently followed his instructions.


Many years later, Charlie became my partner in running Berkshire and, repeatedly, jerked me back to sanity when my old habits surfaced. Until his death, he continued in this role and together we, along with those who early on invested with us, ended up far better off than Charlie and I had ever dreamed possible.


In reality, Charlie was the “architect” of the present Berkshire, and I acted as the “general contractor” to carry out the day-by-day construction of his vision.


Charlie never sought to take credit for his role as creator but instead let me take the bows and receive the accolades. In a way his relationship with me was part older brother, part loving father. Even when he knew he was right, he gave me the reins, and when I blundered he never – never –reminded me of my mistake.


In the physical world, great buildings are linked to their architect while those who had poured the concrete or installed the windows are soon forgotten. Berkshire has become a great company. Though I have long been in charge of the construction crew; Charlie should forever be credited with being the architect.

2023年度バフェットからの手紙(2)例によって、やらかしました

2023年度「バフェットからの手紙」より、今回の文章ではウォーレン・バフェットが自身のおかした失敗を告白しています。失敗と断定するには少し早いようにも思えますが、主力子会社に関する話題なので、バークシャーの株主諸氏のみなさんはそれなりに調査研究なさったほうがいいかもしれません。なおウォーレンは自分の失敗を明らかにする人で(過去記事の例)、この点は他の大多数の経営者と一線を画していると思います。(日本語は拙訳)


昨年残念な業績におわった部門の二つめはBHE社[エネルギー事業の子会社; Berkshire Hathaway Energy]で、こちらはさらに厳しい損益でした。同社が営む大規模な電力事業のほとんどは、広域にわたるガスパイプラインと同様に、期待通りの成果をあげました。しかし、いくつかの州における規制の雲行きゆえに、利益ゼロあるいは破綻にさえ至る恐れを抱くようになりました(実際カリフォルニア州の最大手会社がそうなり、ハワイ州では現在その危機に面しています)。そのような規制をとる地域では、米国でもっとも安定した産業として以前には考えられていた収益や資産価値を見込むのは困難です。


電力業界は1世紀以上にわたって、成長を果たす原資とするために多額の資金を調達してきました。それは定められた資本利益率が得られるとする、州ごとの協約に基づくものです(優秀な運営には、若干のボーナスを出す場合もあり)。このやりかたによって莫大な投資が実行され、何年か先を見通した際に要求される能力が構築されました。そのような将来を見据えた法規制は現実を反映していました。つまり公共企業が供する発送電用の資産を建設するには、往々にして長い年月を要する現実をです。BHE社が米国西部で展開している複数州にわたる広大な送電プロジェクトは2006年に着工され、完工まで幾年かを残しています。そしてこの操業範囲は、米国本土の30%を占める10州にわたるものとなります。


私企業および公企業いずれの電力会社でも採用されてきたこの方式によって、たとえ人口成長や産業部門による需要が予想を上回ったときにおいても、電灯は灯されてきました。「安全余裕」を見込んだアプローチは、規制当局や投資家や公衆にとって妥当なものと考えられていました。しかし現在はいくつかの州において、「固定ながらも十分な利益率を定めた制度」は崩壊しました。そして投資家は、そのような破局が広まるのではないかと危惧するようになりました。さらには気候変動問題が心配に輪をかけています。地中送電が必要なのかもしれませんが、「そのように造るために、多額の費用をかけるべきだ」と考えた人が数十年前の時点で存在したでしょうか。


わたしどもはバークシャーにおいて、発生した損失の大きさを最良に見積もるよう努めています。そういった費用は山火事から生じましたが、その頻度や影響度はこれまでに増加してきただけではなく、対流性嵐の発生頻度が高まるのであれば、今後も増加しつづけると思われます。


BHE社が被った山火事による損失の勘定を締めたり、脆弱な西部諸州における将来にむけた投資の必要性を賢明に判断できるようになるには、かなりの年月がかかることでしょう。そして規制環境がどのように変わるのか、今はまだ様子見の段階です。


他の電力会社においても、パシフィック・ガス・アンド・エレクトリック社[2019年に破綻]やハワイ電力社[2023年の山火事]と似たような、存亡のかかった問題に直面するかもしれません。わたしたちが現在直面している問題に対して没収的な形で手を打つやりかたは、当然ながらBHE社にとって望ましくないものです。しかしながら同社およびバークシャーはどちらであっても、悲観的な想定外の事象を乗り越えられるように構築されています。わたしたちは保険事業において、日常的にそういったことに直面しています。同事業において当社が扱う基本的な製品ではリスクを考慮に入れておりますし、想定外とはどこかで生じるものです。金融的な想定外が生じてもバークシャーは耐えることができます。しかし、それとわかりながら追銭を払うことはしません。


バークシャーでどうなるかは別として、この行く末は電力業界全体でみると不吉なものとなるかもしれません。会社によっては、もはや米国市民の貯蓄をあてにしていないかもしれず、その場合には電力会社の公企業化が必至となるでしょう。ネブラスカ州は1930年代にその道を選びましたし、国全体でみれば多くの公共電力会社があります。つまるところ、どの方式を選びたいかは、有権者や納税者や利用者が決めることとなります。


騒動が落ち着くころには、米国における電力需要やそれに応じた資本投資は膨大になるでしょう。規制が復活して不利な展開になることを、わたしは想像していなかっただけでなく、考慮すらしませんでした。バークシャーとともにBHE社に投資している2人のパートナーも含めて、わたしどもはそうしなかったことで費用のかさむ失敗を犯してしまいました。


Our second and even more severe earnings disappointment last year occurred at BHE. Most of its large electric-utility businesses, as well as its extensive gas pipelines, performed about as expected. But the regulatory climate in a few states has raised the specter of zero profitability or even bankruptcy (an actual outcome at California’s largest utility and a current threat in Hawaii).  In such jurisdictions, it is difficult to project both earnings and asset values in what was once regarded as among the most stable industries in America.


For more than a century, electric utilities raised huge sums to finance their growth through a state-by-state promise of a fixed return on equity (sometimes with a small bonus for superior performance). With this approach, massive investments were made for capacity that would likely be required a few years down the road. That forward-looking regulation reflected the reality that utilities build generating and transmission assets that often take many years to construct. BHE’s extensive multi-state transmission project in the West was initiated in 2006 and remains some years from completion. Eventually, it will serve 10 states comprising 30% of the acreage in the continental United States.


With this model employed by both private and public-power systems, the lights stayed on, even if population growth or industrial demand exceeded expectations. The “margin of safety” approach seemed sensible to regulators, investors and the public. Now, the fixed-but-satisfactory-return pact has been broken in a few states, and investors are becoming apprehensive that such ruptures may spread. Climate change adds to their worries. Underground transmission may be required but who, a few decades ago, wanted to pay the staggering costs for such construction?


At Berkshire, we have made a best estimate for the amount of losses that have occurred.  These costs arose from forest fires, whose frequency and intensity have increased – and will likely continue to increase – if convective storms become more frequent.


It will be many years until we know the final tally from BHE’s forest-fire losses and can intelligently make decisions about the desirability of future investments in vulnerable western states. It remains to be seen whether the regulatory environment will change elsewhere.


Other electric utilities may face survival problems resembling those of Pacific Gas and Electric and Hawaiian Electric. A confiscatory resolution of our present problems would obviously be a negative for BHE, but both that company and Berkshire itself are structured to survive negative surprises. We regularly get these in our insurance business, where our basic product is risk assumption, and they will occur elsewhere. Berkshire can sustain financial surprises but we will not knowingly throw good money after bad.


Whatever the case at Berkshire, the final result for the utility industry may be ominous: Certain utilities might no longer attract the savings of American citizens and will be forced to adopt the public-power model. Nebraska made this choice in the 1930s and there are many public-power operations throughout the country. Eventually, voters, taxpayers and users will decide which model they prefer.


When the dust settles, America’s power needs and the consequent capital expenditure will be staggering. I did not anticipate or even consider the adverse developments in regulatory returns and, along with Berkshire’s two partners at BHE, I made a costly mistake in not doing so.

嵐をむかえたバークシャーの舵取り(チャーリー・マンガー)

「まあ、我々の状況は基本的に、最悪のタイフーン来襲を迎えたときの船長といったところですね」とマンガーは答えた。「ただただタイフーンをやり過ごしたいと願っていますよ。さらに言えば、大量の流動性を携えたまま乗り切りたいところです。『さあ、いいですか。みんな真っ逆さまに落ちているので、手持ちを全部注ぎ込んで事業を買いましょう』といった行動はとっていません」

さらに彼はこう言った。「純資産の90%を当社に投資している人たちもいます。だからウォーレン[・バフェット]は、バークシャーが彼らにとって安全な投資先であり続けたいと望んでいるのです。いつであろうと我々は、安全な側にいるつもりです。果敢な行動は起こさないとか、機会をとらえないとか、そうは言っていませんよ。しかし基本的には、十分保守的にやるつもりです。その一方で当社は、いっそう強力になっていくでしょうね」

まさしく鈴なりとなった企業経営者たちが、バークシャーに資本要請の連絡をしてきたことでしょうね。

「いいや、来ていないですね」とマンガー氏は言った。「たいていの人は、すくみあがっていますよ。航空業界をごらんなさい。なにが起こっているのか、彼らはわかっていませんね。どこも政府とは交渉していますが、ウォーレンには連絡をとっていません。立ちすくんでしまってるわけです。かつてそういう事態に遭ったことがないのです。こういうことが起こる可能性は、彼らの手の内にはなかったわけですよ」

「マクロ経済が今後どのようになるのかを、我々が正確にわかっているとは思いませんね」とマンガー氏は言った。「遅かれ早かれ、経済は復活してそこそこの状態に戻るとは思いますよ。しかし今回失われる以前の水準まで雇用が回復する可能性は、かなり低いでしょうね。少なくとも相当な期間においてはそうでしょう。実質的には、二度と戻らないと言えるのかもしれません。まあ、私にはわかりませんが」

「株式市場が過去に記録した諸々の安値よりも下回るのかどうか、うっすらとした考えも浮かびませんね」と、マンガー氏は言った。また、コロナウィルスによる社会活動停止は「生きていく上で忍従せざるを得ないこと」であり、なるようにしかならないとも言った。「他に何ができるのでしょうかね」

"Well, I would say basically we're like the captain of a ship when the worst typhoon that's ever happened comes," Mr. Munger told me. "We just want to get through the typhoon, and we'd rather come out of it with a whole lot of liquidity. We're not playing, 'Oh goody, goody, everything's going to hell, let's plunge 100% of the reserves [into buying businesses].'"

He added, "Warren wants to keep Berkshire safe for people who have 90% of their net worth invested in it. We're always going to be on the safe side. That doesn't mean we couldn't do something pretty aggressive or seize some opportunity. But basically we will be fairly conservative. And we'll emerge on the other side very strong."

Surely hordes of corporate executives must be calling Berkshire begging for capital?

"No, they aren't," said Mr. Munger. "The typical reaction is that people are frozen. Take the airlines. They don't know what the hell's doing. They're all negotiating with the government, but they're not calling Warren. They're frozen. They've never seen anything like it. Their playbook does not have this as a possibility."

"I don't think we know exactly what the macroeconomic consequences are going to be," said Mr. Munger. "I do think, sooner or later, we'll have an economy back, which will be a moderate economy. It's quite possible that never again -- not again in a long time -- will we have a level of employment again like we just lost. We may never get that back for all practical purposes. I don't know."

Mr. Munger told me: "I don't have the faintest idea whether the stock market is going to go lower than the old lows or whether it's not." The coronavirus shutdown is "something we have to live through," letting the chips fall where they may, he said. "What else can you do?"

2018年バークシャー株主総会(15)配当は要らんから全部再投資してくれ

20. バークシャーが特別配当を出す可能性は「非常に低い」

<ウォーレン・バフェット> グレッグさん、次をお願いします。

<グレッグ・ウォーレン> この質問も、ウォーレンがもっと最近発言された内容に対してです。そのため、「こちらの質問のほうが、くみしやすい」とは言いかねます(バフェットが軽く笑う)。

あなたが最近おはなしされたなかで、「株主へ資本を返還する方法として、配当金よりも自社株買いのほうを好む」とありました。昨年の年次総会で触れたときには、バークシャーの現金残高は増えつづけ、1,500億ドルの限界に達すると、株主へ弁明しがたくなるとのことでした。

普通配当を設定しないことの論理は理解できます。しかし一度かぎりの特別配当であれば、バークシャーの有する超過資本の大きな部分を、株主へ返還するのに効果的な選択肢になり得ると思います。その場合、「普通配当金を恒久的に支払う」とほのめかす必要がありません。

ただし特別配当には、簿価及びBPSがただちに減少する欠点があります。それとは対照的に、自社株買いを大規模に行えば、簿価は減少するもののバークシャーの株式数は減少し、BPSへの影響を抑えることになります。

もし数年たってバークシャーが1,500億ドルの上限に達した時点で、企業買収や自社株買いの面で市場の評価がひきつづき高いままだとすれば、そのときには株主へ資本を返還する方法として、特別配当を一度実施することを検討されますか。

<ウォーレン> そうですね、もし資本を効率的に使えないと考えるようになれば、株主に資本を返す最良の方法をさがすように努めると思います。そしておそらくは、そうするために特別配当を使う可能性は低いと思います。

そうではなく、もし自社株買いで支払う金額が1株当たりの本源的価値以上にならなければ、自社株買いをする可能性のほうが高いと思います。継続株主のみなさんにとって害になると思えることは、決してなにひとつ実行しません。

ですから、もし株の本源的価値がXだと考えたときに、買い戻す株の対価としてそれほどでもない倍率ながらもXを越える金額を支払わねばならないとしたら、自社株買いは行いません。株主の座から離れる者を厚遇する一方で、継続株主の利益を損なうからです。

しかし、もっとも妥当なことであれば、何であろうとそれを実行するつもりです。ただしその案とは、毎日しなければいけないことではありません。そうそう毎日はみつからないからです。

たしか数年前だったと思いますが、みなさんもご存知のように、当社における配当金支払いの是非が決議にかけられたことがありました。そのときB株を保有する方々は47対1で反対票を投じました。なお、チャーリーやわたしなどの株の分は含まれていません。[過去記事]

ですから、「当社の株主になろうとする時点で、そもそもその人は選択しているのだ」と思います。株主という世界あるいは国中をみても、47対1の投票結果がでることはまったくないと思います。

しかし、当社では株主の一員に加わるという時点で自己選択がなされています。「すべての株主にとって利益になることであれば、なんでもしてほしい」と、株主のみなさんはわたしたちに対して期待を寄せています。当然ながら、「事業を通じて資本を効果的に運用するなど、到底無理だ」とわたしたちが心底考えるようであれば、なんとかして資本を会社から取り出さねばなりません。

取締役の面々をみると、当社の株式を大量に保有しています。ですから、「当社のオーナーであるかのように、彼らは物事を考えるだろう」と期待してよいと思います。だからこそ彼らは取締役会の一員であるわけです。

また「当社の経営陣も、当社のオーナーであるかのように物事を考える」と受けとめてよいと思います。やるべきことを探し続けるよりも妥当だと思えば、当社の全オーナーに対して資金を返還することでしょう。

ただし、この第一四半期ではたしか4月だったと思いますが、正味にして150億ドルに近い金額を投資しました。

その上、世界がいつまでも超低金利であるわけではないですし、相対取引の価格水準が高いままでもないと思います。

ですからわたしたちは、もっとも理にかなったことを実行していきます。しかし、多額の特別配当を一度実施するという状況は、わたしとしては想像しがたいことです。もし株主のみなさんに議案を出せば、チャーリーもわたしも以前の議決には参加しませんでしたが、おそらく大差をつけて否決されると思います。わたしとしてはそうなるほうに喜んで賭けます。

チャーリーはどうですか。

<チャーリー・マンガー> 既存のシステムがうまく機能し続けているときに、それを変えねばいけないのは何故ですかね。それこそ大多数の株主が、そのやりかたに慣れ親しんでおり、そのやりかたでうまくいっているわけですから。ただし状況が変われば、心を変える準備はできていますよ。事実が変化すればのことですが。

<ウォーレン> そうです。過去にも何度かそうしてきました。

<チャーリー> そのとおり。

<ウォーレン> そうですよ。

<チャーリー> ただし、「少しばかり難儀だった」とは言い添えておきますよ(笑)。

<ウォーレン> いつも彼はそうやって、わたしを引きおろすわけです。

20. “Very unlikely” Berkshire would pay a special dividend

WARREN BUFFETT: OK, Gregg. (Laughter)

GREGG WARREN: Warren, this question’s also based on something you said more recently, so I can’t guarantee it’s going to be any easier. (Buffett laughs)

You recently noted that you prefer share repurchases over dividends as a means for returning capital to shareholders should Berkshire’s cash balances continue to rise and hit the $150 billion threshold you noted as being difficult to defend to shareholders at last year’s annual meeting.

While I understand the rationale for not establishing a regular dividend, a one-time special dividend could be a useful option for returning a larger chunk of Berkshire’s excess capital to shareholders without the implied promise to keep paying a regular dividend forever.

The drawback with the special dividend, though, is that it would lead to an immediate decline in book value and book value per share. Whereas a larger share repurchase effort, while depressing book value, would reduce Berkshire’s share count, limiting the impact on book value per share.

If we do happen to get a few years out and Berkshire does hit that $150 billion threshold, because valuations continue to be too high, both for acquisitions and for the repurchase of company stock, would you consider a one-time special dividend as a means for returning capital to shareholders?

WARREN BUFFETT: Well, if we thought we couldn’t use capital effectively, we would figure - we would try to figure out the most effective way of returning capital to shareholders. And - you could - I would have probably - I think it’d be unlikely we’d do it by a special dividend.

I think it’d be more likely we’d do it by a repurchase, if the repurchase didn’t result in us paying a price above intrinsic value per share. We’re never going to do anything that we think is harmful to continuing shareholders.

So if we think the stock is intrinsically worth X, and we would have to pay some modest multiple even above that to repurchase shares, we wouldn’t do it because we would be hurting continuing shareholders to the benefit of the people who are getting out.

But we will try and do whatever makes the most sense, but not with the idea that we have to do something every day because we simply can’t find something that day.

We had a vote as you know - I don’t know, a few years back - on whether people wanted a dividend. And - the B shares - so I’m not talking my shares or Charlie’s or anything - but the B shares voted 47 to one against it.

So I think through self-selection of who become shareholders - I don’t think shareholders world - or countrywide - on all stocks would vote 47 to one at all.

But we get self-selection in terms of who joins us. And I think they expect us to do whatever we think makes sense for all shareholders. And obviously, if we really thought we never could use the money effectively in the business, we should get it out, one way or another. And -

You’ve got a bunch of directors who own significant - very significant - amounts of stock themselves. And you can expect them to think like owners. It’s the reason they’re on the board.

And you can expect the management to think like owners and - owners will return money to all of the owners if they think it makes more sense than continuing to look for things to do.

But we invested in the first quarter, maybe - have to look it up on the - well, certainly through April - probably close to 15 billion or something like that, net, so -

And we won’t always be in a world of very low interest rates - or high private market prices.

So we will do what makes the most sense. But I can’t see us ever making a special - almost - it’s very unlikely we would just pay out a big, special dividend. I think that if we put that to the vote of the shareholders, and Charlie and I did not vote, I think we would get a big negative vote. And I’d be willing to - be willing to make a bet on that one.

Charlie?

CHARLIE MUNGER: Well, as long as the existing system continues to work as well as it has, why would we change it? We’ve got a whole lot of people that are accustomed to it, have done well under it. And if conditions change, why, we’re capable of changing our minds, if the facts change.

WARREN BUFFETT: Yeah, and we’ve done that several times.

CHARLIE MUNGER: Yes.

2018年バークシャー株主総会(5)買収したプレシジョン社について

今回からは、バークシャー・ハサウェイ株主総会における質疑応答の中から、いくつかの話題を取りあげます。まず今回はバークシャーが2016年に買収した企業、プレシジョン・キャストパーツ社についてです。ウォーレン・バフェットによる定性的な企業評価の一端がうかがえる発言だと思います。前回の投稿はこちらです。(日本語は拙訳)

5. 買収したプレシジョン・キャストパーツ社が優良企業であることについて

<ウォーレン・バフェット> それでは次はジョナサン・ブランドさん、お願いします。

<質問: ジョナサン・ブランド> ウォーレン、そしてチャーリー、よろしくおねがいします。私からの質問です。現在の航空機業界における生産数の伸長ぶりからすると、プレシジョン・キャストパーツ社が売上及び利益の両面であまり成功していないとは、思いもよりませんでした。

もちろん私としても、「以前の製造プログラムから新規のものへの移行は平坦ではない」ことは理解しています。しかし業界筋によれば、「市場におけるプレシジョン社の地位は、競争が激化して技術面での混乱が生じる中で、かつてほど強力ではなくなった」と聞いています。

それでは、バークシャーが買収した時に期待していた成長を実現するために、顧客である航空機業界において卓越した地位を堅牢強固にするには、同社は何をすればいいのでしょうか。

<ウォーレン> ええ、それは...

<質問者> 結局のところ、買収してから2年が経過した今、同社の事業の見通しをどのように考えておられますか。

<ウォーレン> すみません、最後が聞こえなかったのですが。「見通し」ですか。

<質問者> 結局のところ、買収してから2年が経過して、長期的に見た同社の見通しを現在はどのように考えておられますか。

<ウォーレン> それは長期的にも、そしてほどほど短期的にも、優秀な企業だと思います。つまり...

航空機業界と言われましたが、他の業界とも取引しています。ただし、航空機業界が最重要であることはまちがいありません。そして航空機の製造会社は、部品の品質や短納期に負うところが大きいものです。

航空機1機あたりの費用が7,500万ドルあるいは1億や2億ドルにのぼるなかで、部品などが納入されるのを待たされたくはないでしょう。ですから...

そういった類のあらゆるものについて、品質と納期の両面における信頼性がきわめて重要になります。プレシジョン社では[製品の供給]契約を[出荷する]何年もずっと前から結んでいます。ときには、機体の製造が開始されるよりもかなり前に受注することもあります。つまり[受注から出荷までの]リードタイムが非常に長いわけです。

しかし昨年の早い時期に、わたしが知っているのは特定の件ですが、別の部品会社が納品できなかったことがわかりました。航空機メーカー数社が「なんとか対応してもらえないか」と、プレシジョン社に打診してきたからです。

それに対してわたしたちは回答しました。「それはもう是非お役に立ちたいところですが、5年契約でお願いしております。他社さんへの欠品がたびたび生じないようにしたいからです」。その手の製品を出荷するまでには、非常に長いリードタイムがかかります。

ですから、ビジネス自体は非常に良好です。損益計算上は4億ドルの費用が課されていますが、年間4億ドルを若干上回る金額ですが、これは無形資産の「のれん」償却費です。なお、この件は損金には算入できないものです。しかしわたしとすれば、この費用は実損をもたらすものではないと考えています。

バークシャーでは巨額の償却費を計上していますが、現在のところはプレシジョン社の買収に関するものが最大の金額です。ですからどのように捉えたとしても、「実損ではないとわたしが考えている」4億ドルを加算することができます。会計士はほかのやりかたを主張すると思いますが、これはわたしたちのお金なので、わたしの見解でやることにしましょう(笑)。[過去記事]

同社を指揮しているマーク・ドネガンは目覚ましい人物ですし、そのうえ経営者としてもたいへん優秀です。「彼が面倒をみてくれる」という条件だったからこそ、同社を買いました。それだけではなく、バークシャーの別の領域でも彼はいろいろと手助けしてくれましたし、好んでやってくれています。ですから彼自身が携わる経営面や、バークシャーをあれこれと支援してくれる献身ぶりに対して、文句をつけるなど考えられません。

プレシジョン社は非常にすぐれた買収先です。同社は、開発中の諸製品へとつながる長大なロング・テールを持つ会社です。

チャーリーはどう思いますか。

<チャーリー・マンガー> それはたしかに、同社のような会社がほかにあるならば、明日にでもその会社を買いたいですね。

<ウォーレン> つまり、そういうことですね(笑)。

5. Precision Castparts is “a very good business”

WARREN BUFFETT: OK, Jonathan Brandt.

JONATHAN BRANDT: Hi Warren. Hi Charlie. Given the growth in airplane build rates, it seems surprising that Precision Castparts isn’t doing better on the top or bottom line.

I understand the issue with a bumpy transition from old to new programs, but I’ve also heard from industry sources that Precision’s market position is not as strong as it used to be amid intensifying competition and some technological disruption.

What does Precision need to do to solidify and strengthen its preeminent position with its aerospace customers so that it can deliver the growth you expected when Berkshire acquired it?

WARREN BUFFETT: Yeah -

JONATHAN BRANDT: More generally, two years after the acquisition, what is your outlook for that business?

WARREN BUFFETT: Give me the last part again. The outlook.

JONATHAN BRANDT: More generally, two years after the acquisition, what is your updated outlook for that business longer term?

WARREN BUFFETT: Oh, longer term, I think - and in the reasonably shorter term - it’s a very good business. I mean, you were -

You mentioned aircraft, but we get into other industries. But certainly aircraft’s the most important. You have manufacturers that are very dependent on both the quality of the parts and the promptness of delivery.

You do not want to have an aircraft with 75- or 100- or maybe $200 million and be waiting for a part or something of the sort. So it’s -

Reliability is, both in terms of quality and delivery times and all of that sort of thing, is enormously important. And we get contracts that extend out many years. And sometimes we - I mean, we will get them well before the plane even starts in production. So there’s very long lead times.

And we have found in the last year - found it earlier, but I know of some specific cases in the last year - where other suppliers have failed in their deliveries and then the manufacturers come to us and say, “We would like you to help us out.”

And we say, “Well, we’d be glad to help you out, but we’d like about a five-year contract, if we’re going to do it because we’re just not going to make up for these other guys’ shortfalls periodically.” But that sort of thing has a very long lead time.

The business is a very good business. One thing you will see their earnings charged with is about $400 million - little over $400 million a year - of intangible - nondeductible in that case - amortization of goodwill, which is really - is not an economic cost in my view.

We have a significant amount of that through Berkshire, but by far, the largest amount is related to the Precision acquisition. So whatever you see, you can add about 400 million that in my view is not an economic expense, but the accountants would argue otherwise. But it’s our money, so we’ll take my view. The - (Laughter)

Mark Donegan, who runs that operation, is incredible, and he has been not only - he’s a fabulous manager. I wouldn’t have bought it without him in charge. He also has been very helpful to us in other areas, and he loves to do it. So you can’t beat him, both as a manager in his own operation, but with his devotion to really doing everything that will help Berkshire.

It was - it’s a very good acquisition with very long tails to the products that are being developed.

Charlie?

CHARLIE MUNGER: Well, yeah, I think we’d buy another one just like it tomorrow if we had the chance.

WARREN BUFFETT: Yeah, that’s the answer. (Laughter)

2018年デイリー・ジャーナル株主総会(7)保険会社はつらいよ

<チャーリー・マンガー> 「バフェット」と呼んでくださるとは、これは光栄の至りですね(爆笑)。

<質問者> バークシャーが出した最新の年次報告書では、これまでと同様に簿価の変遷が記されています。52年間で19ドルから17万2千ドルへと増加しており、年率にすると19%の成長になります。それでは、この並外れたパーセントにおける大きな割合が、保険事業によってもたらされたレバレッジによるものなのでしょうか。保険会社を使って投資資産を保有できるおかげで、たとえば14%のリターンをあげることで、簿価の20%増へとつながるのでしょうか。

<チャーリー> バークシャーの数字には、あきらかにレバレッジが若干埋まっていましたね。それを保険事業がいくらか供したのも明白です。だからといって、すっかり埋まっていたわけではなかったですよ。それが役立った年もありましたし、困ってしまうほどの大量の資金をアジート[・ジェイン]がもたらしてくれた年もありました。彼はその資金をウォーレン[・バフェット]へ回し、ウォーレンが20%増やしたという顛末です。ですから、保険事業とバークシャー・ハサウェイの間で目を瞠るような相乗効果の生じた年が、何度かあったわけです。

Question 23: Good morning Mr. Buffett…Mr. Munger.

Charlie: I’m flattered to be called Mr. Buffett. (laughter)

Question 23 Continued: The most recent annual report for Berkshire, as in the past reports, the growth in book value was shown and over the past 52 years it has grown from $19 to $172,000. Which represents a return of 19% a year. Is a large part of that outsized percentage attributable to the leverage inherent in the insurance company, such that you can own an investment in the insurance company which returns say 14% and it becomes 20% to book value?

Charlie: Well obviously there was a little leverage buried in the Berkshire numbers. Obviously the insurance business provided some of that. It’s not over-whelming in its consequences. There were years when it was helping. There were years when Ajit made so much money that it was almost embarrassing. And then he’d give the money to Warren and Warren would make 20% on the money. So there were some years when some remarkable synergies between the insurance business and Berkshire Hathaway.

But basically the insurance business is not some cinch easy way to make money. There’s a lot of danger and trouble in the insurance business and its more and more competitive all the time now as we’re sitting here. Berkshire succeeded because there were very few big errors…there were like no big errors, really big. And there were a considerable number of successes. All of which would have been much harder to get under present conditions than they were at the time we got the results. And there are very few companies that have compounded at 19% per annum for fifty years. It’s (a weird) in net worth. That is very peculiar. I wouldn’t count on that happening again soon. It certainly won’t happen at the Daily Journal.

2017年度バフェットからの手紙(8)資本主義を育むところ

バークシャー子会社における買収について。
最後になりますが、買収によって成長してきた[子会社の]プレシジョン・キャストパーツ社が、防食材やパイプ関連のシステム及びコンポーネントを製造しているドイツのヴィルヘルム・シュルツ社を買収しました。ただし、これ以上の説明はご勘弁ください。不動産仲介や建築会社やトラック・ステーションの活動について疎いように、生産現場のこともわたし自身がよく知らないからです。

ありがたいことに、この件で知識を並べ立てる必要はありません。プレシジョン社のCEOを務めるマーク・ドネガンは製造会社における卓越した経営者で、配下のあらゆる事業をうまくいくように仕立てあげているからです。ときに「現物」に賭けるよりも「人物」に賭けたほうが、確かなことがあります。(PDFファイル5ページ目)

Finally, Precision Castparts, a company built through acquisitions, bought Wilhelm Schulz GmbH, a German maker of corrosion resistant fittings, piping systems and components. Please allow me to skip a further explanation. I don’t understand manufacturing operations as well as I do the activities of real estate brokers, home builders or truck stops.

Fortunately, I don’t need in this instance to bring knowledge to the table: Mark Donegan, CEO of Precision, is an extraordinary manufacturing executive, and any business in his domain is slated to do well. Betting on people can sometimes be more certain than betting on physical assets.

My friend, Ariel Hsing, will be in the mall as well on Sunday, taking on challengers at table tennis. I met Ariel when she was nine, and even then I was unable to score a point against her. Ariel represented the United States in the 2012 Olympics. If you don’t mind embarrassing yourself, test your skills against her, beginning at 1 p.m. Bill Gates did pretty well playing Ariel last year, so he may be ready to again challenge her. (My advice: Bet on Ariel.) I will participate on an advisory basis only.

We continue to have a wonderful group at headquarters. This team efficiently deals with a multitude of SEC and other regulatory requirements, files a 32,700-page Federal income tax return, oversees the filing of 3,935 state tax returns, responds to countless shareholder and media inquiries, gets out the annual report, prepares for the country’s largest annual meeting, coordinates the Board’s activities, fact-checks this letter - and the list goes on and on.

They handle all of these business tasks cheerfully and with unbelievable efficiency, making my life easy and pleasant. Their efforts go beyond activities strictly related to Berkshire: Last year, for example, they dealt with the 40 universities (selected from 200 applicants) who sent students to Omaha for a Q&A day with me. They also handle all kinds of requests that I receive, arrange my travel, and even get me hamburgers and French fries (smothered in Heinz ketchup, of course) for lunch. In addition, they cheerfully pitch in to help at the annual meeting in whatever way they are needed. They are proud to work for Berkshire, and I am proud of them.

ウォーレンやチャーリー亡き後の、バークシャーの経営陣について。

I’ve saved the best for last. Early in 2018, Berkshire’s board elected Ajit Jain and Greg Abel as directors of Berkshire and also designated each as Vice Chairman. Ajit is now responsible for insurance operations, and Greg oversees the rest of our businesses. Charlie and I will focus on investments and capital allocation.

You and I are lucky to have Ajit and Greg working for us. Each has been with Berkshire for decades, and Berkshire’s blood flows through their veins. The character of each man matches his talents. And that says it all.

2017年度バフェットからの手紙(6)大暴落が待っている

短期でみたときに価格が無秩序に変動するせいで、長期的な価値の成長ぶりを覆い隠す鮮明な例が、バークシャー自身にもあります。この53年間において当社は利益を再投資し、複利が持つ魔法の力を利かせつづけることで、会社の価値を高めてきました。年を追うごとに前進してきました。しかしバークシャー株のほうは、実に激しい下落を4回経験しました。その惨状ぶりは次のとおりです。

「借入金に頼って株を保有してはならない」、その理由を説明するために、わたしにはこれ以上のものを取りそろえることはできません。短期的には、株価がどれだけ下落するのか言い当てる術はありません。借入れた金額が少なく、下落市場によって持ち株が即座には脅かされなくても、おぞましい見出しや絶句するような解説に触れれば、心中穏やかではいられないかもしれません。平静を保てなければ、適切な判断は下せないものです。

当社(や他社)の株式はこれからの53年間に、上の表と同じような下落に見舞われることでしょう。しかし、それがいつ起こるのかは誰にもわかりません。いつであろうと信号機が黄色を飛ばして、青から赤に変わるかもしれないからです。

しかし大幅な下落が生じたときに、債務に縛られていない者の手にはめったにない機会がやってきます。そのときこそ、[文筆家の]キップリングが詩作『もしもー』にしたためた文章を噛みしめるときです。

もしも、どんな君のことにも周りが心乱しても、落ち着いていられれば、
もしも、辛抱強い君がずっと飽きずに待っていられれば、
もしも、君の頭で考えられて、それ自体を目的と取り違えなければ、
もしも、だれからも疑われるときに己を信じていられれば、

Berkshire, itself, provides some vivid examples of how price randomness in the short term can obscure long-term growth in value. For the last 53 years, the company has built value by reinvesting its earnings and letting compound interest work its magic. Year by year, we have moved forward. Yet Berkshire shares have suffered four truly major dips. Here are the gory details:

This table offers the strongest argument I can muster against ever using borrowed money to own stocks. There is simply no telling how far stocks can fall in a short period. Even if your borrowings are small and your positions aren’t immediately threatened by the plunging market, your mind may well become rattled by scary headlines and breathless commentary. And an unsettled mind will not make good decisions.

In the next 53 years our shares (and others) will experience declines resembling those in the table. No one can tell you when these will happen. The light can at any time go from green to red without pausing at yellow.

When major declines occur, however, they offer extraordinary opportunities to those who are not handicapped by debt. That’s the time to heed these lines from Kipling’s If:

“If you can keep your head when all about you are losing theirs . . .
If you can wait and not be tired by waiting . . .
If you can think - and not make thoughts your aim . . .
If you can trust yourself when all men doubt you . . .
Yours is the Earth and everything that’s in it.”

備考です。今回の「バークシャー株暴落」の話題は、昨年開催されたデイリー・ジャーナル社の株主総会で、チャーリー・マンガーも口にしていました(過去記事)。この経験は彼らにとって錨(いかり)のような役割を果たしているのかもしれませんね。

もうひとつ、こちらは蛇足です。上の文中で暴落時の日付が記されていたので、自分の売買記録を確認してみました。バークシャーのB株、2009年3月5日に購入していました。分割前の株価で2,339.75ドルでした。ただし、その数日後の3月9日に買った株のほうが安かったです。こちらは2,302.9ドルでした。ウォーレンの日付と若干ずれているのは、B株だったからか、それとも取引時間中だったからか。どちらにせよ、「バイ・アメリカン」と宣言したウォーレンが正しかったと認められるのは、まだ先のことでした。

2017年度バフェットからの手紙(5)定番の教え:株式投資の捉えかた

2017年度「バフェットからの手紙」から、バークシャーが手がけている投資について触れた節をご紹介します。今回分の後半はウォーレンの主張としておなじみの内容ですが、読むたびに姿勢を正される気がします。前回分はこちらです。(日本語は拙訳)

投資の状況について

以下の表は、当社が投資した普通株のうち、年末時点で市場評価額が大きかった15件を並べたものです。ただしクラフト・ハインツ社の3億2,544万2,152株は含んでいません。バークシャーは同社の支配会社に名を連ねているので、「持分」法によって会計報告することになっているからです。貸借対照表上にはクラフト・ハインツ社の株式分として、GAAP準拠の数字で176億ドルを計上しています。一方でその市場価格は253億ドル、取得原価は98億ドルでした。



* バークシャーの子会社各社が設立している年金基金が保有する株式は除きます。
** この数字は実際の購入価格であり、税額計算時の基礎となるものです。一方、GAAP上の「費用」はいくつかの点で異なっています。GAAPの規則では減損が要求されているからです。

上記の銘柄の中には、トッド・コームズあるいはテッド・ウェシュラーが手掛けているものも複数含まれています。彼らはわたしと共にバークシャーにおける投資業務を担当しています。二人ともわたしから独立しており、おのおのが120億ドル以上の資産を運用しています。毎月出してくれるポートフォリオの概略をみてから、彼らが下した決定を知ることもよくあります。彼らの運用資産は合算すると250億ドルですが、そのなかにはバークシャーの一部の子会社が設立している年金からの受託分、80億ドル超が含まれています。上述したように、年金における投資分はバークシャーの持ち株を示した上の表には含まれていません。

チャーリーとわたしは、バークシャーが保有している普通株のことを、市場で取引されているものではありますが、発行元企業の所有権だとみなしています。「株価チャート」の形状や、アナリストが発表する「目標」株価や、メディアに登場する解説者の意見、そういったものに基づいて売買するための「単なる銘柄コード」、とは考えていません。そうではなく、投資先の事業が成功を収めれば(ほとんどはそうなると信じていますが)、わたしたちがした投資も同じように成功を収める、と確信しているだけです。その見返りがそこそこで終わることもあるでしょう。逆に、キャッシュ・レジスターが鳴り響いて止まないこともあるでしょう。あるいは、手痛い失敗をすることもあると思います。しかし全体としてみれば、いずれはかなりの成果を手にできるはずです。米国では、株式に投資する者には追い風が吹いているのです。

当社の株式ポートフォリオ、これを「さまざまな公開企業に分散させた『少数株主としての所有権』」と称しますが、そこからバークシャーが2017年に受け取った配当金は37億ドルになりました。この数字はGAAP準拠の報告値に含まれていますし、四半期及び年次報告で言及している「営業利益」にも含まれています。

しかしその配当金の金額では、当社の保有株式から生まれ出る「真の」利益を十全にはとらえていません。「株主に関する事業上の原則」を何十年にもわたって掲載してきましたが(年次報告書19ページ)、その原則6で次のように記しています。「投資先企業があげた利益のうち内部留保されたものは、少なくとも同じ金額がキャピタル・ゲインの形で将来還元されることを期待する」と。

GAAPで定められた新たな規則によって、未実現損益を毎回の会計報告に記載するように強制されたこともあり、当社における譲渡益(及び損失)の認識額には波が生じると思います。しかし当社の投資先が留保する利益は、それらをひとまとまりとして捉えれば、いずれはそれ相応のキャピタル・ゲインの形でバークシャーに還元される、と確信しています。

上述してきた「価値の蓄積」と「留保利益」のつながりは、短期的には感知できないと思います。株価とは、年ごとに蓄積される本来的な価値にはどうやら縛られずに、騰落するものです。しかしやがては、度々引用されてきたベン・グレアムの格言が、真実だったとわかる日がきます。「短期でみれば、市場とは投票機である。しかし長期になれば、秤量機に変わる」日が。

Investments

Below we list our fifteen common stock investments that at yearend had the largest market value. We exclude our Kraft Heinz holding - 325,442,152 shares - because Berkshire is part of a control group and therefore must account for this investment on the “equity” method. On its balance sheet, Berkshire carries its Kraft Heinz holding at a GAAP figure of $17.6 billion. The shares had a yearend market value of $25.3 billion, and a cost basis of $9.8 billion.

Some of the stocks in the table are the responsibility of either Todd Combs or Ted Weschler, who work with me in managing Berkshire’s investments. Each, independently of me, manages more than $12 billion; I usually learn about decisions they have made by looking at monthly portfolio summaries. Included in the $25 billion that the two manage is more than $8 billion of pension trust assets of certain Berkshire subsidiaries. As noted, pension investments are not included in the preceding tabulation of Berkshire holdings.

Charlie and I view the marketable common stocks that Berkshire owns as interests in businesses, not as ticker symbols to be bought or sold based on their “chart” patterns, the “target” prices of analysts or the opinions of media pundits. Instead, we simply believe that if the businesses of the investees are successful (as we believe most will be) our investments will be successful as well. Sometimes the payoffs to us will be modest; occasionally the cash register will ring loudly. And sometimes I will make expensive mistakes. Overall - and over time - we should get decent results. In America, equity investors have the wind at their back.

From our stock portfolio - call our holdings “minority interests” in a diversified group of publicly-owned businesses - Berkshire received $3.7 billion of dividends in 2017. That’s the number included in our GAAP figures, as well as in the “operating earnings” we reference in our quarterly and annual reports.

That dividend figure, however, far understates the “true” earnings emanating from our stock holdings. For decades, we have stated in Principle 6 of our “Owner-Related Business Principles” (page 19) that we expect undistributed earnings of our investees to deliver us at least equivalent earnings by way of subsequent capital gains.

Our recognition of capital gains (and losses) will be lumpy, particularly as we conform with the new GAAP rule requiring us to constantly record unrealized gains or losses in our earnings. I feel confident, however, that the earnings retained by our investees will over time, and with our investees viewed as a group, translate into commensurate capital gains for Berkshire.

The connection of value-building to retained earnings that I’ve just described will be impossible to detect in the short term. Stocks surge and swoon, seemingly untethered to any year-to-year buildup in their underlying value. Over time, however, Ben Graham’s oft-quoted maxim proves true: “In the short run, the market is a voting machine; in the long run, however, it becomes a weighing machine.”

2017年度バフェットからの手紙(1)減税及び会計基準変更による影響

バークシャー・ハサウェイのウォーレン・バフェットが、2/24(土)付けで2017年度の「バフェットからの手紙」を公開しています。今回は全16ページと、少なくとも今世紀に入ってから最も短いレターです。一読した印象も「地味であっさり」といったところですが、よく考えれば大切な文章も当然ながら見受けられます。これからまじめに読み込むつもりです。

今回は冒頭の文章から、拙訳付きでご紹介します。言葉通り、バークシャーの株主に向けた話題です。

バークシャー・ハサウェイの株主のみなさんへ、

2017年度において、バークシャーの純資産は653億ドル増加しました。その結果、クラスA株及びクラスB株のいずれにおいても、1株当たりの簿価は23%増えています。過去53年間において(すなわち現経営陣が就任した後のことですが)、1株当たりの簿価は19ドルから21万1,750ドルに増加しました。これは年率にして19.1%の増加率になります。

巻頭にあげた[業績推移の]表は、30年間にわたって同じ書式を使ってきました。しかし2017年度は、これまでのお決まりから大きく逸脱しています。バークシャー内で達成したこと以外のものが、当社利益の大幅な部分を占めたからです。

そうではあるものの、650億ドルになる利益は現実のものですから、ご安心ください。ただし、バークシャー自身の活動によって得た金額は、360億ドルにとどまっています。残りの290億ドルは、議会が連邦税法を改定したことによって、12月にもたらされたものです。(税務的な面によってバークシャーが得た利益に関する詳細は、年次報告書のK32やK-89~K-90ページをご参照ください)

そのような財務上の事実があることをお断りしましたので、早速バークシャーの経営状況についてご説明したいと思います。しかし、もう1件だけお待ちください。GAAP(米国会計基準)に規定された新たな会計基準について、触れておかねばならないからです。この改定によって今後提出される四半期及び年次の会計報告では、バークシャーの純利益の数字が大幅に変形したものとなります。それによってメディアに登場する解説者や投資家が誤解してしまうことが、たびたび生じると思われます。

新たな規則は、「株式投資における未実現損益の期間増減額を、純利益の数字へ含めて報告書に記載しなければならない」点を要求しています。そのことで、GAAPに準拠する当社の経営成績は、実に荒々しく気まぐれに変動することになるでしょう。バークシャーは市場で取引されている株式を1,700億ドル保有しています(ただしクラフト・ハインツ社の当社持ち分を除く)。それら持ち株の評価額は、四半期ごとの会計期間において100億ドル以上容易に変動します。そのような規模で旋回する数字を報告利益に加えることは、当社の営業成績を描き出すまさしく重要な数字を台無しにします。バークシャーが示す「稼ぎ」は、分析しようにも役に立たないものとなるでしょう。

この新たな規則によって、コミュニケーション上の問題も併せて生じます。この問題は以前からも存在していました。「[証券売却時の]実現損益を当社の純利益に含めるように」と、会計規則が強制していたからです。そのため、過去の四半期及び年度ごとの決算発表の際には、「それらの実現益には気を取られないように」とみなさんに常々警告してきました。なぜならば未実現損益と同様に、その数字も不規則に変動するからです。

証券を売却した理由の大半は、その時期にそうするのが賢明だと思えたからでした。「なんとかして報告利益に影響させたい」と考えたわけではありません。その結果、ポートフォリオ全体が残念な成績の間に大幅な実現益を計上したことが、当社では往々にしてありました(その反対もありました)。

未実現益に関する新たな規則は、実現益に適用されている現行の規則がもたらした歪曲を、一層悪化させると思われます。そのため、みなさんが納得のいく数字を得られるように、それに必要な調整値を四半期ごとに説明する労苦を、わたしたちは背負うことになります。しかし決算発表時に映像で流れる解説はたちまち反応を受けがちですし、新聞の見出しでは必ずと言っていいほど前年比でみたGAAP純利益の増減に焦点を当てています。その結果、メディアはときに数字を強調した報道を行い、多くの読者や視聴者を不必要に怖がらせたり、煽り立てたりします。

わたしたちはこの問題を緩和するために、「決算報告の発表時期を、金曜日の遅い時刻つまり市場が終了してから少し後、あるいは土曜日の早朝にする」との慣習をつづけたいと考えています。それによって市場が開く月曜日までに、みなさんが分析にかける時間をなるべく多くとれるようになり、また資産運用者たるプロの方々が自分たちの見解を含めた解説を配布する余裕ができるでしょう。そうだとしても、会計のことがチンプンカンプンな株主の間では、かなりの戸惑いが生じると思われます。

バークシャーがもっとも心を砕いていること、それは1株当たり調整後利益を生む力を増加させることです。その指標はわたしだけではなく、長きにわたるパートナーであるチャーリー・マンガーも傾注しています。またみなさんもそうであってほしい、と両名とも望んでいます。それでは、引き続いて2017年度の星取表を説明します。(PDFファイル2ページ目)

To the Shareholders of Berkshire Hathaway Inc.:

Berkshire’s gain in net worth during 2017 was $65.3 billion, which increased the per-share book value of both our Class A and Class B stock by 23%. Over the last 53 years (that is, since present management took over), per-share book value has grown from $19 to $211,750, a rate of 19.1% compounded annually.

The format of that opening paragraph has been standard for 30 years. But 2017 was far from standard: A large portion of our gain did not come from anything we accomplished at Berkshire.

The $65 billion gain is nonetheless real - rest assured of that. But only $36 billion came from Berkshire’s operations. The remaining $29 billion was delivered to us in December when Congress rewrote the U.S. Tax Code. (Details of Berkshire’s tax-related gain appear on page K-32 and pages K-89 - K-90.)

After stating those fiscal facts, I would prefer to turn immediately to discussing Berkshire’s operations. But, in still another interruption, I must first tell you about a new accounting rule - a generally accepted accounting principle (GAAP) - that in future quarterly and annual reports will severely distort Berkshire’s net income figures and very often mislead commentators and investors.

The new rule says that the net change in unrealized investment gains and losses in stocks we hold must be included in all net income figures we report to you. That requirement will produce some truly wild and capricious swings in our GAAP bottom-line. Berkshire owns $170 billion of marketable stocks (not including our shares of Kraft Heinz), and the value of these holdings can easily swing by $10 billion or more within a quarterly reporting period. Including gyrations of that magnitude in reported net income will swamp the truly important numbers that describe our operating performance. For analytical purposes, Berkshire’s “bottom-line” will be useless.

The new rule compounds the communication problems we have long had in dealing with the realized gains (or losses) that accounting rules compel us to include in our net income. In past quarterly and annual press releases, we have regularly warned you not to pay attention to these realized gains, because they - just like our unrealized gains - fluctuate randomly.

That’s largely because we sell securities when that seems the intelligent thing to do, not because we are trying to influence earnings in any way. As a result, we sometimes have reported substantial realized gains for a period when our portfolio, overall, performed poorly (or the converse).

With the new rule about unrealized gains exacerbating the distortion caused by the existing rules applying to realized gains, we will take pains every quarter to explain the adjustments you need in order to make sense of our numbers. But televised commentary on earnings releases is often instantaneous with their receipt, and newspaper headlines almost always focus on the year-over-year change in GAAP net income. Consequently, media reports sometimes highlight figures that unnecessarily frighten or encourage many readers or viewers.

We will attempt to alleviate this problem by continuing our practice of publishing financial reports late on Friday, well after the markets close, or early on Saturday morning. That will allow you maximum time for analysis and give investment professionals the opportunity to deliver informed commentary before markets open on Monday. Nevertheless, I expect considerable confusion among shareholders for whom accounting is a foreign language.

At Berkshire what counts most are increases in our normalized per-share earning power. That metric is what Charlie Munger, my long-time partner, and I focus on - and we hope that you do, too. Our scorecard for 2017 follows.

「ええ、読む対象もあらゆる範囲にわたっています。当然なのは、まず新聞です。それから、250社前後の公開企業を毎四半期監視しているので、各社の四半期報告書には目を通しています。さらにはSEC[証券取引委員会]に提出された各種報告書も数多く読みます。また[業績発表説明会の]トランスクリプトも多々読んでいます。聴くよりも読んだほうが速いですし、会話で出てくる双方の小競り合いも飛ばせますから」。

「SECへの提出資料をいろいろ読むほかに、業界誌もいろいろと数十誌購読しています。それから、相談できるすばらしいアナリストが一人いて、チャネルの現状を調べる際に手伝ってくれます。たとえば、顧客や供給者や元従業員などと話ができるわけです。実のところ、「実際にそうだったらどうなのか」という見方をするように心がけています。どの証券を調べる際にも、『企業全体を保有していたらどうなるだろうか』という感覚で取り組むようにしています」。

“I get in around 7 or 8, and I read until about 7 or 8 at night,” he says with a laugh. “And I go home, and see my family, and then I’ll read for another hour or two in bed at night. And you know, there might only be three to four phone calls the entire week. So there are very, very few interruptions. I have a great assistant who knows everything that I read, and she kinda provides everything, and there’s a back and forth between us where I’ll mark it up, and give it back to her. And we have a system for filing and so forth. But it’s literally just reading about 12 hours a day of everything I just mentioned.”

“Well it runs the gamut as well. I would say certainly newspapers. I follow about 250 public companies every quarter. And so I go through, for each quarter each one of those companies, their quarterly reports. So a lot of S.E.C. filings. A lotta transcripts. I can read a transcript much faster than I can listen to the conference call. And you weed out some of the friction there as well.

“So a lot of S.E.C. filings. A lotta trade magazines. There are a couple dozen of those that I subscribe to. And then I have a wonderful analyst who helps me with channel checks where we talk to customers, suppliers, ex-employees and so forth. We’re really trying to get a view of what it would be like - every security that we look at, we’re really trying to get a sense of what it would be like to own the entire business.”

2017年デイリー・ジャーナル株主総会(1)チャーリー・マンガーかく語りき

バークシャー・ハサウェイの株主総会では、チャーリー・マンガーはウォーレン・バフェットの引き立て役としておとなしくしていますが、チャーリーが会長を務めるデイリー・ジャーナルの総会ではかなりの別人ぶりで、堂々とした独り舞台をみせています。距離が狭いこともあるせいか、参列者からの笑い声も頻繁にあがり、米国で一番楽しい総会かもしれません。

今回からの投稿では、今年の2月に開催された株主総会での質疑応答の様子を、上記の資料からご紹介します。今回の話題は、「ウォーレンが学び続けたことがバークシャー成功の要因だった」とする質疑の後半部分です(上記トランスクリプトのQ14)。バークシャーが2006年にイスカル社を買収したときの価格水準の話題と、航空会社への投資の話題です。(日本語は拙訳)

<チャーリー・マンガー> ベン・グレアムならば、イスカル社を買うようなことはしませんでしたよ。簿価の5倍になる金額を支払うのは、グレアムのやりかたではなかったですからね。ウォーレンはグレアムのもとで学びましたが、その後もずっとうまく学んだわけです。私自身も上手に学んできました。このゲームのいいところは、際限なく学び続けられる点ですね。実際のところ、今でもそうしていますから。

今や我々は、「突如として航空会社株を買うようになったのか」と報道されているのですよ。航空会社という商売について過去に我々がなんと発言していたか、覚えていますか。「そこまでひどいビジネスがあるとは、ご冗談でしょう」と考えていたのです。それが今では、航空会社関連の持ち株すべてを合わせると、中小の航空会社を1社分保有していることになります。我々は同じことを鉄道会社でもやりました。「鉄道なんてちっとも良かないね。事業者が多すぎて、トラックとの競争もあるし...」と言ったものです。80年間にわたってひどいビジネスだったことはたしかです。しかし彼の業界にはとうとう4つの大会社しか残っておらず、うまいビジネスへと変わりました。それと似たようなことが航空会社でも起きているわけですよ。

Ben Graham would have never bought Iscar. He paid 5 times book or something for Iscar. It wasn’t in the Graham play. And Warren who learned under Graham, just, he learned better over time. And I’ve learned better. The nice thing about the game we’re in, is that you can keep learning. And we’re still doing it.

Imagine we’re in the press…for all of a sudden (buying) airline stocks? What have we said about the airline business? We thought it was a joke it was such a terrible business. And now if you put all of those stocks together we own one minor airline. We did the same thing in railroads, we said “railroads are no damn good, you know there’s too many of them, truck competition…” And we were right it was a terrible business for about 80 years. But finally they got down to four big railroads and it was a better business. And something similar is happening in the airline business.

工具メーカーのイスカルに対して簿価の5倍を払ったという事実は、初見あるいは見逃していました。あくまでも個人的な見積もりですが、簿価5倍の買収水準はPER25倍から30倍になったとも考えられます。ウォーレンであれば出し渋りそうな金額です。しかし、うろ覚えですがイスカルの買収はチャーリーが熱を入れていたと記憶しています。そうだとすれば、ある程度の高値は納得できます。元から非公開企業だったのでイスカルの経営実態はよくわからないままですが、バークシャーの年次報告書によれば従業員数がこの10年間でほぼ倍増しており、着実に成長している様子がうかがえます。

2017年バークシャー株主総会(8)バフェットにも矛盾点はある

3Gキャピタル社における極端なコスト削減策について

<質問> バークシャーは3Gキャピタル社と提携して取引に参加していますが、彼らが極端なまでにコスト削減をして、何千人もの職を減らしている件について、どのようにお考えですか。

<ウォーレン・バフェット> 3G社の経営陣はかなり近い距離から見てきました。基本的に彼らは、「保有する会社は可能な限り生産的であるべし」との信念を持っています。もちろんですが、この会場におられるみなさんにとっても、オマハの人にとっても、アメリカ中の人にとっても、社会全体の発展は生産性の上昇によってもたらされています。もし生産性に変化がなかったとしたら、現代人の生活は1776年の建国当時の人たちと同じままだったでしょう。3Gの人たちは、そのことをすごい速さで実行しているわけです。彼らの取り組みは非常に巧みで、以前よりも少ない人数で運営することによって生産性を高めています。鉄鋼業界であれ、自動車業界であれ、あらゆる産業でそのような取り組みがなされてきました。そのおかげで、今のように生活水準が向上したわけです。

ちなみにバークシャーが買収する際には、すでに効率的に運営されている企業が望ましいと考えています。率直に言って、わたしどもは生産性を高めるプロセスをまるで楽しめません。心地よく感じられないのです。しかし、そういった取り組みは会社を発展させるためのものです。ひとりの人が消費できる量を2倍に増やそうとしても、一人当たりの生産性を改善させるなんらかの方法がなければ、手の打ちようがありません。「政治的な成り行きが事業に影響しかねない」という理由で、そちらの面から悩みそうだと考えているのでしたら、賢明かどうかはともかくとして、うまいご質問だと思います。そのものずばりの答えなのかわかりませんが、彼らは生産性に焦点を当てて非常に賢明なやりかたで取り組んでいるだけではなく、製品の改善やイノベーションや経営陣に対する様々な要望についても相当なまでに注力していることは、申し上げられます。昼食の際にクラフト・ハインツのチーズケーキを食べてみてください。3Gが抱く基本戦術では、生産性向上と同様に、製品の改良やイノベーションがまさしく大きな部分を占めているという点で、同意してくださると思います。

個人的な話をしますと、何千人もの従業員がいた織物事業に携わっていたころに、ある程度の時間をかけて事業から撤退したことがあります。雇用を増やす事業にくらべると、雇用を減らす事業は楽しくないものです。たしかチャーリーと相談して、「実際に人員を削減して生産性を向上させることを主たる利得とする企業は、バークシャーの買収対象から外す」ことを決めたと覚えています。しかし生産性向上を検討することは、社会全体からすれば望ましいことだと思いますし、3Gの人たちの仕事ぶりも見事だと思います。

<チャーリー・マンガー> 生産性を向上させることに、悪いところは何もないですよ。その一方で、「正しいからといって、即実行することにはつながらない」と理屈づけ、非生産的な意見を表明する例がいろいろと見受けられますね。

<ウォーレン・バフェット> その通りだと思います。

3G CAPITAL’S EXTREME COST CUTTING

Q. Berkshire partners with 3G Capital on deals. What do you think of their extreme cost cutting and elimination of thousands of jobs?

Warren Buffett: Essentially, 3G management - I’ve watched them very close - is basically they believe in having a company as productive as possible, and of course, the gains in this world for the people in this room and the people in Omaha and the people throughout America have come from gains through productivity. If there had been no change in productivity, we would be living the same life as people lived in 1776. The 3G people do it very fast, and they’re very good making a business productive with fewer people than operated it before. We’ve been doing that in every industry whether it’s steel or cars. That’s why we live as well as we do.

We at Berkshire prefer to buy companies that are already run efficiently. Frankly, we don’t enjoy the process at all of getting more productive. It’s not pleasant, but it is what enabled the company to progress. Nobody has figured a way to double people’s consumption per capita without in some way improving productivity per capita. It’s a good question, and whether it’s smart overall if you think you’re going to suffer politically because political consequences do hit businesses. I don’t know that I can answer the question categorically, but I can tell you they not only focus on productivity and do it in a very intelligent way but also focus to a terrific degree on product improvement, innovation and all of the other things that you want a management to focus on. At lunchtime if you had the Kraft Heinz cheesecake, you will agree with me that product improvement and innovation is just as much a part of the 3G playbook as productivity.

Personally, we have been through the process of being in a textile business that employed a couple thousand people and went out of business over a period of time. It’s just not as much fun to be in a business that cuts jobs rather than a business that adds jobs. Charlie and I would probably forgo having Berkshire buy businesses where the main benefits would come from increasing productivity by actually having fewer workers. I think it is pro social to think in terms of improving productivity, and I think the people at 3G do a very good job.

Charlie Munger: I don’t see anything wrong with increasing productivity. On the other hand, there’s a lot of counter-productivity publicity to doing it. Just because you’re right doesn’t mean you should always do it.

Warren Buffett: I agree with that.

2017年バークシャー株主総会(7)事業をうまく評価できるようになるには

価値評価の方法

<質問> さきほどマンガーさんが中国市場と米国市場をくらべた話をされていましたが、その際の評価方法としては、株式市場時価総額をGDPで割る方法[バフェット指標]と、CAPEを使う方法[シラーP/E; 景気循環調整後PER]のどちらが適しているとお考えですか。

<バフェット> お話しにあったどちらの基準も、わたしどもが証券の価値を評価する上で最上というわけではありません。将来にわたって事業が稼ぎ得る現金の現在価値は、事業を評価するうえで重要な要因です。しかし世間では絶えず公式を求めていますが、究極の公式というものはありません。なにが変数に関わっているのか、わからないからです。もちろん、それぞれの数値にはそれなりの意味があります。しかし事業の評価とは、「実際に変数の値を完璧に設定できる公式」へと単純化できるものではありません。お話しに挙げられたどちらの数も話題にされることが多いですが、それがとても重要なこともあるでしょうし、無意味同然のこともあると思います。ひとつやふたつの公式で済むほど単純ではありません。

将来の金利がどうなるか、これがいちばん重要です。「取り得る最良のやりかただ」として、現在の利率を当てはめる例がよくあります。30年物債券の利率をみてください。資金を30年間出しておいて、30年後には損も得もなしに無リスクで戻ってほしいと考える人が、どれだけの金利を期待しているかがうかがえるでしょう。その数字について良い予想ができるかと聞かれても何とも申し上げられませんが、だからといって現在の値を使うという意味ではありません。チャーリーのほうも、「お話しに挙げられた2つの基準を物差しにして、中国市場と米国市場を比較評価することはできない」と答えると思います。

<マンガー> 私からは、「釣りをする上での規則その1、魚のいるところで釣れ」と言っただけですよ。腕の良い釣り師にとっては、今なら中国のほうがもっと魚をみつけられるでしょう。私が言ったのはそれだけです。楽しさひとしおの釣場ですよ。

<バフェット> 投資家として事業をもっとうまく評価できるようになりたい方は、ダメな事業をしばらくのあいだ運営する手だてをぜひ見つけるべきです。すぐれた会社に入って失敗させようもない良好な事業から学ぶよりも、ひどい事業に携わって実際に数年間ほど奮闘してみれば、ビジネスについて実にたくさんのことを学べます。わたしどもにとっても、実体験として学んできたことの大きな部分を占めています。良い事業に関わるという意味からすれば、悪い事業に実際に何度か関わって目の当たりにしたことの割合はもっと大きかったと思います。

<マンガー> いや、実にひどいものでしたよ。

<バフェット> どれほどひどいものなのか、どれだけ自分が非力なのか、どれほど優れたIQを以てしても問題を解決できないのか。そういったことも理解できる有意義な経験になると思います。まあ、非常に強くまではお勧めしませんが。

<マンガー> 我々にとっては非常に有益でした。学びたいのであれば、個々人が厳しい経験をするのが一番ですよ。当然ながら我々も、それなりに経験しましたがね。

VALUATION METHODS

Q. In looking at the Chinese market vs the U.S. market, what is the best valuation method, market cap divided by GDP or the Cyclically Adjusted P/E (CAPE) method?

Warren Buffett: Both of the standards you mention are not paramount at all in our valuation of securities. The present value of the future cash that can be taken out of the business is the important factor in valuing a business. People are always looking for a formula. There’s not an ultimate formula. You don’t know what to stick in for the variables. Every number has some degree of meaning. Valuation of a business - it is not reducible to any formula where you can actually put in the variables perfectly. Both of the things you mentioned get themselves bandied around a lot. Sometimes they can be very important. Sometimes they can be almost totally unimportant. It’s not quite as simple as having one or two formulas.

The most important thing is future interest rates. People frequently plug in the current interest rate saying that’s the best they can do. The 30-year bond rate should tell you what people who are willing to put out money for 30 years and have no risk of dollar gain or dollar loss at the end of the 30-year period expect to earn. I’m not sure I can come up with a better figure. That doesn’t mean I’m going to use the current figure either. I’d say - I think Charlie’s answer is he does not come up with China vs the US market valuations based on what you’ve mentioned as yardsticks.

Charlie Munger: All I said before is the first rule of fishing is to fish where the fish are. A good fisherman can find more fish in China now. That’s all I meant. It’s a happier hunting ground.

Warren Buffett: If you want to be a good evaluator of businesses, as an investor, you really ought to figure out a way to run a lousy business for awhile. You learn a whole lot more about business by actually struggling with a terrible business for a couple of years than you learn by getting into a very good one where the business is so good you can’t mess it up. It was a big part of our learning experience, and I think a bigger part in the sense of being involved in a good business was actually being involved in some bad businesses and seeing -

Charlie Munger: -how awful it was.

Warren Buffett: How awful it is and how little you can do about it and how IQ does not solve the problem. It’s a useful experience, but I wouldn’t advise too much of it.

Charlie Munger: It was very useful to us. There’s nothing like a personal, painful experience if you want to learn, and we certainly had our share of it.

2017年バークシャー株主総会(6)高IQすなわち儲け上手とはならない

資本配分能力について

<質問> 資本配分に関するアイデアを交わし合うのは、これからも長く続くのでしょうか。

<マンガー> ずっと続くことはありえないですね(笑)。

<バフェット> チャーリー、負け犬根性はいけませんよ(笑)。

バークシャーの取締役会一同が抱く考えだけでなく、現在の場合であればわたしたちがいなくなったあとのためにチャーリーやわたしが推薦する面でも、当社で仕事に就く後継者にとって「資本配分の技量が一定の評価を得ていること」が最重要であるのは確かです。バークシャーでは資本配分がおどろくほどに大切だからです。

現在の株主資本は2,800か2,900億ドルほどになります。次の10年だけをとれば、だれも正確には予測できませんが、現在の償却費が年間70億ドル程度の水準ですから、次のマネージャーが10年間に配分しなければならない資金は、おそらく4,000億ドル程度になるでしょう。今から10年後のバークシャーは、過去に生じたすべてよりも多くの資金を10年間で受け入れた事業集合体になっていると思います。バークシャーのCEOという仕事には、とても理性的な資本配分者が必要です。いずれはその人物を得るでしょう。

しかし、資本配分が得手ではないかもしれない人物に任せるのは、とんでもない間違いです。かなり得意な人でないといけません。そのことがどれだけ大切か理解しているからこそ、わたしたちバークシャーには優位があります。そこに焦点を当てているのです。非常に多くの会社では能力や売り上げ実績に基づいてトップの座につく人を決めますが、それらはどれも事業を進める上での異なった側面です。自らの手に資本配分といったものが任された彼らは、経営戦略部門を設立したり、投資銀行家の話をきいたりするでしょう。しかし自分でやるほうがうまくできるものです。

資本配分の経験がないまま別の経歴を歩んできた人は、バイオリンを演奏するつもりでカーネギー・ホールへ行って、ステージに歩んだところでピアノへと導かれるようなものです。他の領域については多くの能力があっても、資本配分をする能力は実のところ持っていない人にバークシャーを任せても、うまく運営することはできません。わたしはその力を「金儲け思考」[原文ではmoney mind]と呼んでいます。

IQテストなどで120とか140といった成績をとれる人たちがいるとします。そういった人たちのなかには、「ある種類のことは得意ながらも、他はそれなりの能力」という人がいるものです。すごく頭が良いものの「金儲け思考」で考えることができず、そのせいでとても愚かしい決定をくだしてしまう人たちを知っています。ほとんどの人間ができないあらゆることをこなせるのに、彼らの脳はそのようには働けないのです。他方でそこまでは賢くなくても、SATのテストは良くできていますが、金勘定でおろかな決断を下したことがまったくない人たちも知っています。たくさんの才能を持った人がバークシャーのCEOになってほしいとは望みますが、「金儲け思考」ができない人はまったく望んでいません。

<マンガー> 株式を買うという選択肢もありますが、それならばお手上げというほどの問題ではないでしょう。いずれにせよ、何かしら賢明なことをするでしょうから。

<バフェット> 「金儲け思考」のできる人には、「株を買う上で、妥当なときとそうでないとき」がわかります。実のところ「株の購入についてどう考えているか」と問うのは、経営面での能力を試す上でかなりすぐれたテストになります。その手の主題を真正面から考えたりする際に、それほど複雑な方程式は出てきません。人によって考え方はちがうと思います。しかし他のことでは飛びぬけてすぐれていると思われる人が、株の買いどきがわりとはっきりしている話題で、なんともバカバカしいことを言うわけです。

CAPITAL ALLOCATION ABILITIES

Q. Will bouncing ideas off one another on capital allocation continue long into the future?

Charlie Munger: It can’t continue very long.

Warren Buffett: Don’t get defeatish, Charlie.

Any successor that is put in at Berkshire - proven capital allocation abilities are certain to be uppermost in the Board’s mind, in the current case, in terms of my recommendation and Charlie’s recommendation, for what happens after we are not around. Capital allocation is incredibly important at Berkshire.

Right now we have $280 or $290 billion of shareholders’ equity. If you take the next decade alone, nobody can make accurate predictions on it, but in the next ten years, if you take - appreciation [misheard "depreciation?"] right now is another $7 billion a year, or something on that order. The next manager during the decade will have to allocate maybe $400 billion or something like that. Ten years from now, Berkshire will be an aggregation of businesses where more money has been put in in that decade than everything that took place ahead of time - you need a very sensible capital allocator in the job of being CEO of Berkshire. We will have one.

It would be a terrible mistake to have someone in this job where capital allocation will not be their main talent - it should be very close to their main talent. We have an advantage at Berkshire in that we do know how important that is. There is that focus on it. Many people get to the top through ability and sales, all different sides of business. They then have capital allocation sort of put in their hands. They may establish strategic thinking divisions and listen to investment bankers, but they better be able to do it themselves.

Charlie Munger: If they come from a different background and haven’t done it…

Warren Buffett: It’s like getting to Carnegie Hall by playing the violin. You then walk on stage and they hand you a piano. Berkshire would not do well if somebody was put in who had a lot of skills in other areas but really didn’t have an ability for capital allocation. I call it a money mind.

People can have 120 or 140 IQs, very similar scoring abilities in terms of intelligence tests. Some of them have minds that are good at one type of thing and some at others. I’ve known very bright people that do not have money minds, and they can make very unintelligent decisions. They can do all kind of other things that most mortals can’t do, but it isn’t the way their wiring works. I’ve known other people that are not that brilliant - they do fine on an SAT test - but they never made a dumb money decision in their life. We do want somebody - hopefully, they’ve got a lot of talents, but we certainly don’t want somebody if they lack a money mind.

Charlie Munger: There’s the option of buying in stock, which isn’t like it’s some hopeless problem. One way or another something intelligent will be done.

Warren Buffett: A money mind will recognize when it makes sense to buy a stock and when it doesn’t. In fact, it’s a pretty good test for some people in terms of managements of how they think about something in terms of buying stock. It’s not a very complicated equation if you sort of think straight about that sort of a subject. Some people think that way and some don’t, and they’d probably be miles better at something else, but they say some very silly things when you get to something that seems so clear as to when buying stock makes sense.

2017年バークシャー株主総会(5)オマハの大御所、アップル社を語る

「よく知っている企業の株を買うこと」について

<質問> 投資上の助言として、「自分が知るものを買うこと」といつもおっしゃっていました。バフェットさんはテクノロジー通として有名ではありませんが、今ではテクノロジー企業に投資されていますし、たびたび話題にもあげられています。しかし、ツィートした件数はこの4年間で9件だけです(笑)。

<バフェット> あのツィートのほかは、僧院に通って修行していたものですから(笑)。

<質問> 「オマハの賢人」が「オマハのテクノロジー大御所」となったのはなぜですか。

<バフェット> (笑いながら)テクノロジー業界について、それほどは語っていないと思います。IBMには大きな投資をしましたが、うまくいきませんでした。資金を失ってはいませんが、強気相場だったことを考えると、大幅におくれをとりました。少し前からですが、アップル社の株を大量に保有しています。ある種の経済的特性の面で、同社は消費財を扱うほうの企業としてとらえています。同社の製品でできることや、他の人たちがある面において追い越そうと前進している可能性からすれば、同社にはテクノロジーに関する莫大な部分があります。保証はできませんが、2打数0安打でなくて1安打はできると思います。いずれわかることでしょう。

しかし「テクノロジーに興味を持っている15歳の若者と同じ水準の知識がある」と言い張るつもりはさらさらありません。消費者行動という点である程度は読めるかもしれない、と考えているだけです。その点についてはたしかに多くの情報を手に入れられますし、それに基づいて消費者が将来とる行動がどうなるのか成り行きを描いてみることができます。

証券投資の分野では、これからも失敗をやらかすと思います。過去にはテクノロジー業界以外で失敗を出してきました。どの業界に取り組もうとも、10割の打率はあげられません。保険業界のことはかなり知っておりますが、過去には保険株で1,2回損を出したことがあります。10割を打つことはできません。しかし、うまれてこのかたテクノロジーに関する実際の知識は、実のところまったく身につけたことがありません(笑)。

<マンガー> アップルの株を買ったのは、非常に良い兆候だと思いますよ。「正気でなくなった」か、「学習している」のどちらかを示していますね(笑)。私としては、「学習している」とする理由のほうを取りたいですが。

<バフェット> ええ、わたしもそちらですよ(笑)。

BUY WHAT YOU KNOW

Q. Your investment advice has always been to buy what you know. You are not known for being a tech guy, but you are now investing and talking more about tech companies. You’ve only tweeted nine times in the last four years.

Warren Buffett: It was either that or go to a monastery. I don’t think I’ve talked that much about tech companies. I made a large investment in IBM, which has not turned out that well. We haven’t lost money. In terms of the bull market we’ve been in, it has been a significant laggard. Fairly recently, we took a large position in Apple, which I do regard more as a consumer goods company in terms of certain economic characteristics. It has a huge tech component in terms of what that product can do or what other people might come along to do to leapfrog it in some way. I think I’ll end up being one for two instead of 0 for 2, but we will find out.

I make no pretense whatsoever of being on the intellectual level of some 15-year old that has an interest in tech. I may have some insights into consumer behavior. I certainly can get a lot of information on consumer behavior and then try to draw inferences as to what consumer behavior is likely to be in the future.

I will make some mistakes on marketable securities. I’ve made them in other areas other than tech. You will not bat 1000 no matter what industries you try to stick with. I know insurance pretty well, but I think I’ve lost money on insurance stocks once or twice over the years. You don’t bat 1000, but I’ve gained no real knowledge about tech since I was born actually.

Charlie Munger: I think it’s a very good sign that you bought Apple. It shows either one of two things. Either you’ve gone crazy or you’re learning. I prefer the learning explanation.

Warren Buffett: So do I, actually.

2017年バークシャー株主総会(4)アマゾン社について

アマゾン社について

<質問> ジェフ・ベゾスを称賛されていますが、なぜアマゾンへ投資しなかったのですか。

<バフェット> あまりにボンクラだったせいで、なにが起ころうとしているのかわかっていませんでした。ジェフのことはずっと以前から褒めたたえてきましたし、彼のすることも観察してきました。しかし、これほどの規模まで成功するとは思いもしませんでした。ましてAWSというクラウド・サービスによってできる商売の可能性は、考えもしませんでした。小売事業を育てる一方でテクノロジー業界を一変させる可能性について質問されていたら、「それは大穴狙いだ」と答えたと思います。同社の傑出した事業運営ぶりを過小評価していたのです。オンラインでやることを思い描くのもそうですが、それにはたくさんの能力が必要です。

1997年の年次報告書で、彼はロードマップを描いています。そして彼は、離れ業に継ぐ離れ業を決めていきました。3,4か月前にチャーリー・ローズが彼にインタビューをしていましたが、ご覧になっていない方はCharlierose.comで話を聴いてみてください。いろんなことが学べると思います。少なくともわたしはそうでした。

<マンガー> 易々とですよ。同社の実行していることが非常に難しいものだったからです。その当時と同じように将来も順風満帆なのだろうか、まったくもって不明瞭でした。アマゾン社が到達した業績を読めなかったことは、寸分も後悔していないですね。それよりも別件のほうが容易でした。若干はポカをしたと思いますが。

<バフェット> (笑いながら)そちらの方面は追いかけないようにしましょうか(笑)。

<マンガー> グーグル社のことですよ。

<バフェット> (軽くうなづきながら)たしかに、いろいろと見逃しましたね 。

<マンガー> そう、これからもそうなりますよ(笑)。しかしウォーレン、ありがたいことにすべてを見逃してはいませんよ。これは我々の秘密ですが、全部は見逃していません(笑)。

AMAZON

Q. You admire Jeff Bezos. Why have you not invested in Amazon?

Warren Buffett: I was too dumb to realize what was going to happen. I admired Jeff for a long, long time and watched what he was doing. I did not think he could succeed on the scale he has or even think about the possibility of doing anything with Amazon web services or the cloud. If you asked me the chances that while he was building up the retail operation, he would also be doing something that was disrupting the tech industry - that would have been a longshot for me. I underestimated the brilliance of the execution. It is one thing to dream about doing this stuff online, but it takes a lot of ability.

You can read his 1997 annual report, and he laid out a roadmap. He has done it and done it in spades, and if you haven’t seen his interview with Charlie Rose three or four months ago - Charlierose.com, go to it and listen to it because you will learn a lot, at least I did.

The stock always looked expensive. I really never thought he would be where he is today. I thought he was really brilliant. I did not think he would be where he is today when I looked at it 3, 5, 8, or 12 years ago. Charlie, how did you miss it?

Charlie Munger: It was easy. What was done there was very difficult. It was not at all obvious that it was all going to work as well as it did. I don’t feel any regret about missing out on the achievements of Amazon. Other things were easier, and I think we screwed up a little.

Warren Buffett: We won’t pursue that line.

Charlie Munger: I meant Google.

Warren Buffett: We missed a lot of things.

Charlie Munger: And we will keep doing it. Luckily, we don’t miss everything, Warren. That’s our secret. We don’t miss them all.

Warren Buffett: We better move on. He may start getting specific.

2017年バークシャー株主総会(3)本源的価値の複利成長について

本源的価値の複利成長について

<質問> バークシャーの本源的価値は、これまでに複利換算で年間何パーセント増加してきましたか。また今後はどうなりそうですか。

<バフェット> 本源的価値は、過去にさかのぼる形でしか算出できません。しかし本来の定義はそうではなく、未来を向いています。つまり、現在から判定最終日までのあいだに創出されると予想した現金を、その期間において適切と思われる利率で割り引いた金額です。30年や40年間でみると、金利はとても広い幅で変動します。たとえば10年という期間をえらび、開始時期が[今から10年前の]2007年5月としたときに、「本源的価値が増加する割合は複利ベースでどうなるか」と問われれば、年間10%になるだろうと答えたと思います。しかし現実には、ありがたくない状況がやってきた期間でした。

10%を達成するのはかなり難しい課題ですし、この低金利の環境がつづくとすればほぼ不可能です。ご質問にお答えする前に、ある変数が将来どうなるのかひとつだけ教えてもらえるとしましょう。その際にわたしが知りたいのは、GDP成長率やだれが大統領に選ばれるかではありません。今後10年や20年における金利が平均としてどうなるかを知りたいです。現在みられている金利構成が平均だとしたら、10%の成果を出すのはとてもむずかしいものです。しかし生じうる金利の確率分布全体でみるのであれば、高望みではありますが10%成長は不可能ではないと思います。

「この低金利が長期間にわたって継続するなどありえない」と思えるのであれば、25年前の日本をふりかえってみてください。かの国の低金利がどのように永らえるのか、思い描くことはできませんでした。そして現在もなお同じ状況です。金利動向を予測するのは容易だ、とは微塵も考えていません。しかし残念なことに、うまいお答えを返すには金利を予測することが不可欠になります。

バークシャーのあげる成績がお粗末な程度におわる可能性は、他をあたった場合と同じように低いと思います。しかし驚くほどの高い率になる可能性も、同じように低いでしょう。いちばん近いのは10%近辺の範囲だと思いますが、その際の金利は劇的ではないものの高めになると仮定しています。つまり、この7年間にみられたより若干高い利率が次の10年あるいは20年の間に生じる、との仮定です。

<マンガー> 当社の現在の規模を考慮すると、過去にあげた栄光とくらべれば、今後のリターン率には陰りが生じるでしょうね。しかし以前からそう発言してきましたし、今やそれを証明している最中です(笑)。

<バフェット> チャーリー、そんな想いのまま人生お別れでいいのですか(笑)。

<マンガー> 当社の保有する事業は平均してみれば、たとえばS&P500各社の平均よりも高い投資価値があると思います。ですから、みなさんのような株主諸氏がひどい問題をかかえているとは思いませんね。

<バフェット> S&P500の各社を全体としてとらえると、株主志向の面では当社のほうが強いです。当社には、私企業のオーナーと同じようにものごとを決定する文化があります。これは多くの企業が持っていない贅沢品です。公開企業のCEOにお会いするたびに、いくつか質問をしています。そのひとつが、「会社全体を自分だけで保有しているとしたら、どのようにやりかたを変えますか」という質問です。たいていは、「あれをしたり、これをしたり、あるいは何とやら」といった答えが返ってきます。しかし、その相手から同じ質問を受けたとしたら、わたしならば次のように答えます。「自分たちだけで全株式を保有している場合にやることと、まったく同じように実行してきました」と(拍手)。

<マンガー> もうひとつ優位がありますよ。才気煥発であろうとする人は、世間に大勢います。しかし我々は、合理的でありつづけようとするだけです。これは大いなる優位ですね。利発であろうとするのは危険ですよ。賭けに出ているときは、なおさらです(拍手)。

COMPOUNDING INTRINSIC VALUE

Q. At what rate has Berkshire compounded intrinsic value and at what rate can intrinsic value be compounded in the future?

Warren Buffett: Intrinsic value can only be calculated in retrospect, but the true definition would be the cash to be generated between now and judgment day discounted at an interest rate that seems appropriate at the time. That’s varied enormously over a 30 or 40-year period. If you pick out 10 years, and you’re back to May of 2007, we had some unpleasant things coming up. I’d say we’ve probably compounded intrinsic value about 10% annually since then.

I think that’s tough to achieve - almost impossible to achieve if we continue in this low interest rate environment. If you ask me to give the answer to the question - if I could only pick one statistic to ask you about the future before I gave the answer, I would not ask you about GDP growth or who was going to be president, I’d ask you what the interest rate is going to be over the next ten or twenty years on average. If you assume our present interest rate structure is likely to be the average, I would say it would be very difficult to get the 10%. If I were to pick for the whole range of probabilities on interest rates, I would say that that rate might be doable.

If you’d say we can’t continue these low interest rates for a long time, I’d ask you to look at Japan 25 years ago. We couldn’t see how their low interest rates could be sustained. We are still looking at the same thing - I don’t think it’s easy to predict the course of interest rates at all. Unfortunately, predicting interest rates is embedded in giving a good answer to you.

I’d say the chances of getting a terrible result in Berkshire are about as low as anything you could find. Chances of getting a sensational rate are also about as low as anything you could find. My best guess would be in the 10% range, but that assumes somewhat higher interest rates, not dramatically, but somewhat higher interest rates in the next 10 or 20 years than we experienced in the last seven years.

Charlie Munger: The future with our present size in terms of percentage rates of return is going to be less glorious than in the past. We keep saying that and now we are proving it.

Warren Buffett: Do you want to end on that note, Charlie?

Charlie Munger: I think we have a collection of businesses that on average has better investment values than say the S&P 500 average. I don’t think you shareholders have a terrible problem.

Warren Buffett: We do have more of a shareholder orientation than the S&P 500 as a whole. This company has a culture where decisions are made as a private owner would make them. That’s a luxury we have that many companies don’t have. One of the questions I ask the CEO of every public company that I meet: “What would you be doing differently if you owned it all yourself?”The answer is usually this, that and a couple of other things. If he would ask us, the answer is, we are doing exactly what we would be doing if we owned all the stock ourselves.

Charlie Munger: I think we have one other advantage. A lot of other people are trying to be brilliant. We are just trying to stay rational. It’s a big advantage. Trying to be brilliant is dangerous, particularly when you are gambling.

<質問> [バークシャーの投資先である]ウェルズ・ファーゴ(営業面でのスキャンダル)、アメリカン・エクスプレス(コストコ社向け事業の契約解除)、ユナイテッド航空(顧客サービス[暴力による乗客の強制降機])、コカ・コーラ(炭酸飲料の売上増の鈍化)の各社は問題を抱えていますが、バークシャーが株式投資をしている企業の現状確認にはどれだけ時間をかけていますか。

<バフェット> それらの企業の株は大量に保有しています。アメリカン・エクスプレスやウェルズ・ファーゴは、数百億ドル以上の時価総額へと見事に登りつづけています。それら各社は、わたしたちがとても好んでいる事業を手がけています。ただし、その性質はそれぞれ異なっています。

ユナイテッド航空の件ですが、実は4大航空会社全体に対する株式保有者として当社は最大ですが、4社はそれぞれ問題がありますし、反対にとても大きな優位を持った会社もあります。

アメリカン・エクスプレスの話をされましたが、第一四半期の報告書を読むとプラチナ・カードの話題が出ており、非常にうまくやっています。

そういった各社には、どれも競合他社がいます。株を買った際には、「会社に問題がまったくないだろう」とか「競争相手は全然いないだろう」とは考えていませんでした。各社を買ったのは、それぞれが非常に強力な力を持っていると考えたからです。業界で占めている地位も気に入っていました。持続可能な競争優位がどこにあるのか、わたしたちは調べることにしています。非常に良い事業を手にすることができたとしても、それを奪おうとする競合他社がたくさんいます。そこで、競合他社を撃退できるかどうか、その企業や製品や経営陣が持つ能力について判断をくだすわけです。それらの企業が消え去ることはないでしょう。特定の会社名は出しませんが、そういった各社は非常によい位置にあります。

もしすばらしい事業を手にできれば、たとえシーズ・キャンディー社のような小さな会社であっても、基本的には経済的な城をもっていると言えます。しかし資本主義の社会では、他者がその城をうばいとろうとします。城を護るために、さまざまな方法でその周りに濠(moat)を築きたいと考えるでしょう。そして城内には、襲撃者を撃退する際にひどく頼りになる騎士にいてほしいと望むでしょう。しかし、襲撃者が立ち消えることもないでしょう。

コカ・コーラ社は西暦1886年に創業しました。アメリカン・エクスプレス社の始まりは1851年か1852年です。ウェルズ・ファーゴが何年の創業だったかわかりませんが、アメリカン・エクスプレスはウェルズ・ファーゴによって事業が開始されました。それらの企業は長い間にわたってたくさんの挑戦がありました。当社の保険事業にも挑戦がありました。しかし当社にはトニー・ナイスリーとアジート・ジェインのようなリーダーがいます。彼らはバークシャーの価値を何百億ドルも増やしてくれました。保険業界でも競争は常にあります。襲撃者を撃退するために、さまざまな手を打つ必要があります。

REVIEWING STOCK INVESTMENTS

Q. Given issues at Wells Fargo (sales scandal), American Express (loss of business with Costco), United Airlines (customer service) and Coca-Cola (slowing soda sales), how much time is spent reviewing Berkshire stock investments?

Warren Buffett: Those are very large holdings. American Express and Wells Fargo, you are getting up well into the high tens of billions of dollars. Those are businesses that we like very much - they have different characteristics.

United Airlines, we are the largest holder of the four largest airlines, but all businesses have problems and some of them have very big pluses.

You mentioned American Express. If you read their first quarter report, they talk about their platinum card, it is doing very well.

There's competition in all of these businesses. We didn't buy them with the idea that they would never have problems or never have competition. We bought them because we thought they had very strong hands. We liked their position. We do look to see where they have durable competitive advantages. If you've got a very good business, you will have plenty of competitors who will try to take it away from you. Then you make a judgment as to the ability of your particular company and product and management to ward off the competitors. They won't go away. I'm not going to get into the specific names. Those companies are very well positioned.

If you have a wonderful business, even if it's a small one like See's Candies, you basically have an economic castle. In capitalism, people are going to try to take away that castle from you. You want a moat around it protecting it in various ways, and you want a knight in the castle that's pretty darn good at warding off marauders. There will be marauders that will never go away.

Coca Cola was established in 1886, American Express was started in 1851 or 1852, Wells Fargo, I don't know what year they started -- American Express was started by Wells Fargo as well. These companies had lots of challenges over the decades. Our insurance business had challenges, but we have leaders like Tony Nicely and Ajit Jain, who has added tens of billions of dollars of value to Berkshire. There will always be competition in insurance. There are various things to do to ward off the marauders.

The specific question was how much time is spent reviewing our investments? I do it every day.

Charlie Munger: I don't think I have anything to add to that either.

Warren Buffett: We will cut his salary if he doesn't participate.

2016年度バフェットからの手紙(12)譲渡益や受取配当金の所得税率

配当と税金について学んでおいたほうがよい事柄がいくつかありますので、それらを取り上げたうえで、投資に関する本章をおわりにしたいと思います。ほとんどの他社と同じようにバークシャーでも、譲渡益として稼ぐ金額よりも受け取る配当金のほうがかなり多額になります。「譲渡益こそ、税金面で有利なリターンが得られる手段だ」とふだんから考えておられる株主のかたは、たぶん驚かれるかと思います。

しかしここで、企業における金勘定を説明しておきます。ある会社が譲渡益を1ドル発生させると、35セントの連邦所得税が課されます(同様に、所得税を課す州も多いです)。しかし内国企業から受け取る配当金に課される税率のほうは、受取り側の状況によって異なりますが一貫して低い値です。

非保険会社の場合、つまり親会社であるバークシャー・ハサウェイのことですが、連邦税の実質税率は受け取った配当金1ドルにつき10.5セントです。さらには、投資先を20%超保有する非保険会社の場合、その配当金1ドルにつき7セントしか課税されません。たとえば当社はクラフト・ハインツ社の27%を、親会社自身ですべて保有しています。そのため同社から受け取る多額の配当金には、その税率が適用されます。(配当金に対する法人税率が低いことの理由は、配当金を支払う側である投資先企業が、配分することになる損益に対してすでに自社の段階で法人税を支払っているためです)

バークシャーの保険子会社では、非保険会社に適用されるよりもいくぶん高い税率が配当金にかかっています。しかしそれでも譲渡益に課税される35%よりもかなり低い税率です。損害保険会社には、受取配当金のほとんどに対して14%の税金が課されます。もし投資先が米国籍であり、なおかつその20%超を保有している場合は、税率が11%前後へ下がります。

税金に関する今回の勉強はここまでです。

Before we leave this investment section, a few educational words about dividends and taxes: Berkshire, like most corporations, nets considerably more from a dollar of dividends than it reaps from a dollar of capital gains. That will probably surprise those of our shareholders who are accustomed to thinking of capital gains as the route to tax-favored returns.

But here’s the corporate math. Every $1 of capital gains that a corporation realizes carries with it 35 cents of federal income tax (and often state income tax as well). The tax on dividends received from domestic corporations, however, is consistently lower, though rates vary depending on the status of the recipient.

For a non-insurance company - which describes Berkshire Hathaway, the parent - the federal tax rate is effectively 10.5 cents per $1 of dividends received. Furthermore, a non-insurance company that owns more than 20% of an investee owes taxes of only 7 cents per $1 of dividends. That rate applies, for example, to the substantial dividends we receive from our 27% ownership of Kraft Heinz, all of it held by the parent company. (The rationale for the low corporate taxes on dividends is that the dividend-paying investee has already paid its own corporate tax on the earnings being distributed.)

Berkshire’s insurance subsidiaries pay a tax rate on dividends that is somewhat higher than that applying to non-insurance companies, though the rate is still well below the 35% hitting capital gains. Property/casualty companies owe about 14% in taxes on most dividends they receive. Their tax rate falls, though, to about 11% if they own more than 20% of a U.S.-based investee.

And that’s our tax lesson for today.
